This agreement is an undertaking between the below Mentioned Parties:

PARTY 1: The Mountain Bridge:

Coast Accounting and Auditing (CAA)

Dubai, UAE

The Mountain Bridge is ROI based Digital Marketing Agency working as a provider of SEO
Services,social media marketing, Google Advertising and other digital services. With Coast
Accounting and Auditing, The Mountain Bridge will be working with SEO Services. Services not
included in the scope below are subject to be charged at a mutually agreed rate between the
parties, and will not be considered part of this contract.

Work Scope of this agreement:

 Payment Confirmation.

 Account Manager will send you welcome/introduction email in 24-48 hours

 Keywords List & suggestions report is shared with client after analyzing his website & his
competitor’s website.

 50 Keywords are finalized with client’s approval.

  Baseline Report will be sent in 24 hours after keywords are finalized.

 Website Will Optimized for SEO within two weeks.

 On-page optimization is done in 14 - 20 days

 Off-Site optimization of 100 Backlinks will be started from very 1st day.

 Technical SEO will be done within first month

 2 Blog Per Month of 800 words each

 You will get ranking reports on every fortnightly / Every 15 Days

 You will get the Back linking report at the end of every month

 Google Analytics report every month end.

Out of Scope in this agreement:

1. Google Ads

2. 360 Marketing

3. Website redesigning and development, CMS design or integration including but not limited to blogs,
shopping carts and web forums. These require a separate design agreement

4. SEO or social media targeted to promote any other websites / web domains not mentioned in
this agreement

5. SEO or Social Media page tasks/changes beyond the mentioned number in the scope

6. On-site services at THE CLIENT’s office

7. The Mountain Bridge has no control over the policies of social media sites, websites, hosting
providers, search engines or directories with respect to the type of sites and/or content that
they accept now or in the future. Customer's web site(s) may be excluded from any search
engine or directory at any time at the sole discretion of the search engine or directory entity.

8. Changes / Malfunctioning/ unusability in 3rd partysites / platforms and plugins are beyond the
scope of The Mountain Bridge. The Mountain bridge will attempt to replace / fix the functionality
with the best possible and feasible alternative

9. Email Services

10. Weekly monitoring and updating to avoid performance issues across major browsers due to the
fact that not all browsers render sites in the same way.

 11. Upgrades to THE CLIENTs content management system or websites, including plugins and
themes.

12. Damage to the social media and SEO effort or performance due to hacking. Malware or issue
in web development or hosting.

While The Mountain bridge will exercise complete caution and ensure good quality, The Mountain
Bridge is not responsible for any loses, damage to real and digital assets due to the activities
contracted for. The client can review every digital content if they please but this agrrement has to
be made prior to start of digital marketing services or with a 7-day notice.

Payment Terms: Monthly

Revisions: One revision per On-Site Files request would be allowed subject to other limitations of time
capacity

Please Note:-

Once the on-page is implemented on your project, we request you to revoke all our access including
Word-press access & Hosting access.

Option 2. You may give us only standard level access of Word-press logins (Account).

 Baseline Report will be sent in 24 hours after keywords are finalized.

 Start Date of the project will be considered from the date when the Baseline report
is generated

 Onsite optimization is done within 20 days after baseline report is sent.

 Offsite/ backlinks generation is started post onsite optimization is implemented on your

website.
 After backlinks generation we kick start with blog writing.
 You will get ranking reports on every fortnightly.
 You will get the back linking report at the end of every month

 Google Analytics monthly

SEO TIME LINES (Assurances) :-

Expected Results (Minimum timeframe:

 Out of the 50 keywords we will try to achieve first page rankings asap

 25 keywords in top 20 positions within the first 3 - 4 months and top 10 positions in 4 - 5
months’ time.

 30-35 keywords in top 20 positions in 6 months.

 We assure to show progress on all 50 keywords

 Anywhere between 10-15 leads on a weekly basis (Post 3 to 4 months of SEO activity)

Here’s how it works (Guarantee)

As long as you’ve been supplying us with everything we need and living up to your end of the
bargain and we’re simply not hitting deadlines then we will extend your deal at no cost to you by
an extra one month.

Minimum Term

The minimum term is 6 months. The reason is simple. We need your commitment for that length
of time to achieve the kind of results we both are setting out to achieve.

Giving you the ability to cancel at any time means you’re not thinking long term and as you
know, that isn’t the kind of thinking that produces epic results.

Costing

The mentioned amount does not include any taxes payable and will be charged additionally
from THE CLIENT. The mentioned amount does not include service taxes too and should be
borne by the client additionally.

Payment Term: Monthly

Monthly Cost: AED 800

Plan: 50 Keywords, Complete Onsite Optimization,Technical SEO, 100 Backlinks per month high
DA, 2 blogs per month, Overall Report

Contract Period: 6 Months

Total Agreement:

The first payment will be made within 5 days of initiating the contract on a pro-rata basis

During the duration of this contract, THE CLIENT agrees that The Mountain Bridge will be the
sole provider of digital marketing services, and no other party will have access to or rights to
change the content on the mentioned media and platforms. If a party other than The Mountain
Bridge updates social media and platforms, The Mountain Bridge shall not be responsible for
any of the negative consequences

Term and Termination:

This Agreement shall be effective as of the time frame Customer signs up for Digital Marketing
Services. This Agreement may be terminated by either party upon written notice to the other, if

the other party breaches any material obligation provided hereunder and the breaching party
fails to cure such breach within sixty (60) days of receipt of the notice.

The contract will be continued on a rolling quarterly basis with an increment of 10% on costs
every year if no notice to amend or terminate the contract is provided one month before the
contract expiry.

Additional Services:

Any revisions, additions or designs Client requests The Mountain Bridge to perform that is not
specified in this document shall be considered "additional" and will require separate agreement
and payment. The Mountain Bridge shall advise Client on any requested work that falls within
these bounds in advance.

THE CLIENT Requests:

For the purposes of providing the mentioned services, THE CLIENT agrees:

To properly convey to The Mountain Bridge the information that needs to be designed, changed
or added in a documented format at least 48 hours in advance.

Authorisation:

THE CLIENT hereby authorises The Mountain Bridge to access their web hosting account and
social media accounts, providing active user name / password combinations for access to the
server via FTP, assuring that 'write permissions' are in place on said hosting provider, social
media accounts.

Indemnification:

THE CLIENT shall indemnify and hold harmless The Mountain Bridge (and its subsidiaries,
affiliates, officers, agents, co-branders or other partners, and employees) from any and all
claims, damages, liabilities, costs, and expenses (including, but not limited to, reasonable
attorneys' fees and all related costs and expenses) incurred by The Mountain Bridge as a result
of any claim, judgment, or adjudication against The Mountain Bridge related to or arising from
(a) any photographs, illustrations, graphics, audio clips, video clips, text, data or any other
information, content, display, or material (whether written, graphic, sound, or otherwise)
provided by THE CLIENT to The Mountain Bridge (the "Customer Content"), or (b) a claim that
The Mountain Bridge's use of THE CLIENT’s Content infringes the intellectual property rights of
a third party. To qualify for such defense and payment, The Mountain Bridge must: (i) give
Customer prompt written notice of a claim; and (ii) allow Customer to control, and fully
cooperate with Customer in, the defense and all related negotiations.

Confidentiality:

The parties agree to hold each other's Proprietary or Confidential Information in strict
confidence. "Proprietary or Confidential Information" shall include, but is not limited to, written or
oral contracts, trade secrets, know-how, The clients’ methods, The clients’ policies, memoranda,
reports, records, computer retained information, notes, or financial information. Proprietary or
Confidential Informationshall not include any information which: (i) is or become

generally known to the public by any means other than a breach of the obligations of the
receiving party; (ii) was previously known to the receiving party or rightly received by the
receiving party from a third party; (iii) is independently developed by the receiving party; or (iv)
is subject to disclosure under court order or other lawful process. The parties agree not to make
each other's Proprietary or Confidential Information available in any form to any third party or to
use each other's Proprietary or Confidential Information for any purpose other than as specified
in this Agreement. Each party's proprietary or confidential information shall remain the sole and
exclusive property of that party. The parties agree that in the event of use or disclosure by the
other party other than as specifically provided for in this Agreement, the non-disclosing party
may be entitled to equitable relief. Notwithstanding termination or expiration of this Agreement,
The Mountain Bridge and Customer acknowledge and agree that their obligations of
confidentiality with respect to Proprietary or Confidential Information shall continue in effect for a
total period of three (3) years from the effective date.

Force Majeure

Neither party will be liable for, or will be considered to be in breach of or default under this
Agreement on account of, any delay or failure to perform as required by this Agreement as a
result of any causes or conditions that are beyond such Party's reasonable control and that
such Party is unable to overcome through the exercise of commercially reasonable diligence. If
any force majeure event occurs, the affected Party will give prompt written notice to the other
Party and will use commercially reasonable efforts to minimize the impact of the event.

Relationship of Parties

The Mountain Bridge in rendering performance under this Agreement, shall be deemed an
independent contractor and nothing contained herein shall constitute this arrangement to be
employment, a joint venture, or a partnership. THE CLIENT does not undertake by this
Agreement, or otherwise, to perform any obligation of The Mountain Bridge, whether by
regulation or contract. In no way is The Mountain Bridge to be construed as the agent or to be
acting as the agent of Customer in any respect, any other provisions of this Agreement
notwithstanding.

Disclaimer of All Other Warranties

THE MOUNTAIN BRIDGE DOES NOT WARRANT THAT THE DIGITAL MARKETING
SERVICES WILL MEET THE CUSTOMER'S EXPECTATIONS OR REQUIREMENTS. THE
ENTIRE RISK AS TO THE QUALITY AND

PERFORMANCE IS WITH CUSTOMER. EXCEPT AS OTHERWISE SPECIFIED IN THIS

AGREEMENT,

THE MOUNTAIN BRIDGE PROVIDES ITS SERVICES "AS IS" AND WITHOUT WARRANTY
OF ANY KIND. THE PARTIES

AGREE THAT (A) THE LIMITED WARRANTIES SET FORTH IN THIS SECTION ARE THE
SOLE AND

EXCLUSIVE WARRANTIES PROVIDED BY EACH PARTY, AND (B) EACH PARTY

DISCLAIMS ALL OTHER

WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE

IMPLIED

WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE,

RELATING TO

THIS AGREEMENT, PERFORMANCE OR INABILITY TO PERFORM UNDER THIS

AGREEMENT, THE

CONTENT, AND EACH PARTY'S COMPUTING AND DISTRIBUTION SYSTEM. IF ANY

PROVISION OF

THIS AGREEMENT SHALL BE UNLAWFUL, VOID, OR FOR ANY REASON

UNENFORCEABLE, THEN

THAT PROVISION SHALL BE DEEMED SEVERABLE FROM THIS AGREEMENT AND SHALL
NOT

AFFECT THE VALIDITY AND ENFORCEABILITY OF ANY REMAINING PROVISIONS.

LIMITATION OF THE MOUNTAIN BRIDGE LIABILITY:

IN NO EVENT SHALL THE MOUNTAIN BRIDGE SOLUTIONS BE LIABLE FOR ANY LOST
REVENUE, LOST PROFITS, LOSS OF TECHNOLOGY, RIGHTS OR SERVICES, LOSS OF
DATA, OR INTERRUPTION OF CLIENT’S BUTHE CLIENTSS, SPECIAL, INCIDENTAL,
PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES, SUFFERED BY THE CLIENT,
WHETHER OR NOT CLIENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS,
INJURY AND/OR DAMAGES. THE MOUNTAIN BRIDGE SOLUTIONS MAXIMUM
AGGREGATE LIABILITY TO CLIENT RELATED TO OR IN CONNECTION WITH THIS
CONTRACT WILL BE LIMITED TO THE TOTAL AMOUNT PAID BY CLIENT TO THE
MOUNTAIN BRIDGE SOLUTIONS HEREUNDER.

Legal:

This Agreement shall be governed by and construed in accordance with the laws of the
jurisdiction of Nepal applicable therein.

Signing this document means you agree to the terms of this document “contract for website‘s
Digital SEO Services”.
