The following has been agreed upon:

WHEREAS The object of the Project Funding Agreement for both Parties to this Agreement is, by the use of their financing, investment knowledge and technical abilities, to jointly provide funding and full project implementation support for various Projects.

This Agreement is a joint participation agreement that relates to the arranging of Funding to enable each Party to execute their own projects through notably the setting up of a Joint Venture during the course of a private placement to be performed.

PARTY A and PARTY B desire to enter into this agreement for the purpose of establishing a Project Funding Agreement for their participation in one or more Money Management transactions.

PARTY A also explains that once the investment contract is signed, the amount of 100,000,000.00 US$ will be transferred to PARTY B designated account. Then after the beginning of the investment, every 2 weeks the profit payment will be transferred to the tune of 150,000,000.00 US$ to the account of PARTY B. After successful examination of the copy of Bank Statement as per Draft provided , issued against SKR no 01/10 dated 09 March 2010 for value of US$ 217 Million , the investment contract will be released. Both parties receive a copy of the investment contract.

All ICC rules and regulations, as stated in the circular and amendments regarding confidentiality, non-circumvention and non-disclosure apply to all the Parties in this Agreement.
