MANAGEMENT AGREEMENT

BETWEEN: Christopher Fink and ByFink Custom Renovations LLC, 6630 Candice Ln, New Port Richey, FL 34653 ,
doing business in Florida, hereafter referred to as “the contractor ''.

and

ZZ the HANDYMAN a division of GrassRoot Appointments LLC, a Wyoming corporation, hereafter

referred to as “G-R-A”.

WHEREAS: G-R-A is in the business of lead generation and setting qualified appointments for contractors.

WHEREAS: the contractor wants additional customers and desires G-R-A as the sub-contractor to promote the
contractor's name and to set appointments for new work to be performed either as an individual handyman on a
prearranged hourly fee (with the customer) or as the owner of a skilled handyman crew going on appointments with the
expectation of making sales. THEREFORE: above parties have agreed as follows:

1) When being dispatched on an hourly basis, the contractor will collect the quoted trip charge and hourly fee
directly from the customer and remit 25% to G-R-A in accordance with the terms below. Should the contractor
bid additional work at a fixed price basis, it will be in accordance with the terms below.
2) When the contractor is bidding potential work, G-R-A earns a fee when the contractor makes sales. The fee
structure is as follows: (a) Sales Contracts over $1000 fee 15% (substantially labor). (b) Sales Contracts over
$1000 (substantial materials supplied by contractor) fee 12% (c) Contracts under $999 fee 20%. Any additional
work obtained from a lead/appointment, or referrals therefrom within 2 years will be due on the same fee
structure. Any referrals or neighbors of the lead/appointment will be paid to G-R-A on the same fee structure.
Any unreported sales or any additional sales will be invoiced at 100% of the total contract amount. If the
contractor connects the customer with any other contractor (a severe penalty will be imposed), the contractor
will be responsible for paying G-R-A 100% of the contract amount. G-R-A will maintain full lien rights until paid in
full. Upon completing an appointment the contractor will immediately call the appointment center and give a
disposition (dispo) as to the result of the appointment and within 2 hours forward a copy of the sales contract or
any proposal and remit payment.
3) RESPECT EVERY APPOINTMENT AND MUTUAL RESPECT IS VERY IMPORTANT. The contractor will advise G-R-A of
their availability to cover appointments one day in advance. If for any reason the contractor cannot make an
appointment G-R-A must be notified within 90 minutes prior so we may arrange for another contractor to attend
the appointment. Failure to do so will seriously affect the business relationship. All invoices will be made by
CashApp and invoiced to the contractor. The total amount due shall be paid upon receiving the initial deposit or
the work being started, whichever is first. If any payments are not made in accordance with this agreement new
leads/appointments will be suspended until resolved. A penalty of $65 per day will be charged for all monies not
paid within 24 hours when due.
4) This agreement may be terminated at any time by either party. This is a day-by-day agreement. At the time of
cancellation all outstanding fees are due. The terms of this agreement will survive cancellation (including the
ability to promote the contractors business).
5) The venue for any disputes will be Natrona County, Wyoming. The prevailing party will be entitled to collect legal
fees.
