GD AWS siren “8 PUL MDENEA LECH E-URCLU NILE Bo 1 (hereinafter called “the Model” for shor); GO- BES SDANSKL, POLAT DS WHEREAS - the Agency is a specialized Company in managing, enhancing, developing and promoting the image of those persons who work or intend to work as models; = the Agency is a specialized Company in providing, negotiating and legally finalizing contractual business with third parties, relating to the services and the consequent right to use the image and/or the voice and/or the name of those persons who work or intend to work as models, throughout the world, in the fields of fashion, advertising and related fields, and this throughout all communication and media channels; = the Model works or intends to work as a model; ~ the Model intends to improve his/her image and grants the right of use of his/her services and image to third parties, by means of the Agency; ~ the Agency agrees to improve the image of the Model and to grant the services and the consequent rights of use of the image and/or the voice and/or the name of the latter to third parties, with exclusive rights for the Italian territory. Alll this having been provided and stated, the parties STIPULATE AND AGREE TO THE FOLLOWING GRANTH THE MANDATE 1.1- Granting of the mandate. ‘The Model assigns the mandate to the Agency, with exclusive rights for the Italian territory, without representation of common interest (in rem propriam) against payment under articles 1703 and 1705 of the civil code, to promote his/her image and to provide, negotiate and legally finalize - with full autonomy - with third parties (as an example: publishing companies, companies operating in the fields of fashion, advertising agencies and related fields, etc...) contractual business regarding the services (requested in Italy, even if practically carried out abroad) and the consequent right of use of his/her image and/or voice and/or name throughout the world, with commercial or promotional purposes. Such services may, solely as an example, consist in the realization of photoshoots, in the presence and participation of the Model at events and/or fashion shows, with commercial and/or promotional purposes; For further depth, for the execution of the task, subject of the present agreement, the Model appoints the Agency, with exclusive rights for the Italian territory, the power and right to:ing use of his/her name, pictures and any other useful piece of a) promote his/her image, mal s, blogs and formation, on promotional material (for example compcards, video books, webs others), without this granting any kind of compensation. b) negotiate and legally finalize, in full autonomy, with exclusive rights for the Italian territory (with prior verification of the availability of the Model to provide or take part in each single service requested), contractual business with third parties, regarding the services and the consequent right of use of his/her image and/or the voice and/or the name throughout the world, having commercial or promotional purposes, as well as to deal with the negotiation and definition of the compensation, with due consideration of the market conditions and considering the Agency’s right to determine flat rates. ©) negotiate and legally finalize contractual business regarding the right to use his/her image and/or voice and/or name for promotional or commercial purposes, in relation to the services carried out during the duration of the present agreement, and even after the termination of the present; and renew, for a period of one year following the termination of the present agreement, contractual business regarding the services and the consequent rights to use any material regarding advertising ‘campaigns carried out during the final year of the present agreement, for promotional or commer purposes. ) collect and accept as the Agency in its own name, as well as the fee due to the Agency itself by virtue of the services rendered to third parties (20% of production costs charged directly to the third party), compensations related to the services and the consequent right to use his/her image and/or voice and/or name. ©) initiate procedures of claims and settlements, regarding disputes resulting from non-payment of fees from third parties regarding contractual business agreed and finalized with the Agency; request property damage claims, (excluding moral damages) related to improper use or exploitation of his/her image and/or voice and/or name. 1.2 Exclusive rights Pursuant to the exclusive rights granted to the Agency, the Model commits not to detain him/herself and/or to grant to others in any way, the rights and powers granted to the Agency for the entire duration of the hereby agreement, 2), IMPLEMENTATION OF THE MANDATE BY THE AGENCY 2.1) The Agency shall invest its own resources and shall provide all its “know how”, with the purpose of improving and promoting the image of the Model, working on increasing its market value and on finalizing the most possible contracts with third parties. 2.2) The Agency shall promptly notify the Model with every contractual proposal received as well as with the details ofthe client name and the utilization of his/her image and/or voice and/or name rights. 2.3) The Agency commits to provide the Model with all the details and information regarding the services provided, with full transparency. 2.4) The Model authorizes the Agency to send his/her accounting and service statement concerning the services carried out during the validity of the mandate to his/her Mother Agency.3) MODEL OBLIGATIONS 3.1) The Model must give the Agency his/her telephone number and/or e-mail address in order that he/she can be easily contacted in the least time possible to receive notifications in regards to potential contractual proposals and information pertaining to the subject of the hereby agreement. 3.2) Following notices given as per point 2.2, the Model must promptly inform the Agency in regards to his/her availability. Once the Model has confirmed his/her availability and acceptance, the Agency shall be free to negotiate in full autonomy the terms and conditions of the agreement with third parties, ‘Once the agreement between the Agency and the third party has been legally finalized, the Model will be obliged, upon request, to confirm in written form his/her consent to the agreed use of his/her image and or/ voice and/or name, under art. 96 Law 633/41; 3.3) The Model commits to maintaining hinvherself in good physical appearance and conditions and in not cutting or changing colour of his/her hair without the Agency’s authorization A) FEES 4.1) The Model will have a right to a compensation being the 70% (seventy) of the amount i to the client (for both the services provided and the rights of use of image), excluding VAT, possible expenses, production costs (20%) directly charged to the third party, as well as possible fiscal and/or social security and/or legal deductions due to existing law regulations. ‘The Agency commission is equal to the 30% (thirty) of the amount invoiced to the client and will be withheld by the Agency itself when the client will pay the invoices. 4.2) The percentage that is due to the Model, as seen in point 4.1), has been determined considering the rights granted in point 1.2). 4.3) The Agency is granted the right to deduct from the compensation due to the Model, all advanced payments made for the latter, by the Agency. 4.4) It is specified that all the compensations as in point 4.1), concerning both the services as well as the right utilization, will be paid to the Model once the suitable fiscal documentation, compliant with the current legal regulations, is provided, and solely and exclusively following the actual payment received by the third party. 4.5) In the case that the Model requests advanced payments, the commission agreed as the agency fee as in point 4.1), will be increased by 5% annually and without capitalization. It is understood that the advanced payments provided by the Agency in these cases will refer, solely and exclusively, to the compensations resulting from the services provided by the Model and not to those regarding the rights of use of his/her image and/or voice and/or name. 4.6) In regards to the cases described herein under the previous point 1.1.c), the obtained compensation and the incurred expenses (if not entirely refunded by the third party involved), will be divided between the Model and the Agency according to the percentages and conditions agreed upon under point 4.1); in case of failure to retrieve the due ‘compensations, any expenses sustained shall be equally divided between the Model and the Agency.E 5) DU )F THE MAN: D CANCELLATION 5.1) The present mandate remains valid and effective between the parties for a period of 3 (three) years from the date of its signing and shall be automatically renewed upon expiry, according to the ‘same terms and conditions, for the same period of time, if no notice of cancellation is received by the Agency through a registered letter with advice of delivery, at least 6 (six) months prior to expiry date, at the address recorded on the contract herein 5.2) In the case of a cancellation request following the above conditions, it remains anyhow understood that the parties shall complete and finalize the fulfilment of all contractual business possibly agreed upon with third parties during the period of validity of the hereby mandate. 5.3) It is further specified that, in case of cancellation of the present agreement by both parties involved, the compensations due as in point 4.1), both those concerning the services and those concerning the rights of use of his/her image and/or voice and/or name, will be paid to the Model solely and exclusively following the actual payment by the third party. 6) CONFIDENTIALITY, PROCESSING OF PERSONAL DATA AND IMPLEMENTATION QECONSENT By undersigning the hereby agreement, the Model states to have looked over the informative data pertinent to ex art. 13 of D.lgs 196/203, as reported in Annex 1), whereby the signing of the latter becomes an integral part of this agreement, relevant to the procedures and purposes for processing his/her personal data by the same Agency. If this shall not occur, the contacts and data in the hereby agreement will be those considered as valid. 8) MODIFICATIONS TO THE CONTRACT Any modifications relating to the hereby agreement shall be stipulated and supported in writing by the parties under penalty of nullity. ‘The present agreement replaces and cancels every previous agreement existing between the parties. 9) EXCLUSIVE COMPETENT COURT AND APPLICABLE LAW Any possible dispute pertaining to the validity, interpretation, carrying out and/or cancellation of the hereby agreement shall be subject to the exclusive jurisdiction of the court of Milan. ‘The hereby agreement is exclusively governed by Italian law. 10) REGISTRATIONPossible costs for the registration of the hereby agreement shall be exclusively for account of the party expressing intention thereby. 11) LANGUAGE OF THE AGREEMENT. The hereby agreement is drawn up and signed in Italian for Italian nationality models, and in Italian and in English for foreign nationality models. In case of dispute regarding the validity, interpretation, carrying out and/or termination of the hereby agreement, the Italian version shall be held as true and prevail. 12) VALIDATION OF THE AGREEMENT BY PARENT OR LEGAL GUARDIAN In the case whereby the model is a minor, the present agreement will be considered effective only if accompanied by Annex 2), appropriately undersigned by the Model and a parent or legal guardian, 13) CONSTRUCTION OF THE AGREEMENT The present agreement is made up of S (five) pages as well as Annex 1) Information for the treatment of personal data (Information pursuant to Art. 13 D.lgs 196/2003) and Annex 2) Confirmation of the Contract (only in case of minors). (hereinafter WN), with headquarters in Milan, Via Morimondo 26, whose main role is to manage, boost, valorize and promote the image of those who perform or intend to carry out the role of being a Model. DATA - PURPOSE - SHELF LIFEFrom the moment a contract is drawn up between the agency and the model, personal data will be collected for various purposes as illustrated below: 1. Personal data and photographic video material: this information is necessary as it allows the agency to carry out activities specified in the signed contract and conferral is mandatory in order to fulfil contractual obligations. It is further emphasized that the. material will be published on the website and used on and through any other means of communication deemed appropriate by the agency to carry out its promotional activities. This data shall be conserved for the entire duration of the relationship and for the following 15 years, unless explicitly requested by the interested party to be deleted 2. Personal information: in order to carry out the activity correctly, the interested party is required to provide proof or information related to insurance coverage, bank details, fulfilment of tax or education obligations, etc. that are required for the agency to complete various legal duties expected by the agency. The interested party cannot decline to share this information, the penalty being the nullification of the contract. This data will be conserved for the entire period of the relationship in course and subsequently deleted. 3. Special data: during the collaboration with the agency, it is possible that the model is required to provide information or proof relating to this so-called special data, for example health certificates, religious preferences etc. Providing such information is optional and ‘consent is therefore requested (Form A) and should the interested party refuse to provide this information, he/she will not be able to participate in the proposed activity. This data will be conserved for the entire period of the relationship in course and subsequently deleted. 4. Information to the Association ASSEM: The agency is part of the trade association ASSEM and to obtain the membership card and in order to benefit from its collaboration for the activities related to issuing visas, itis possible that the model is required to provide Personal data and images related to the performance of such practices.OVERSEES RECIPIENTS and SENDERS All data communicated under the contract signed with the agency will be managed by the internal staff of Why Not and shared with clients and potential clients as part of the mandate granted to the agency, as well as with all the facilities and/or professionals with whom the agency collaborates for different purposes (accounts, tax, administration, IT systems management, travel and event organizations, press offices, video and photographic material realizators, etc.) It is also possible that, within the scope of the mandate entrusted to them, the agency will share personal data of its models with other agencies. It is emphasized that as part of its activities, the agency may find itself having to send the data to non-EU territories (Form A) and to do so, the agency requires explicit consent from the interested party. Pid in particolare, per I’espletamento dell’incarico oggetto del presente mandato il/la Modello/a conferisce all’ Agenzia, in esclusiva per il territorio italiano, il potere ed il diritto di: \Why Not Se ~ sede legale Via Morimondo 26 ~ 20143 Milano ~ Tel 02485331 — Fax 024812965 ~Capitale Sociale €50.000,00 (CF/P. 1707353430155 REA 1153040 - accounting@whynotmodels.com www.whynotmodels.com ~Associato S111ogni utile informazione su id comport diritto a a) promuovere la propria immagine utilizzando il suo nome, il suo ritratto none! materiale promozionale (es. composit, video book, sito internet, blog, altro) senza che qualsivoglia corrispettivo. b) Negoziare © formalizzare, nella pid assoluta autonomia, sul territorio italiano (previa verifica della disponibilita del/della Modello/a ad effettuare ogni singola prestazione), rapporti contrattuali con terzi, aventi ad oggetto le prestazioni e i conseguent diritti di utilizzo, in tutto il mondo, della sua immagine e/o voce e/o nome aventi finalita commerciale/promozionale, nonché trattare e definire i corrispettivi, avuto riguardo alle condizioni di mercato ¢ fatta salva la facolta per l'Agenzia di stabilire dei forfait. c) Negoziare ¢ formalizzare, anche successivamente alla cessazione del presente mandato, rapporti contrattuali aventi ad oggetto i diritti di utilizzo economico dell’immagine e/o voce e/o nome conseguenti a prestazioni realizzate durante la vigenza della presente scrittura; rinnovare, nel termine di un anno dalla cessazione del presente mandato, rapporti contrattuali aventi ad oggetto le prestazioni e i conseguenti diritti di utilizzo economico relativi ad eventuali campagne pubblicitarie realizzate durante I'ultimo anno di vigenza del mandato stesso. d) Incassare a nome proprio da terzi, oltre ai compensi spettanti all’Agenzia in virtti del servizio reso agli stessi (20% costi di produzione esposti direttamente ai terzi), gli importi relativi alle prestazioni e ai conseguenti diritti di utilizzo della sua immagine e/o voce e/o nome. ©) Procedere alla contestazione e al componimento transattivo, di controversie aventi ad oggetto il mancato pagamento dei compensi dovuti da terzi per effetto di rapporti contrattuali conclusi con I'Agenzia; richiedere, il risarcimento dei danni patrimoniali (con esclusione dei danni di natura morale) relativi ad indebiti utilizzi aventi ad oggetto lo sfruttamento della sua immagine e/o voce e/o nome. 1.2 Esclusiva Per effetto dell’esclusiva riconosciuta all’Agenzia il/la Modello/a si impegna a non disporre e/o far disporre in aleun modo, per tutta la vigenza del presente mandato, dei diriti e dei poteri riconosciuti all’ Agenzia. ALITA’ DI ESECUZIONE DEL MANDATO DA PARTE DELL’AGEN: 2.1) L’Agenzia provvedera ad investire le proprie risorse e a mettere a disposizione il proprio “know how” al fine di valorizzare e promuovere l'immagine deV/della Modello/a, acerescerne il relativo valore di mercato € coneludere il maggior numero di rapporti contrattuali con terzi. 2.2) Ogni qualvolta I'Agenzia ricevera una proposta contrattuale ne dart tempestiva notizia al/alla Modello/a ‘cui verranno comunicati il nome del cliente e le modalita di utilizzo dei diritti di immagine e/o voce e/o nome. 2.3) L’Agenzia si impegna a fornire aV/alla Modello/a, con la massima trasparenza, ogni chiarimento ed informazione in relazione all’attivita svolta, 2.4) Il/La Modello/a autorizza I’Agenzia ad inviare il rendiconto contabile/statement relativo alle attivita svolte in esecuzione del presente mandato alla propria agenzia madre. 3, OBBLI ZIONI DEL/DI A MODEL! 3.1) IW/La Modello/a deve dare all’ Agenzia un proprio recapito telefonico/e-mail al fine di rendersi facilmente reperibile nel minor tempo possibile per ricevere comunicazioni relative ad eventuali Proposte contrattuali. 3.2) A seguito delle comunicazioni di cui al precedente punto 2.2) il/la Modello/a dovra tempestivamente informare |’ Agenzia circa la propria disponibilita. Formalizzato l'accord tra I’ Agenzia e i terzi, il/la Modello/a sara obbligato/a, su richiesta, a confermare per iscritto il proprio consenso agli utilizzi concordati della propria immagine e/o voce e/o nome anche ai sensi dell’art. 96 L. 633/41. 3.3) II/La Modello/a si impegna a tenersi in buone condizioni fisiche ed estetiche, a non tagliarsi o cambiare colore ai capelli senza l'autorizzazione dell” Agenzia. 4) 1 COMPENSI 4.1) II/La Modello/a avra diritto ad un corrispettivo pari ad una percentuale del 70.% (settanta) sull’importo fatturato al cliente (sia per le prestazioni che per i diritti di utilizzo) esclusa I'Iva, le eventuali spese, i costi di produzioni (20%) esposti direttamente ai terzi, nonché le eventuali trattenute fiscali e/o previdenziali e/o di legge in genere. La percentuale spettante all’ Agenzia - 30.% (trenta.)- verra dalla stessa trattenuta all’atto del pagamento delle relative fatture da parte dei terzi. 4,2) La percentuale di competenza del/della Modello/a di cui all’art. 4.1) @ stata determinata tenendo gi conto del corrispettivo allo/a stesso/a spettante per |’esclusiva riconosciuta al precedente articolo 1.2). 4,3) E’ riconosciuto all’ Agenzia il diritto di dedurre, dai compensi spettanti al/alla Modello/a, eventuali anticipazioni corrisposte dall’ Agenzia a suo favore. 44) Si precisa che tutti i compensi di cui al presente art. 4.1), sia quelli concernenti le prestazioni che quelli concernenti la concessione dei i, verranno corrisposti al/alla Modello/a dietro presentazione di documentazione fiscale in regola con le vigenti disposizioni di legge, solo ed esclusivamente a seguito dell’effettivo pagamento da parte dei terzi. 4.5) Qualora il/la Modello/a richiedesse delle anticipazioni, la percentuale spettante all’ Agenzia concordata all’art 4.1) sara maggiorata del 5% annualmente e senza capitalizzazione.
