Resolution of the Board of Directors of ZYNOBA

LIMITED
It is hereby resolved that:

ZYNOBA LIMITED incorporated under the laws of United Kingdom established at 128 City Road, Road, City of London,
EC1V 2NX, United Kingdom, referred to going forward as "the Company", and the undersigned, being the Director(s) of
the Company do hereby order and adopt the following corporate resolutions:

1. That an application for a business account shall be made in the name of the Company with Paxum Inc., a Canadian
Financial Institution.
2. Aymane Younsi is authorized to fill out and sign the application on behalf of the ZYNOBA LIMITED
3. That the terms and conditions as set out in the business account contract are hereby approved.
4. Authorized Users with Read and Write Access Rights, listed below, are hereby authorized to:
To carry out all business for and on behalf of the Company, including, but not limited to, making deposits and
withdrawals, obtaining loans and making payments to any person, firm, company or any other entity.
To sign, endorse and execute documents in any and all business transactions conducted on behalf of the
company and to handle any and all legal matters pertaining to the company.

Such rights, power and authority shall remain in force and effective until terminated by written notice and there is
no time limit on any or all power and authority granted in this Resolution.

5. Authorized Users of the company with Read and Write rights have the ability to appoint new Authorized Users of
the company.
6. Any Authorized User of the company can provide Paxum Inc. with updated company documents as requested.
