Freelance Contractor Agreement

This Agreement is made between INS Global with its headquarters at


United Valley, Changle road No. 462, Floor 2, Huangpu District, 200020
Shanghai, China, and Freelance Contractor
, with a principal place of
residence at

1. Services to Be Performed
The Freelance Contractor agrees to be responsible for the following
duties:

 Creating 8 2dimensional animated video footage using modern


animation techniques.
 Maintaining continuity while moving shots according to scene
value.
 Trimming footage and putting together the rough project.
 Inserting dialog, sound effects, music, graphics, and special
effects.
 Creating the final cut for broadcasting.

2. Payment
In consideration of the activities to be responsible for by the Freelance
Contractor, INS Global agrees to pay the Freelance Contractor at the
following rates: $6,500.
Payments will be made via our preferred financial institution to your
preferred payment account. Note that you will be required to link your
account to the system of our preferred financial institution.

3. Expenses
INS Global shall not reimburse the Freelance Contractor for the
following expenses that are attributable directly to work performed
under this Agreement:
 Electricity
 Internet.

4. Equipment
The Freelance Contractor will provide any necessary equipment, tools,
and materials needed to provide the responsibilities required by this
Agreement. INS Global will require the Freelance Contractor to rent,
purchase, or own the equipment to fulfill given responsibilities and
services as a condition of entering this Agreement.

5. Freelance Contractor Status


As Freelance Contractors act personnel you are not, or shall not be
deemed, INS Global employees. In its capacity as a Freelance
contractor, Freelance Contractor agrees and represents, and INS
Global agrees, as follows
 The Freelance Contractor has the right to perform services for
others during the term of this Agreement.
 The Freelance Contractor has the sole right to control and direct
the means, manner, and method by which the services required
by this Agreement will be performed. ContractThe contractor
elects the starting and quitting times, days of work, and order
the work is performed but is required to complete all given
projects within the given timeline.
 The Freelance Contractor has the right to hire assistants
as subcontractors or to use employees to provide the
services required by this Agreement.
 Neither the Freelance Contractor nor the Freelance
Contractor's employees or contract personnel shall be required
to wear any uniforms provided by INS Global.
 The services required by this Agreement shall be performed by
the Freelance Contractor, Freelance Contractor's employees, or
contract personnel, and INS Global shall not hire, supervise, or
pay any assistants to help the Freelance Contractor.
 Neither the Freelance Contractor nor the Freelance
Contractor's employees or contract personnel shall receive any
training from INS Global in the professional skills necessary to
perform the services required by this Agreement.
 Neither the Freelance Contractor nor the Freelance Contractor's
employees or contract personnel shall be required by INS
Global to devote full time to the performance of the services
required by this Agreement.
6. Business Licenses, Permits, and Certificates
The Freelance Contractor represents and warrants that the Freelance
Contractor and Freelance Contractor's employees and contract
personnel will comply with all federal, state, and local laws requiring
drivers and other licenses, business permits, and certificates required
to carry out the services to be performed under this Agreement.

7. State and Federal Taxes


INS Global will not:
• withhold FICA (Social Security and Medicare taxes) from the
Freelance Contractor's payments or make FICA payments on the
Freelance Contractor's behalf
• make state or federal unemployment compensation
contributions on the Freelance Contractor's behalf, or
• withhold state or federal income tax from the Freelance
Contractor's payments.
The Freelance Contractor shall pay all taxes incurred while performing
services under this Agreement-including all applicable income taxes
and if the Contract the or is not a corporation, self-employment (Social
Security) taxes. Upon demand, the Contractor shall provide INS Global
with proof that such payments have been made.

8. Fringe Benefits
The Freelance Contractor understands that neither the Freelance
Contractor nor the Freelance Contractor's employees or contract
personnel are eligible to participate in any employee pension, health,
vacation pay, sick pay, or other fringe benefit plan of INS Global.

9. Unemployment Compensation
INS Global shall make no state or federal unemployment compensation
payments on behalf of the Freelance Contractor or contract personnel.
The Freelance Contractor will not be entitled to these benefits in
connection with work performed under this Agreement.

10. Workers' Compensation


INS Global shall not obtain workers' compensation insurance on
behalf of the Freelance Contractor. If the Freelance Contractor hires
employees to perform any work under this Agreement, the Freelance
Contractor will cover them with workers' compensation insurance to
the extent required by law and is not required to provide INS Global
with a certificate of workers' compensation insurance before the
employees begin the work.
11. Insurance
INS Global shall not provide insurance coverage of any kind for
Freelance Contractors or contract personnel. Freelance Contractor
shall obtain insurance coverage and maintain it during the entire term
of this Agreement at the Freelance Contractor's will.

12. Indemnification
The Freelance Contractor shall indemnify and hold INS Global harmless
from any loss or liability arising from performing services under this
Agreement.

13. Term of Agreement


This agreement will become effective when signed by both parties and
will terminate on the earlier of:
• January 30th, 2023, or
• the date a party terminates the Agreement as provided below.

14. Terminating the Agreement


Either party may terminate this Agreement at any time by giving 2 days
written notice to the other party of the intent to terminate.

15. Exclusive Agreement


This is the entire Agreement between Freelance Contractor and INS
Global.

16. Modifying the Agreement


This Agreement may be modified only by a written signature by both
parties

17. Resolving Disputes


If a dispute arises under this Agreement, the parties agree to first try to
resolve the dispute with the help of a mutually agreed-upon mediator
in Alameda County, CA. Any costs and fees other than attorney fees
associated with the mediation shall be shared equally by the parties. If
it proves impossible to arrive at a mutually satisfactory solution
through mediation, the parties agree to submit the dispute to a
mutually agreed-upon arbitrator in Alameda County, CA. Judgment
upon the award rendered by the arbitrator may be entered in any court
with jurisdiction. The arbitrator will allocate the costs of arbitration,
including attorney fees.

18. Confidentiality
The Freelance Contractor acknowledges that it will be necessary for
INS Global to disclose certain confidential and proprietary information
to the Freelance Contractor for the Freelance Contractor to perform
duties under this Agreement. The Freelance Contractor acknowledges
that disclosure to a third party or misuse of this proprietary or
confidential information would irreparably harm INS Global and /or its
partners. Accordingly, the Freelance Contractor will not disclose or
use, either during or after the term of this Agreement, any proprietary
or confidential information of INS Global and its partners without INS
Global's prior written permission except to the extent necessary to
perform services on INS Global's behalf.
Proprietary or confidential information includes:
• the written, printed, graphic, or electronically recorded materials
furnished by INS Global and its partners for the Freelance
Contractor to use
• any written or tangible information stamped "confidential,"
"proprietary," or with a similar legend, or any information that
INS Global makes reasonable efforts to maintain the secrecy of
• business or marketing plans or strategies, customer lists, operating
procedures, trade secrets, design formulas, know-how and processes,
computer programs and inventories, discoveries, and improvements of
any kind, sales projections, and pricing information
• information belonging to partners of INS Global about whom
Freelance Contractor gained knowledge as a result of
Freelance Contractor's services to INS Global, and
• Intellectual property developed or in development by the
Freelance Contractor using the technologies provided by INS Global
for the duration of this Agreement.
Upon termination of the Freelance Contractor's services to INS Global,
or at INS Global request, the Freelance Contractor shall deliver to INS
Global all materials in the Freelance Contractor's possession relating
to INS Global business.
The Freelance Contractor acknowledges that any breach or threatened
breach of Clause 18 of this Agreement will result in irreparable harm to
INS Global and its partners for which damages would be an
inadequate remedy. Therefore, INS Global shall be entitled to equitable
relief, including an injunction, in the event of such breach or threatened
breach of Clause 18 of this Agreement. Such equitable relief shall be
in addition to INS Global rights and remedies otherwise available at
law.

19. Proprietary Information.


A. The product of all work performed under this Agreement ("Work
Product"), including without limitation all notes, reports,
documentation, drawings, computer programs, inventions, creations,
works, devices, models, work-in-progress, and deliverables will be the
sole property of INS Global, and the Freelance Contractor hereby
assigns to INS Global all right, title andinterest therein, including but
not limited to all audiovisual, literary, moral rights and other copyrights,
patent rights, trade secret rights, and other proprietary rights therein.
Freelance Contractor retains no right to use the Work Product and
agrees not to challenge the validity of INS Global ownership in the Work
Product.

B. The Freelance Contractor hereby assigns to INS Global all right,


titles, and interest in all photographic images and videos or audio
recordings made by INS Global during the Freelance Contractor's
work for them, including, but not limited to, any royalties, proceeds, or
other benefits derived from such photographs or recordings.

C. INS Global will be entitled to use the Freelance


Contractor's name and/or likeness used in advertising and other
materials.

20. No Partnership
This Agreement does not create a partnership relationship. The
Freelance Contractor does not have the authority to sign contracts on
INS Global's behalf.

21. Assignment and Delegation


The Freelance Contractor can assign or subcontract any rights or
delegate any of its duties under this Agreement without INS Global
prior written approval.

22. Applicable Law


This Agreement will be governed by California law and the state in
which the Freelance Contractor resides, without giving effect to
conflict of laws principles.
