President: Good morning, everyone. The Special Executive Meeting of Divorse Ayala Corporation is called
to order. May I ask Director Regalado to lead us in a prayer.

Regalado: Heavenly Father, we come to you today asking for your guidance, wisdom, and support as we
begin this meeting. Help us to engage in meaningful discussion; allow us to grow closer as a group and
nurture the bonds of community. Fill us with your grace, Lord God, as we make decisions that might
affect the company. And continue to remind us that all that we do here today, all that we accomplish, is
for the pursuit of truth for the greater glory of You, and for the service of humanity. We ask these things
in your name, Amen.

President: Amen. May I ask Miss Secretary to have the roll call for this today’s special meeting.

Secretary: Good morning, everyone. Today is April 21, 2023. As I have called your name, please kindly
click the virtual hand for your attendance to be recognized.

Secretary: Chairwoman, for today’s attendance, there is no absence. The two directors are present at
this meeting.

President: There is no absence; therefore, we have a quorum.

President: A pleasant morning to everyone. I am glad to welcome all respective Board of Directors as
well as our honorable guest from the Office of the Department of Tourism – Central Visayas, to this
special meeting of Divorse Ayala Corporation. Miss Secretary, kindly present to us the agendas for
today’s meeting.

Secretary: As discussed and recorded in the previous regular meeting dated April 11, 2023, we have
scheduled this day for April 21, 2023, to discuss the preparation for the 2023 year-end evaluation, team-
building, and 2024 planning of Divorce Ayala Corporation. Today’s agenda for this special meeting is:
presentation of the prospective venue for the 2023 year-end evaluation; team-building; and 2024
planning.
President: Thank you for that, Miss Secretary.

President: The Divorce Ayala Corporation runs a year-end evaluation program every year. It is important
to offer feedback, acknowledge quality work, and establish expectations for the company's employees'
future job performance. It is also a moment to have open discussions regarding poor performance and
how it may be changed for the benefit of our firm.

President: For today’s meeting, we are delighted and honored to be attended by one of the country's
most diligent, empowering, and transformative public officials. He is with us today to help us make
meaningful decisions for the preparation of our upcoming year-end evaluation, team-building, and
planning. Let’s welcome, the Regional Director of the Department of Tourism, Central Visayas, Hon.
Kenneth Lance A. Rocapor, CPA, MBA.

Rocapor: Thank you so much for that formidable introduction, Chairwoman Rodriguez of Divorse Ayala
Corporation. Good morning, everyone. I am honored to be invited this morning and present to you the
charm of central Visayas Region and the feasible venues for the upcoming Year-end Evaluation, Team
Building and Planning of your company.

1. Present Province of Bohol. Provide 1 hotel and resort for venue.


2. Present Dumaguete. Provide 1 hotel and resort for venue.
3. Present Cebu. Provide 1 hotel and resort for venue.

Rocapor: That concludes my presentation. Once again, thank you and good morning.

President: Thank you so much, Director Rocapor. Indeed, Central Visayas is one of the country’s must-
visit regions.

President: Now, I would like to ask the body and our two directors for any comments, sentiments, or
suggestions. Director Razul.

Razul: Thank you, Chairwoman. First, I would also like to personally thank Regional Director Rocapor for
accepting our invitation and for his presentation. For me, Chairwoman, it is best to have and consider the
beautiful island of Bohol, specifically the Hennan Resort and Spa, as the venue for our year-end
evaluation, team building, and planning. The facilities are high-class and really fit our activity. As well as
the province, many are surprised to discover tons of activities to do on the island. Apart from the
picturesque landscape, our employees will love its pristine white-sand beaches, jungle activities, and
unique food delicacies.

President: Thank you, Director Razul. Any comments and suggestion, Director Regalado?

Regalado: Thank you, Chairwoman. Thank you so much, Regional Director Rocapor, for your presence
today. I would like to ask the Tourism Director if there is already a direct flight from Manila to Tagbilaran,
Bohol.

Rocapor: Thank you, Director Regalado. As of this moment, direct flights from Manila to Tagbilaran,
Bohol, are not available. During the pandemic, it was one of the routes that were cancelled.
Nevertheless, tourists and travelers heading to Bohol may access Cebu City.
Regalado: Thank you, Director. If that’s the case, Chairwoman, I would suggest Cebu City as our venue,
specifically the Shangri-la Mactan Cebu, for our year-end evaluation, team building, and planning.
Considering Cebu City is the center of the urban region of Central Visayas, It has so much to offer our
employees during their stay in Cebu: good food, world-class beaches, a thriving entertainment scene,
rich culture, historical sites, and nightlife. In any case, we could still also plan for a side trip to Tagbilaran,
Bohol, which is only 1-2 hours from Cebu City via ferry or fast craft. On the other hand, in terms of
facility, I believe that the Shangri-la Mactan Cebu is one of the five-star hotels in the city and can
accommodate our 2,387 employees.

President: Thank you very much, Director Regalado. According to Regional Director Rocapor, the Manila-
Bohol flights are currently unavailable and cancelled. May I ask Director Razul if he has any thoughts
since you originally proposed Bohol as our location?

Razul: Thank you very much, Chairwoman. Yes, I agree with the points highlighted and suggestions made
by Director Regalado. Given that a flight from Manila to Bohol is not currently accessible, I believe it is
advisable to select Cebu as our destination and organize a side trip to Bohol.

President: Thank you, Director Razul and Regalado. Yes, it seems Cebu City and the exact site proposed
by Regional Director Rocapor will be an excellent fit for our year-end program. Since we've all decided on
Cebu City as the location, it's now official, and we'll discuss additional preparations at the next meeting.

Thank you very much for your time and presence at this meeting, Directors Razul and Regalado. Our
heartfelt appreciation and gratitude go to our Department of Tourism Regional Director Rocapor for
accepting our offer and joining us this morning. I hope to see you in Cebu in December!

President: Yes. Thank you. To wrap up this special meeting, may I ask Miss Secretary to lead us in a
prayer.

Secretary: Dear Lord God, We thank you for the opportunity to gather today. Be with us as we leave this
meeting. Help us walk with confidence and lead us with your truth as we move forward, praise you, and
live our lives in this world. Accept our gratitude and allow us to depart from this place with a full mind
and soul as we go to various destinations. All these things we pray through your mighty Son, in Jesus’
name, Amen.
