 TERMS AND CONDITIONS

These terms and conditions shall supersede all prior representations.orders, documentation and negotiations concerning the subject
matter of the order and shall not be varied save by the written confirmation of the seller.

PAYMENT Payment to be made as per the agreed credit days or within 30 days from the date of invoice. Payment made on
account ( i.e., not against specified invoices ) shall be adjusted against the oldest outstanding invoices at the discretion
of JOTUN SAUDIA CO.LTD.

DELIVERY Delivery terms FOB, FAS, C&F, CIF, and Ex Works shall have the same meanings as assigned to them in incoterms
2010 as amended. All references in the Contract to dates or periods of time shall be construed in accordance with
the Gregorian calendar. JOTUN SAUDIA CO. LTD. shall make all reasonable endeavors to deliver the goods which
are the subject of the Contract within the time or times specified in the Contract. However, JOTUN SAUDIA CO.
LTD. shall in no event be liable for any loss or damage resulting directly or indirectly to Purchaser through or as a
consequence of late delivery. JOTUN SAUDIA CO. LTD. shall be entitled to suspend delivery under the order and
then to recommence delivery or to cancel or rescind the Contract in whole or in part, without in any such case, liability
for loss or damage resulting there from, if the performance of itsobligations under the order or its ability to manufacture
the goods is in any way affected by fire explosion, flood,drought, strike, labour difficulties lockout, shortage any raw
material or power, failure of any operating requirement, mobilization, war (declared or undeclared), hostilities, riot,
rebellion, revolution, sabotage, blockade.act of any Government or Government agency, act of nature or any other
cause whether or not of the nature or character specified above which is beyond the reasonable control of JOTUN
SAUDIA CO, LTD.. In the evenbf any such cause arising, JOTUN SAUDIA CO. LTD shall give notice thereof to
purchaser as soon as practicable.

Delivery will generally be free of charge within Saudi Arabia for full truck loads, but we reserve the right to levy a charge
for distances over 50 kms from major cities. Such decision will be at the discretion of the company. For deliveries to
other destinations or for deliveries out of office hours such as Fridays and public holidays - we reserve the right to
charge the actual delivery costs, Delivery is subject to availability of stock and vehicles.
Re: Export Orders : Any single order should be at least one truck load or container load if by sea Delivery commence
within 7-15 days from the date of receipt of confirmed order and/or receipt of agreed Letter of Credit by our bankers.
Custom dues, handling charges at borders, road, and other related expenses to be borne by the customer.
For delivery of specially ordered products and or colours, JOTUN SAUDIA CO. LTD. has the right to ask for payment
in advance of production.

PURCHASER Purchaser may not assign or transfer all or any part of their rights or obligations hereunder without the prior written
consent of JOTUN SAUDIA CO.LTD. Purchaser hereby agrees that no portion of the goods shall be resold, assigned,
or delivered to Israel.

LIABILITY JOTUN SAUDIA CO. LTD. does not accept any liability for damage or expense caused by defects in the delivered
products, delayed delivery, missing goods, etc. caused by factors beyond the companys control. Provided that a
product is found to have some fault for which JOTUN SAUDIA CO. LTD. is responsible, JOTUN SAUDIA CO. LTD.
shall undertake to replace the product. If the product has been totally or partly consumed, JOTUN SAUDIA CO. LTD.
can either replace the product without charge or pay compensation not in excess of the sum invoiced for the product
or quantity. "Under no circumstances will JOTUN SAUDIA CO. LTD. accept any liability for the quality of the product
delivered, or product pricing or taxation charges to the Purchaser unless the Purchaser has notified JOTUN SAUDIA
CO. LTD. in writing of any discrepancies within 15 calendar days from the date of invoice."

SURCHARGES The minimum quantity of a special colours should be 500 litres. If the quantity of any special colours is less than 500
Special Colours. liters, then the customer will be charge list price, and any discount facility will no longer apply. On certain occasions,
special prices may be imposed on special colours which may not be available for one reason or another, in the desired
quality and quantity.

CONTAINERS Based on the products 1, 4, 5, 18, 20 liters packing units are used for Paints.

RETURN OF Standard products can only be returned in special cases and, only when prior agreement has been reached between
GOODS the parties concerned.Credit for such returned goods.would be at the discretion of JOTUN SAUDIA CO. LTD

CONTRACT The Contract shall be governed by and construed in accordance with the laws of the Saudi Arabia. Any litigation/legal
action against JOTUN SAUDIA CO. LTD. shall only be within the jurisdiction of Kingdom of Saudi Arabia.
