VIP MEMBERSHIP CARD PACKAGE SALE AGREEMENT

(Club + 30 Years Vacations)

THIS AGREEMENT is executed at Hyderabad on this ________________________________between COUNTRY CLUB HOSPITALITY & HOLIDAYS LTD., (CCHHL), a
company incorporated under the Companies Act 1956, having its registered office at Amrutha Castle, 5-9-16, Saifabad, Opp. Secretariat, Hyderabad —
500 063, and Corporate Office At Country Club, Kool Building, 6-3-1219, Begumpet, Hyderabad — 500 016, hereinafter referred to as the First party/The
Company/CCHHL, which term shall, unless repugnant to the meaning or context thereof, include and deem to include its successor or successors in office
or assigns, duly represented by Mr. ______________________________ S/o _______________________ Designation _________________

AND WHEREAS the First Party / Company is engaged in hospitality business operating Clubs, fitness centers, Hotels, travel planning services and Resorts.

AND WHEREAS the Second Party desires to purchase products of the company and accordingly he/she has thoroughly understood all the Terms &
Conditions of the Agreement and has fully understood the nature and scope of this Agreement. CCHHL explained all the Terms & Conditions of the
Agreement to the Second Party and the Second Party has unconditionally accepted the same.

AND WHEREAS the Second Party hereby unconditionally gives his / her / their irrevocable consent to the signing of this with CCHHL. The Second Party
understands that THE CHARGES IS NOT A REFUNDABLE DEPOSIT AND NOT AN INVESTMENT. THE FEE IS NOT A REFUNDABLE UNDER ANY
CIRCUMSTANCES.

AND WHEREAS the Second Party hereby declares that he / she / they will abide by Rules & Regulations and Bye-laws (including amendments made from
time to time) of CCHHL's and also shall punctually, correctly and in full letter and spirit comply with the Terms & Conditions agreed upon and hereinafter
set out.

NOW IT IS AGREED BY AND BETWEEN THE PARTIES HERETO AS MENTIONED IN the TERMS & CONDITIONS AND COVENANTS OF SECOND PARTY are
as follows:

This package includes (i) Holiday Room Nights (ii) Club Membership & Fitness centers.

In the event the Second Party chooses to benefit from 'Cash out' price then he/ she is liable to pay the entire amount within 30 days of initial payment. In
the event the Second Party does not make the payment within 30 days of the initial payment, then the First Party will revoke the benefit of the 'Cash out'
price and will collect the full product price from the Second Party.

Holiday Room Nights Benefits

2. Member can stay for a period upto 6 Nights and 7 Days each year at CCHHL's properties within India for 30 Years.

3. The short term accommodation shall be provided in regular rooms without kitchen for the selected time for Second Party, spouse and
2 children below 12 years age. Dependent vacationers above 12 are considered as adults. Maximum 3 adults can be accommodated in
one studio room. Extra room need to be taken at an additional cost if there are more than 3 adults in a Room. Room allocation depends
on eligibility and subject to availability. A maximum of 3 days can be used annually for an Affiliated property.

4. As of 2021 first party has vacation properties (own/leased) at - Ahmedabad, Bangalore, Bandipur, Chennai Mahabalipuram Rd, , Coimbatore,
Goa, Hyderabad, Kodaikanal, Surat, This list can be changed without any prior notice for any reason.

5. SHORT TERMACCOMMODATION Priority - Floating Week Opted:

(I) Blue (Standard Priority — Standard price) (Il) White (Medium Priority — Medium pricing)
(III) Red (High Priority — High pricing).

6. Short Term Holidays for the period mentioned below from the date of this agreement.

(A) VIP — 30 Years

7. Vacation valid for a year in a Studio Room for Two adults and two Children under 12 Years age (or 3 Adults) and the same is renewable

Up to Thirty Years _________________ Priority, subject to making AMC & other dues payable to the CCHHL without any default

CLUB and FITNESS BENEFITS

8. Club Membership is valid for Life time and the same is renewable subject on payment of Annual Charges and any other dues payable to the
Company without any default. Children under 25 years age will be treated as the dependent members. The parents of the primary member can be
included in this Membership by making payment of an additional Rs. 10,000/- (Rupees Ten Thousand only) to the product sale price. No other
friends and/or relatives are entitled to enjoy the benefits of the membership card. The primary premises of the club is located at Country Club, 6-
3-1219, Begumpet , Hyderabad- 500016. All other locations are branches of the club.
9. As of 2021 we have over own/leased Country Clubs in India at- Ahmedabad (1), Bangalore (5), Chennai (1), Coimbatore, Delhi NCR, Hyderabad,
Hubli, Indore, Kolkata, Mangalore, Mysore, Mumbai, Pune, Surat. This list is exhaustive and CCHHL's Club & FC is not located in any other location.

10. It is understood that the CC Fitness Center is complimentary. CC Fitness is set up for the convenience of the Members, however, CCHHL reserves
the right to shift/remove and/or make any other arrangement of its location or combine 2 or more locations, without any prior notice, if the
minimum number of members are not met or for any other valid reason. For further information please visit our website

11. Free usage of CC Fitness Center, Swimming Pool and other services (where these facilities and services are available) for the member and his
family from the date of the signing of this Agreement.

Annual Charges

12. To maintain and provide facilities, accommodation and other benefits to the member as per this agreement an annual charges of Rs. 6,000/-
(Rupees Six Thousand Only) excluding taxes is applicable and paid in advance every year irrespective of the usage. This amount is due from the
date of this agreement and must be paid before the first Holiday or within the first 3 months or during the course of the membership there is a
onetime special undertaking that can be given saying that after using the first holiday second party will pay the AMC regularly. If the Member is
interested in including the parents of the Member then an additional Rs. 2,000/- (Rupees Two Thousand only) will be charged towards annual
charges excluding taxes. Failure to pay the said amount or any other amount due shall be considered as a default by the member and the member
cannot utilize the facilities until the dues are cleared. Annual charges bill will be generated irrespective of whether the Second Party has made full
or part payment towards the membership. Annual charges will increase by 15% every Three Years on the last paid amount without prior notice.
13. This is a limited and exclusive offer. In case committed amount of fee is not remitted within 45 days from the date of initial payment, the money
remitted till then would be forfeited by the CCHHL and Club & vacations allotted, if any, would be cancelled without any prior notice. (Not
applicable in case EMI related Membership offered by CCHHL)
14. In the event the Second Party continues to default in completing the payment towards the 'with EMI price even after a year, then the First Party
reserves its right to forfeited the amount or degrade the benefits of product to the closest priced product to complete the transaction of the Second
Party. The Second Party understands that once the product is degraded the benefits under this agreement can be no longer be availed by the
Second Party. Further, any benefits already availed by the Second Party under this agreement prior to degradation will be set off against the
benefits of the degraded product closest in value
PARTICULARS OF THE CLUB MEMBERSHIP
15. Membership is marketed and sold with respective locations in which CCHHL has clubs presently as stated in this agreement and any other
locations in which clubs may be proposed to be set up later. Commitments made by CCHHL personnel regarding proposed locations will not be
binding on CCHHL. Membership can be transferred to another club within the CCHHL owned properties network. In case the membership fee in
the location to which transfer is sought is higher than location in which membership was taken, the difference in membership fee is to be paid to
CCHHL to facilitate the transfer. Transfer fee is as applicable in the event the Member transfers his membership to CCHHL owned properties only.
16. The membership is for the period specified and is transferable only once to a specified member of the family transfer fees applicable for
administrative purpose, which may be amended periodically without prior notice/intimation.
PARTICULARS OF VACATIONS:
17. The Membership card will be issued to the Second Party subject to providing copy of ID proof, address proof, two photographs and compliance of
the KYC norms of the whole family.
18. CCHHL has the right to withdraw any properties from the list has given in this agreement at any time without prior intimation. Holiday booking
process is online and on first come first serve basis and is open for booking as specified under the Clause below. Online booking will be confirmed
subject to availability of the rooms.

19. Holiday booking is to be done online only or through the Country Club mobile app. To make bookings online please visit
www.countryclubindia.com, click on login and select your location from the drop down menu. Login with the username and password mentioned
on the ONLINE receipt (obtained as per clause 24), which will also be sent along with the welcome letter and the procedure for booking online to
book your holidays.) The Second party can utilize the vacations immediately on full payment of product and other dues even before receiving the
card and welcome kit. The reservation is only confirmed once the booking voucher is issued. The reservation merely with an email for
confirmation without a booking voucher is not a confirmed vacation and therefore the same will not be accepted. During peak time if occupancy of
CCHHL's owned resort opted for is high, ONLY shorter holiday durations are provided to accommodate others.

20. Affiliated properties usage in India is allowed for 3 days only by paying Rs.999/- per day (as of 2021, subject to change)

TERMS & CONDITIONS

21. In an event that regular rooms are unavailable CCHHL will make superior rooms available, however as they are of a higher category an MAP plan
(which includes breakfast and lunch or dinner), there would be additional charges levied upon the second party.

22. The application for this needs to be submitted along with a copy of acceptable proof of identity and proof of address. The Club & vacation charges
mentioned should be paid via Cheque / DD / PO / Credit Card/Debit card favoring “Country Club Hospitality & Holidays Ltd. payable locally and
should be submitted along with this Agreement. CASH REMITTANCE, if any, should be made ONLY TO CCHHL's ACCOUNTS DEPARTMENT at
CCHHL office and spot ONLINE receipt should be obtained and the same should be viewed online in the vacationer login provided. The CCHHL will
not be held responsible for cash payments made or alleged to be made to Company's sales personnel, or any employees or Marketing Associates
against receipts on letter head, stamp paper etc.

23. The Membership card will be issued to the Second Party, his or her spouse and children (upto the age of 25 years only supported by proof of age)
subject to providing copy of ID proof, address proof, two photographs and compliance of the KYC norms of the whole family. The process of
execution of agreement will complete only after affixing signature of Authorized representative of the First party. Once the Second party signed
the agreement, the same will send the Head Office for execution of the agreement. Thereafter a copy of the same will be sent to Second party
through a courier.

24. The Second Party understands, even in absence of the membership card that he/ she can access the club premises with the ONLINE receipt
(obtained as per clause 24) for three months or till the time the member receives his membership card.

25. All holidays are subject to availability as we follow a floating week. Every effort is made to ensure our booking system is transparent and other
CCHHL's vacationers of higher season/points get an opportunity to book first. Week – 24th December to 30th January are blocked out dates, RED
week - Booking can be done between 90 days to 15 days before the desired holiday dates, WHITE week - Booking can be done between 75 days to
30 days before the desired holiday dates and BLUE week - Booking can be done between 60 days to 45 days before the date of the desired holiday
dates. After the stipulated dates mentioned as per the season/points, all CCHHL vacationers have an equal opportunity to book their holidays.
Only after those CCHHL vacationers of higher category books his holiday, a CCHHL vacationer of middle or lower category can book his holiday.

26. There shall be a cool off period of 10 days from the date of signing of this Agreement wherein member can discontinue the agreement. After
deduction of 10% of Paid amount or Rs.4800/-, whichever is higher plus any costs accoiated with bank interest etc, the balance of 90% of
paid amount will be refunded within 120 working days from the date of invoking of cool off period. For invoking the cooling off period the
member shall send a written communication to the Chief Processing Officer Country Club, Central Customer Care, Asian building, Begumpet,
Hyderabad - Telangana 500016 through registered or speed post only. Email or any other forms of communication to anyone other
person/address will not be considered as acceptable mode of communication for this process. After expiry of the aforesaid period the entire
membership fee is non refundable under any circumstance

27. CCHHL neither does engage in any renting & selling of member's unused vacations or benefits nor allow the vacationer to exploit it commercially
however in an event that guest would like to gift it to someone other than the members a guest fee will apply.

28. The Second Party understands that the holidays are to be utilized under the agreement and that once the holiday lapses, the same cannot be
renewed under any circumstances.

29. Pickup/Drop/sightseeing/breakfast/lunch/dinner may be arranged on request ONLY at an additional charge. CCHHL does not provide any Air
tickets for the vacationers or any discount on Air tickets in the membership.

30. It is understood by the Second Party hereto that only after submission of all the necessary documents and satisfactory verification of the same
thereafter by CCHHL, vacation vouchers will be issued to the Primary applicant to the address stated in this Agreement. The Second Party
understands that there are no separate holiday vouchers for sale and the Second Party is entitled to benefits that are only set out under this
agreement.

31. The Second Party understands that he / she will have to pay Taxes and other levies as levied by the government i.e GST and any other additional
taxes as may be applicable from time to time

32. The Second Party can obtain a copy of the Bye laws of CCHHL by making written application to Admin Manager, Admin Dept, 6-3-1219, Begumpet,
Hyderabad - 500 016.

33. Outside food/beverages are strictly not allowed in the clubs/resorts. Charges for consumables such as food, beverages and other facilities availed
by the Second Party and guests will be determined by the management from time to time and should be cleared on a day to day basis. No credit
facilities will be extended.

34. Vacations must be utilized by the member as per the terms under this agreement and the booking voucher issued by the CCHHL.

35. No pets are allowed in any of the CCHHL's own/Affiliated premises’.

36. Second party may be denied using his/ her vacations under this agreement if there is any other outstanding due payable from the Second Party s
to the First Party.

37. The Second Party hereby agrees to purchase products CCHHL under this agreement and CCHHL accepts the same, subject to the terms and
conditions of this Agreement.

38. Second Party has understood the benefits available under this agreement which is more particularly listed out in this Agreement. Second Party
further understands that no benefits other than those listed in this Agreement will be available to Second Party.

39. The Second Party understands that he / she are bound by Rules & Regulations of CCHHL and as duly amended from time to time. The decision of
the management of CCHHL would be final in all matters.

40. On signing of this agreement with First Party, the Second Party consents to First Party regularly reaching out on phone/ mail /email/sms, updates
on new schemes & other value additions even if the party is in the TRAI regulated DND. The Second Party understands that he / she should furnish
their change of address; telephone numbers etc., if any to Customer Care Dept., to keep Second Party's record up to date.

41. Apart from these Terms & Conditions as mentioned above, all other statutes as applicable shall be binding on Second Party. Any amendment or
enactment of a legislation resulting in additional obligations on First Party or changing the nature of any activity undertaken by First Party to the
detriment of the First Party then the provisions in this agreement to the extent the additional obligations are imposed on the First Party and the
provisions in this agreement to the extent the law applicable is changing the nature of the activity undertaken by the First Party would be
considered as extinguished before the amendment or enactment of the legislation coming into force and the Company would not be held
responsible for consequences of such changes.

42. Second Party understands that this Agreement (in the printed form ONLY) SUPERCEDES any communication whether written or oral or any
variation or hand written remarks rewriting the printed Agreement made by the Agents and/or representatives of CCHHL or Second Party to this
Agreement and/or any other written communication issued by CCHHL representatives (including on Company Letter Head or STAMP PAPER).
Further, Second Party understands that the benefits and terms of the vacations as set out in this Agreement are final and binding on CCHHL, and
Second Party.

43. Second Party confirms that no other verbal/written promises or any other assurances in deviation from this agreement have been made by
CCHHL's personnel.

44. Second Party hereby declares that particulars given above are true, correct and are completely in order. If any transaction is delayed or not
affected at all for the reason of incomplete or incorrect information, Second Party shall not hold CCHHL responsible for any
loss/damage/inconvenience caused due to the same. The Second Party shall, within 30 days from shifting to any other residence apart from the
address mentioned in this agreement, shall intimate the same to CCHHL at the address mentioned in this agreement regarding the new address
along with address proof. In the event the intimation of change of address is not given to CCHHL, any communication either by CCHHL or through
their lawyers is deemed to be served on the address mentioned in this agreement.

45. Second Party acknowledges and confirms that all the Terms and Conditions of CCHHL, shall be fully and completely binding on Second Party on
signing of this Agreement by Second Party and that any further amendments to the same shall also be binding on Second Party.

46. Second Party confirms that Second Party shall not use the vouchers and/or offers, if any, or the facilities offered pursuant to the offer, if any, for
any improper or illegal or unlawful purposes/activities or adopt or alter the same for any improper or illegal or unlawful gain.

47. Second Party acknowledges that Second Party has been treated pleasantly and courteously and Second Party entered into this Agreement at its
free will and accord and there is no compulsion or coercion or undue influence exercised by CCHHL and/or its agents/ representatives.

48. Second Party here by confirms that Second Party has gone through the aforesaid Terms & Conditions and Benefits/Obligations and Second Party
has understood and accepted the same.

JURISDICTION

49. It is agreed between the Parties herein that in the event of any dispute, claim or differences arising under this Agreement, the Second Party shall
contact the Central Customer care team of CCHHL at centralcustomercare@countryclubmail.com.

50. “All disputes arising out of relation to the present agreement shall be subject to exclusive and sole jurisdiction of the court ( The Definition of the
Courts includes the District/ State/Consumer forums also ) situated at Hyderabad alone and nowhere else since the agreement is entered between
the parties into Hyderabad for all material purpose and by virtue of present agreement the jurisdiction of all courts is excluded by the parties
except for court situated at Hyderabad alone. The Second Party is hereby unconditionally and irrevocably agreed the place of jurisdiction for
adopting any kind of Legal recourse will be at Hyderabad".
