MEMORANDUM OF UNDERSTANDING (MOU)

FOR LEGAL CASES PENDING AND FOR EXECUTION OF CASES

This MEMORANDUM OF UNDERSTANDING (hereinafter referred to as "MOU")


is entered into and made effective on Date: _________ _____________ by
and between the following parties:

BETWEEN:

[Name and Address] of the ONE PART (hereinafter referred to as the "FIRST
PART")

AND:

[Borrower 's Name and Address] of the OTHER PART (hereinafter referred to
as the " SECOND PART ").

FIRST PART and SECOND PART may be referred to individually as “Party”


and collectively as the “Parties”;

FIRST PART provides sum of money __________ (Rupees XXX ) to SECOND


PART for Legal cases Pending and for execution of these cases in accordance
with the terms and conditions agreed to in this Agreement (the
“Agreement”).

This Agreement serves to set forth the understanding in connection with the
proposed financing for the Property.

Term of this Agreement.

1. Proposed Financing. The SECOND PART is requesting a sum of


money for Legal cases according to the following terms and conditions.
a) Amount: _________ (Rupees XXX Only). Out of this
_______________ (Rupees XXX) will be released first, remain 50%
amount will be given, only after successful order of Hon’ble High
Court.

b) No Interest will be paid by SECOND PART to FIRST PART.

c) Success Fee and Profit will be given to FIRST PART by SECOND


PART. At the rate of 26% of total Amount to FIRST PART and 4% will
be retained by SECOND PART.

c) Installments of Disbursement of Money: 3 Installments.

2. Fees. The SECOND PART hereby agrees to pay the following fees:

Success Fee. The SECOND PART agrees to pay the FIRST PART a
success fee equal to 26% of Total case value. This case value will be
depend on Hon’ble High Court Order and disbursement of Money by
Competent Authority in _______ State and Union of India.

3. Information for FIRST PART. The SECOND PART agrees to provide


any requested information and to execute and deliver the appropriate
completed forms that may be customarily required to secure financing
on the Property.
4. SECOND PART is a Independent Agent: The SECOND PART is an
independent Agent and not an employee of the any person or
organization.
5. AMOUNT Disbursement By FIRST PART: Every Amount which is
disbursed to SECOND PART, will be given as receipt of Amount and
signed by Both Parties and Two witnesses.
6. Confidentiality: Both parties agree to maintain the confidentiality of
any non-public information shared during the course of this
agreement.
7. Compliance: The SECOND PART agrees to comply with all applicable
laws and regulations as per law.
8. FORCE MAJEURE ( “Act of God”)
(unforeseeable circumstances that prevent someone from fulfilling a
contract.)
In the event that any party hereto is delayed or hindered in the
performance of any act required herein by reason of strike, lock-outs,
labour troubles, Covid-19, inability to procure materials, failure of
power, restrictive governmental laws or regulations, riots, insurrection,
war or other reasons of a like nature not the fault of such party, then
performance of such act shall be excused for the period of the delay
and the period for performance of such act shall be extended for the
period equivalent to the period of such delay , up to a maximum of
three(3) months. The provisions of this section shall not operate to
excuse the Borrower from the prompt payment of any fee or other
payment due to Broker pursuant to the provisions of this Agreement.
The provisions of this section shall not operative be given for
negligence, willful default of Borrower.
9. Governing Law: This Agreement shall be governed by the laws of
India. The Courts in ________________State, India alone shall have
jurisdiction to entertain any dispute(s) arising between the parties
pertaining to or arising out of this Agreement. This Agreement
comprises the entire agreement between the Parties on the subject
matter here to and supersedes a prior agreements, representations
and warranties, if any, between the Parties on the subject matter
hereof.

10. FEE Details:

Final Success Fee: Rs. __________ plus ________ as Principal
Amount will be refunded, Total ___________

Time Given For Payment of Fee: within 1 Year, after Hon’ble High
Court Order. After this Order, as per law, time taken to disbursement
of Case Amount.
11. STANDARD RULES:

a) The term of this Agreement is ______________ days and shall


remain in full force and effect from the date of its execution until its
expiration.

b) This Agreement may be modified or canceled upon written notice.

c) This agreement constitutes an entire understanding and cannot be


modified unless agreed to in writing and signed by all parties.

This agreement is binding on the parties aforementioned, their heirs


and assigns and all others succeeding in the interest to any party
either directly or indirectly.

IN WITNESS WHEREOF, the parties hereto have executed this MOU as of the
Effective Date first above written.
