Re: Conditional Resignation of Employment Pursuant to Section 7(a) of the Third Amendment to
Employment Agreement

Dear Ms. Morales:

Subject to and in accordance with Section 7(a) of the Third Amendment to the Employment Agreement, I
hereby submit my resignation as an employee and as Superintendent of the Clark County School District, to be
effective 11:59 p.m. February 21, 2024.

My resignation as the Superintendent and as an employee of the Clark County School District is tendered,
subject to, and in accordance with, the terms, conditions and provisions of that certain Third Amendment to
the Employment Agreement between the Clark County School District and me effective the 7th day of February,
2024. My resignation is expressly conditioned on Board approval and execution of that certain Third
Amendment to the Employment Agreement between the Clark County School District and me, a copy of
which is attached hereto. Without the Board’s approval and execution of the Third Amendment, this
resignation is of no effect.

This notice has been hand delivered to the Board Secretary, Clark County School District Board of Trustees, 5100
W. Sahara Avenue, 4th Floor, Las Vegas, Nevada 89416, in accordance with Section 11 of the
Employment Agreement between the Clark County School District and me.
