Between Punjab Skill Development Mission hereinafter called the "PSDM" (First Party) which terms and ‘expression shall mean and include, unless it is repugnant to the context, its administrators, successors snd ssdecesanérepeerted yi atonzed sentry Gengnal Mavager /PsdM, And TeamLease Services Ltd, an organization having its Restored Office at Office No.6, 3rd Floor, C Wing, {Laxmi Towers, Bandra Kurla Complex, Bandra (East), Mumbai-400 051 and corporate office at 6th Floor, BMTC Commercial Complex, 8Oft Road, Koramangala, Bangalore-560095, which has been empanelled by the First Party asa training partner common for various skill development schemes of the Mission, hereinafter referred to as Project Implementing Agency * the PIA" (Second Party), which term and expression shall mean and include, unless itis repugnant to the contest its administrator, Successors, and assignees and represented by its authorized signatory Ms. Neeti Sharma working as Sr. Vice President. Both the parties mentioned above shall be jointly referred to as "Parties" under this MOU. Purpose of MoU This MoU establishes a framework for execution of projects between parties under the Deen Dayal Upadhyay Grameen Kaushalya Yojna (DDU-GKY) Guidelines, 2016 of the Ministry of Rural Development, Government of India. It sets out the roles and responsibilities of each of the parties for achievement of common objectives of DDU-GKY. Both parties hereby affirm that they shall work towards the implementation of the project MoU in letter and spirit and with highest professional ethics, ‘About Punjab Skill Development Mission and its approach for skill training Punjab Skil Development Mission has been set up by the Govt. of Punjab as a single point within the Government to formulate and steer various Skill Development Schemes and to bring synergy, oversight and effective-co-ordination in the implementation of various Skill Development Schemes The Governing Council of the Mission is headed by Chief Minister and the Steering Committee is hheaded by Chie Secretary, Punjab. ‘The Mission has been entrusted the implementation of all the flagship schemes of Central and State Government. The Mission has evolved a comprehensive angyobust framework for implementation of these schemes, at General Manager Pb, Skill Development Mission Deptt. of Tech. Edu, & Ind. The Mission with the support of National Skill Development Mission carried out an extensive exercise fo empanel common skill training partners for various skill development schemes. These training Partners will work under the supervision ofthe District Executive Committee ofthe Mission headed by Deputy Commissioner of the District. Ths will help the training partners to forge strong links with local administration to avail support for mobilization and rollout of the ski training schemes on ground. The empanelled training partners have also been approved by the Empowered Committee for DDU- GKY scheme in its meeting held on 18.7.2016. The Mission has created state-of-the-art infrastructure in various districts of the State namely Multi Skill Development Centres and Sector Specific Skill Development Centres along with residential facilities. These would be state level facilities attracting candidates across the State. The empanelied training partners have also set up training centres at the district and sub-division level. ‘The Mission has also set up 200 Rural Skil Centres across the State. These centres would also be managed and operated by the empanelled training partner. Rural Skill Centres are a unique initiative OF State of Punjab to provide skill training facilites at the door step of rural youth & particularly focusing on the disadvantaged section of society to empower them with skills for livelihood. Some of the rural skill centres shall be dedicated exclusively for rural girls The Mission gets the targets and mandates from various departments and the Mission in turn allots targets for training to the empanelled training partners based on the assessment of performance and Overall achievement in successful implementation of the skill training schemes. Responsibilities of the Parties to the MoU Responsibilities of Punjab Skill Development Mission (PSDM) Punjab Skill Development Mission (PSDM) has a vital role in implementation, support and monitoring of the projects under DDU-GKY. PSDM shall ensure inter-alia, the following: (). Discharge of its responsibilities through facilitation, timely support and review of the progress of the project. (i). Timely release of financial grants to second party (including centre + matching state share), (ii). Regular Monitoring and review of quality performance through field visits, quality ‘assurance checks and inspections in terms of the DDU-GKY Guidelines. (iv), Facilitate information exchange, dissemination, analysis of trends, feedback to CTSA {and monitoring of the DDU-GKY project alt General Manger Page 4 of 12 Pb, Skill Development Mission Deptt. of Tech. The role of PSDM with Action Plan status shall be in consonance with the Guidelines and procedures of DDU-GKY projects (as issued from time to time) 5.2, Responsibil ies of Project Implementing Agency (PIA)/Second Party 5.2.1. The Second Party agrees to the following: (i). The Second Party shall perform the services and carry out its obligations here under with all due diligence, efficiency and economy, in accordance with generally accepted Professional techniques and practices, and shall observe sound management practices ‘and employ appropriate training, materials and methods in accordance with DDU-GKY Buidelines & So. (i), The Second Party will be fully and directly responsible for achieving the physical targets a per given Prospective Project Work Schedule for 2016-17 (Annexure A) and further targets to be allotted in subsequent years during the period of validity of this MOU and ‘corresponding financial targets of the project in full compliance with the DDU GKY Guidelines and the MoU. It includes all responsibilities of undertaking skill gap analysis, Identify prospective employer, quality training, Assessment & Certification (ARC), placement of youth trained and post placement tracking, The second party shall comply with the norms as specified under DDU-GKY Guidelines, 2016 and any additional requirements arising out of revisions in guidelines thereto. (iv) The second party shall proactively endeavor to enhance the quality norms across the project value chain. (¥), The second party, of its own accord shall promptly inform the first party ie., PSDM of any changes or any modifications that affects its legal nature and the objectives under ‘this MoU. Such information shall be communicated in writing to the first party to this MoU within 7 days of such modification, (vi). The Second Party shall follow DDU-GKY guidelines as amended from time to time for Mobilization, Training, Placement, Post placement tracking, etc,, through scheme portal ‘MRIGS’ and financial transactions through PFMS, (vii). Second Party shall be responsible to get the ‘Permanent Registration Number’ (PRN) from MORD. Allocation of Targets A General Manager Pb. Skill Development Mission Deptt. of Tech. Edu. id. Trg. The Mission would thereafter in ine withthe approach outined in para 4 would allot the targets to the training partners (PIA) referred as Second Party. inital, the targets under DDU-GKY are being given upto 31” March 2017, The targets for subsequent years would be allotted keeping in view the performance of the second party, Financing of the project, Based on the targeted number of beneficiaries sanctioned tothe State, the Mission has agreed to the targets forthe year 2016-17 as even in the prospective project work schedule attached with the MOU. These must be completed by 31.3.2017. The Mission will allocate further targets for Subsequent years keeping in view the performance of the second party. The Rural Skil Centres shall be accorded priority in the execution of the scheme by the second party. All the Financial transactions shall be routed through the portal https://pfms.nic.in (Public Financial Management System) of MoRD, GOI. The changes in notifications from MoRD may be followed from time to time, ‘The 1" instalment willbe released to the Second Party after the issue of Project Commencement Order and receipt of request for release of payment on this account, ‘The Fist Party may suspend all the payments to the second party ifthe second party falls to Perform any or all ofits obligations under this MoU, only after giving a due notice to the second Party specifying the nature of non-performance of the second party and providing due ‘opportunity to the second party to remedy such failure within a reasonable period as may be specified in the notice. Special Conditions ‘The First Party may engage services of a Central or State Technical Support Agency (TSA) during any time of the project, and may assign certain task of monitoring etc. to the TSA. The role of TSA shall be applicable for the purpose of execution of MoU, as decided by PSDM from time to time. ‘As DDU-GKY is a Contrally Sponsored Scheme (CSS), Guidelines/Rules/ Circulars/ Orders will be ‘ssued by Government of India and PSDM from time to. time. All such Guidelines/Rules/Circulars/Orders shall be applicable prospectively w.e¥. the date of issue unless specifically mentioned. In case, there is any issue of interpretation or conflict, the decision of the First Party shall be final and binding on the SECOND PARTY, Communication a General Manager _ er Pb. (i), Ms. Neeti Sharma, Sr. Vice President, Teamlease Services Ltd, 6" Floor BMTC Commercial Complex, 80FT Road, Kormangala, Bangalore ~ 560095, Formal communications shall include communication by email as well ‘Any communications that may require deviation from this MoU or ODU-GKY Guidelines and ‘elated orders and procedures shall be permitted only with written approval of PSOM or Ministry of Rural Development, Government of india, as the case may be. Arbitration and Applicable Laws The parties hereby agree that any controversy, claim or dispute arising in connection with this MoU, and which cannot be resolved amicably shall be referred to the Governing Body of PSDM in the State or State level Coordination Committee of DDU-GKY and later to the Empowered Committee of Ministry of Rural Development, Government of India, whose decison shall be finat and binding on all parties. This agreement shall be construed and interpreted in accordance with the laws governed by the Government of india, and the courts at Chandigarh shall have exclusive jurisdiction over matters arising out of or relating to this Agreement. Force Majeure ‘The Parties shall not be liable to each other for failure or delay in the performance of any of its obligations under this Agreement for the time and to the extent such failure or delay is caused by Fiots, civil commotion, wars, hostilities between nations, government laws, orders regulations, fembargos, action by the government (s) or any agency thereof, act of God, storms, fires, accidents, strikes, sabotages, explosions, or other similar or different categories beyond the ‘easonable control of the respective parties to this Agreement. Validity of the Mou ‘This MoU shall come into force from the date of project commencement order and shall be valid for the period of 36 months Debarment of the second party The First Party, with the approval of the Ministry of Rural Development, Government of india, may debar the second party from applying fora fresh project ifthe second party does not remedy 3 failure in performance under this MoU within the period specified in the notice. However, The First Party shall take action for debarment only after giving a due notice to the second party specifying the nature of non-performance of the second party with an opportunity to remedy such failure within a reasonable period as maybe specified in the notice and after ‘iving the second party an opportunity to be heard. Termination If the second party seeks termination of the MoU, it shall give a 30 days written notice to the First Party, and only when the First Party has accepted the termination request, the MoU may be terminated, ‘The First Party may terminate the MoU by giving 30 days’ notice to the second party in case, the second party: {becomes insolvent or bankrupt or is convicted under any criminal or civil charges ‘under the applicable laws in the country, Ai). does not remedy a failure in performance as pointed out by SDM within a specified period of notice issued by PSDM. (ii). is found to be involved in misrepresentation/falsfication of records / data / details Concerning the project, or found to be involved in fraud or malpractice in the project. However, the First party shall take action for termination of MoU only after giving a due notice to the second party specifying the reasons for termination with an opportunity to reply within the reasonable period as may be specified in the notice, and after giving the second party an Opportunity to be heard. In the event of termination, the second party shall be liable to refund the First Party, the whole or 2 part amount of the funds released by the First Party, which has not been utilized for the Purpose for which it was sanctioned, along with penal interest at Central/State Government notified rates, ‘Action for Defaults ‘AS per notified guidelines of the Scheme Modification of Mou Any provision of this MoU may be amended or modified at any time by mutual consent among the parties which shall be in consonance with the gu lines of DDU-GKY.
