THIS IS TO CERTIFY that the amended articles of incorporation of the
DAKAY CONSTRUCTION AND DEVELOPMENT CORORATION (Amending Article VII of the
original articles of incorporation thereof) copy annexed, adopted on December 16 19 by a
majority vote of the Board of Directors and the vote of the stockholders owning or representing
at least two-thirds of the outstanding capital stock, and certified under oath by the Secretary and
a majority of the Board of Directors of the corporation was approved by this Office on the day of
December nineteen hundred and eighty-nine, pursuant to the provisions of Section 16 of the
Corporation Code of the Philippines, Batas Pambansa Blg. 68, approved on May 1, 1980, and
attached to the other papers pertaining to said corporation.

4. To purchase, hold, acquire, lease or othervise accept and own properties, raal or personal, as
may be necessary, convenient and appropriate for any of the purposes herein expressed.
5. To deal in and transact all forms of business and commercial acta in connection with the
foregoing either for itself or as го presentative, commission brokers or serchante vithout
engaging in the business of stock brokerage or insurance business.
6. To apply for, obtain, register or otherwise acquire and to hold, use, operata or dispose of any
trademarks, patents, inven tofies, inventions, inprofements and processes used in connection
with or secured under letters of patents in the Philippines or other countries.
7. To borrow money and to make and issue notes, bonds, and other evidences of indebtedness
of all kinds and secure the same by nort gage, pledges or otherwise in such amount as the
business of the corporation requires.
8. To do all and everything necessary and proper for the accom plishment of any of the
purposes, the attainment of any subject or the furtherance of any of the povers herein set forth,
either singly or with other corporation, firms or individuals incidental to or growing out of, or
connected with the aforesaid objects and purposes.
THIRD The principal office and business of the corporation vill be in Cebu City, Philippines, but
branches may be opened in other parts of the Philippines in furtherance of the business.
