MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT (MOA) made and entered into in Aringay, La

Union, Philippines, this ____ day of December 2023 by and between:

MR. SHYR AMPAGUEY, Industry Consultant, and President of LA UNION HOTEL RESORT
AND RESTAURANT ASSOCIATION, he is situated at Aringay, La Union herein referred to as
the FIRST PARTY.

AND

TENACITY SKILLS TRAINING INSTITUTE AND ASSESSMENT CENTER INC., an

educational institution duly recognized by the Technical Education and Skills Development
Authority with postal address at Aringay,, La Union, represented by MR. EDMUND R. CASUGA
School Administrator, hereinafter referred to as the SECOND PARTY.

WITNESSETH:

WHEREAS, the FIRST PARTY is a duly recognized expert in his field and one of the
respectful official of LUHRRA as President.
WHEREAS, the SECOND PARTY is duly registered training institution with sufficient
capital, equipment and facilities, offering a diploma program “Diploma in Hospitality Management
Technology”
WHEREAS, for valuable consideration, the SECOND PARTY has offered to have a
professional consultation partnership with the FIRST PARTY on the implementation of Three-
Year Diploma in Hospitality Management Technology to become one of its Regional School
Advisory Council in the Diploma Program.
WHEREAS, the FIRST PARTY has accepted the offer of the SECOND PARTY with
respect to the acceptance of Tenacity staff to pursue every program and subject activities of the
Regional School Advisory Council in the Hospitality Management Technology Diploma Programs
to share expertise in the curriculum development, program improvement, resource allocation and
community engagement.
NOW THEREFORE, for and in consideration of the foregoing premises, the PARTIES
hereto hereby covenant as follows:
ARTICLE 1 - COVERAGE
This agreement pertains to cover the implementation of Three-Year Diploma in Hospitality
Management Technology to have and become member of the Regional School Advisory.
ARTICLE II - DUTIES AND RESPONSIBILITIES OF FIRST PARTY
FIRST PARTY hereby agrees and undertake to accept Diploma in Hospital Management
Technology representative of SECOND PARTY.
FIRST PARTY shall provide inputs and suggestions for the development of the Diploma
Program, such as Curriculum Development, Program Improvement and Community Engagements.
 ARTICLE III - DUTIES AND RESPONSIBILITIES OF SECOND PARTY
SECOND PARTY, shall send its representative to the FIRST PARTY to pursue every
consultation meeting pre scheduled within reason.
SECOND PARTY, hereby agrees to provide training and scholarship in tourism-related
TESDA short term courses to the legitimate members of the FIRST PARTY affiliated
organization.
ARTICLE IV - EFFECTIVITY
This Agreement shall be for a period of five (5) years from the date of execution unless
earlier terminated by either party by giving the other party thirty (30) days written notice thereof.
This Agreement may be renewed upon terms and conditions acceptable to both parties.
ARTICLE V - VENUE
Any action arising from or brought under this Agreement shall be filed with the proper court
in La Union only and to the exclusion of all other courts.
ARTICLE VI - COMPLETE AGREEMENT
This agreement, including the Annexes shall contain all agreements between the parties. All
prior or contemporaneous promises, representations, agreements, or understandings being expressed
merged and superseded, Any modification or amendment to this Agreement shall be deemed null
and void unless in writing and signed by a duly authorized representative of each of the parties.

 ACKNOWLEDGMENT

BEFORE ME, a Notary Public for and in the ________________ personally appeared the
parties together with her instrumental witnesses and with proofs of their identity, known to me to be
the same persons who executed the foregoing instrument and who acknowledged to me, under
penalty of law, that the foregoing is their free act and deed.

This instrument refers to a Memorandum of Agreement consisting of two (2) pages including
the page on which this acknowledgment is written, has been signed by the parties and their
instrumental witnesses and sealed with my notarial seal.
