FATO RELEVANTE

Americanas S.A. – Em Recuperação Judicial (“Companhia”), em atendimento ao

disposto na Resolução CVM nº 44, de 23 de agosto de 2021, vem informar aos seus
acionistas e ao mercado em geral que recebeu, nesta data, notificação da Squadra I
Fundo de Investimento em Participação Multiestratégia, por si e na condição de
representante dos demais acionistas minoritários da Uni.Co S.A. (“Uni.Co”), titulares de
ações ordinárias representativas de 30% do capital social da Uni.Co (“Ações Objeto da
Opção de Venda”), por meio da qual foi exercido o direito de vender tais ações
ordinárias para a Companhia, nos termos do Contrato de Opção de Compra e de Venda
de Ações celebrado em 1º de julho de 2021.

O preço indicado na notificação para a venda das Ações Objeto da Opção de Venda é de
R$ 90.000.000,00 (noventa milhões de reais), atualizado pela variação acumulada do
IPCA, a partir de 1º de julho de 2021 (data de fechamento) até 29 de fevereiro de 2024,
totalizando R$ 106.941.798,00 (cento e seis milhões, novecentos e quarenta e um mil,
e setecentos e noventa e oito reais).

A Companhia está avaliando os termos da notificação e manterá seus acionistas e o

mercado em geral atualizados acerca dos assuntos objeto do presente Fato Relevante.

MATERIAL FACT

Americanas S.A. – Em Recuperação Judicial (“Company”), in compliance with the

provisions of CVM Resolution No. 44, of August 23, 2021, informs its shareholders and
the market in general that it received, on this date, a notice from Squadra I Fundo de
Investimento em Participações MultiEstratégia, on its own behalf and as representative
of the other minority shareholders of Uni.Co S.A. ("Uni.Co"), holders of common shares
representing 30% of Uni.Co’s share capital ("Shares Subject to the Put Option"), by
which they exercised the right to sell such shares to the Company, under the Stock
Option Agreement entered into on July 1, 2021.

The price set out in the notice for the sale of the Shares Subject to the Put Option is of
R$ 90,000,000.00 (ninety million reais), updated by the accumulated variation of IPCA,
from July 1, 2021 (closing date) to February 29, 2024, resulting in the total amount of R$
106,941,798.00 (one hundred and six million, nine hundred and forty-one thousand, and
seven hundred and ninety-eight reais).

The Company will keep its shareholders and the market in general informed about the
development of the matters covered by this Material Fact.
