1 .Term of payment 付款条件

(1) The buyer shall pay 100% the total amount by telegraphic transfer in advance within 7
working days since signing the contract. The delivery time will be calculated from the time
that the seller get the deposit and confirmation & sign shaft layoutdrawing by both parts.
买方在合同签订七工作日内支付给卖方总货款 100%卖方收到货款和经双方确认并签章
的井道布置图纸之日起计算交货日期。

(3) In case the buyer fail to arrange payment one month after the here above specified
payment time, the seller have the right to dispose the commodity at seller’s will.
如果买方在付款期限一个月后仍未付款，视为买方放弃履约合同的权利，卖方有权处
置该设备。
2 .Time of Production ： 40 working days after receipt of the down payment. The
delivery time will be calculated from the time that the seller get the deposit and the confirmed
& signed shaft layout drawing by both party.
生产期：收到定金后 40 个工作日内生产完毕。即卖方收到定金和经双方确认并签章
的井道布置图纸之日起计算生产日期。

6.Warranty Validity 保修期

Warranty time:
The guarantee period will be 18(Eighteen) months from commissioning of the lift / escalator,
but no later than 24 (Twenty-four) months from shipment.
Warranty scope : Cover all kinds of elevator parts(except man-made damage)
保修时间：质保期为自电梯安装调试后 18 个月，但不迟于自发货日起（以提单日期为
准）24 个月。
保修范围：包括电梯的所有配件（人为损坏除外）。

9.Charges 费用
All banking charges outside the country of the seller are at the expense of the buyer.
所有卖方国家以外的银行费用由买方承担。
10. Responsibilities for breach of this contract 违约责任

(1) If payment is delayed, all incurred losses and costs, including but not limited to interest
and/or storage charges, shall be borne by the buyers. In case of delayed payment by the buyers,
the time of shipment will be delayed payment by the buyers, the time of shipment willbe delayed
accordingly.
如未及时付款，由此引起的一切损失及费用，包括但不限于利息及仓储费用，应由买方
承担。如买方迟延付款，交货期将顺延。
(2) Should the seller fail to make delivery on time as stipulated in this contract, with exception
of force majeure cases specified in Clause 12 of this contract, the buyer shall agree to postpone
the delivery on condition that the seller agrees to pay a penalty. The penalty, however, shall not
exceed 2% of the total value of the goods involved in the late delivery. Therate of penalty is
charged at 0.2% for every ten days, odd less than ten days should be countedfor as ten days.
若卖方不能按合同要求按时交货，除第 12 条规定不可抗力外，需在买方同意后延长
交货期，条件为卖方同意支付罚金，罚金不能超过迟交货物价值的 2%。罚金率为 0.2%，不
足十天计作十天计算。
11. Transfer of owner of the commodity 货物所有权的转移

The title to the commodity shall be transferred from the seller to the buyers only after the full
payment of the contract amount has been paid by the buyers.
货物的所有权只有在买方付清全部合同金额后由卖方转移给买方。
12.Force majeure 不可抗力

The seller shall not be held responsible for any delay in shipment or non-delivery of the
commodity due to force majeure which may include earthquake, typhoon. Flood,fire, war, strike
or other causes beyond the control of human beings and which might occur eitherduring
the process of manufacturing or during shipment and/or transshipment 5. Within three weeks
thereafter, the seller shall send by the local chamber of commerce where the force majeure event
occurred as evidence thereof. However, the seller shall still be under the obligation to take all
reasonable measures to hasten the delivery of the delivery of thecommodity in spite of the force
majeure event.
无论在商品制造期或商品装运或转运期间，如由于地震、台风、水灾、火灾、战争、罢
工以及其他不能预见其发生和后果不能防止和避免的不可抗力事件，卖方将不对此导致
的逾期或不能交货负责。此时，卖方将尽其可能给与买方以通知，并且在三周内以传真
或电子邮件方式提供不可抗力事件发生地的商业行会出具的不可抗力实践证明。此时，
卖方仍有义务尽其最大努力尽速交货。
13. Governing Law 管辖法律：

The contract shall be governed by and constructed in accordance with the Laws of People’s
Republic of China, the international sales convention and other international treaties and
practices may be consulted as well.
本合同受中华人民共和国管辖并依其进行解释，并可参照国际货物销售合同公约及其他
国际公约条约和惯例。
14. Arbitration:仲裁：
All disputes arising from or in connection with this contract or the execution thereof shall be
settled by friendly negotiation. In case no settlement can be reached, the disputes shall be
submitted to China International Economic and Trade Arbitration Commission for arbitration
which shall be conducted by the commission in Beijing in accordance with the relevant laws
of the People’s Republic of China. The arbitration award shall be final and binding upon both
parties. The arbitration fee shall be borne by the losing party.
凡因本合同引起的与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会，
根据中国有关法律规定进行仲裁，仲裁地点应选择在北京。仲裁裁决是终局的，对双方
均有约束力。仲裁费用由败诉方支付。
15.Storage charge 仓储费

If the delivery is delayed or entrusted by the agency for consignment due to Party A's reasons,
Party B will keep elevator 30 days for free from the contract delivery date (calendar
Days), after 31 days of free storage, Party A will pay Party B the storage fee according to the
agreement: 100 RMB/unit/day, and the settlement will be made every 15 days. If the storage
time exceeds six months, Party A is deemed to waive the contract performance right, and
Party B has the right to dispose of the equipment.
因甲方原因延迟提货或延期委托代办托运，乙方自合同交货日起为甲方免费保管 30 天
（自然日），自免费保管 31 天后起，甲方按约定向乙方支付仓储保管费：100 元/台/
天，每 15 天结算一次。如果储存时间超过六个月，视作甲方放弃履约合同的权利，
乙方有权处置该设备。
16. Languages of contract 语言

This contract shall be signed simultaneously in both Chinese and English versions. Both
Versions and the proforma invoice (FUJI-K20230616005A-B) are authentic equally.
本合同的中英文应共同签署，两种文本及形式发票（ FUJI-K20230616005A-B）具有同
等效力。
