products and also to act as Traders and transporters of all the above aforesaid

and processors, of forged components and accessories, alloys, nuts, bolts, steel
rounds, nails, tools, hardware item, plate makers, wire drawers, tube manufacturers,
galvanisers, japanners, re-rollers, annealors, enamellers and electroplaters.

metal ferrous and non ferrous and sheet metals articles of all kind and in particular

and other articles for carrying or strong water oil and other solid or liquid

8) To carry on the business of manufactures importers and exporters of and dealers in


ferrous and non-ferrous casting and forgings of all kinds and in particular
i) pan rice bowls cooking pots and hollw wares of all kinds
ii) cooking tover of all description and their accessories
iii) cast iron pipes and fittings, railings,stair Cases, ventilators and all building

description big and small;
v) mild and malleable castings, speciai alloy castings and foundry works of all
kinds;
vi) forgings of mild carbon, alloy and steinless steels and dieforgings of all types.

9) To carry on the business of mechanical and engineers, ferrous and non- ferrous
metal convertors, manufacturers of agricultural implements and all machineries and
tools, boiler mekers, metallurgists and wood workers.
10) To import, export, munufacture, assemble,produce, exhibit, use manipulate,
work,distribute, buy, sell or otherwise deal in sll kinds of tools, jigs. doles, moulds
fixtures, mechanical instruments and devises,agricultural implements, automotive
parts, gauges, appliances, apparatus and all other things capable of being used
therein or in the maintenance and working thereof respectively of any of the articles
referred to above.
11) The manufacture, assemble, distribute, buy and sell or otherwise deal in all kinds
grinders,shapers, drillers,Mes, slotters milling machines scientific precision
instruments and supgical “instruments.
12) To carry on the business of brass, metal works, millwrights, machinists, smiths, type
founders, manufacturers of brass and copper and other metals and short metal of
all Kinds, dealers and manufacturers of vl] kinds of implements, engines,
waterpumps, agricultural machinery of all kinds,textile machinery and generally to
workas consulting engineers and contractorsin all branches of work whatsoever
known to engineering, iron master, metallurgists,builders, hardware merchants, metal
workers and the like.
13) To act as advisers or consultants in all problems relating to the administration ,
organisation or management of ship breaking or setting up of furnaces and
continuous casting and rolling mills, plants manufacturing processing and setting up
of businesses in ferrous and non-ferrous metals, iron founders, melters, fabricators or
other business or businesses which the Campany is carrying on or is suthorised to
carry on and the training of personnel for such business or businesses and to edvise
upon the means and methods for extending, developing and improving all such
business or businesses and also upon the processes relating to the production,
storage, distribution, marketing sales, purchase
and or relating to the rendering of services.

14) To buy, sell, manufacture repoir, alter improve, exchange, let out on hire, port,export
and deal in “all factorie works,plant, machinery, appliences, apparatus, substances,
articles and of being used this Company is required by any persons having dealing

stores, arts, railway tracks, rolling kshops, tools, machine tools, agroplanes, trucks,
buses, tractors, ents, stores and other property terms as may be agreed upon
betWeen the Company and the vendors.
16) To acquire by concession, grant, purchase, barter, lease, licence or otherwise, either
absolutely or conditionally, and either alone or jointly with others, any ships, vessels,
barges, tankers, launches, tugs, trawlers, drifters and any lands, buildings,
machinery, plant, utensils, works, conveniencesund other moveeble and immoveable
property of any description, und any patents, trademarks,concessions, privileges and
other rights for the objects and business of the Company and to construct, Maintain
and alter any buildings or works necessary or convenient for the purpose of the
Company und_ to pay for such lands, buildings, works, property or rights, or any
other property and or rights purchases or acquired by or for the Company by shares,
debentures, debenture-stocks, bonds or other’ securities of the Company or
otherwise and to manage. develop,sell, let on lease or for hire, or otherwise dispose
of or. turn to account the same at such time or times and in such manner,and for
such consideration us may be deemed proper and expedient.
17) To sell, exchange, mortgage, let on lease, royalty or tribute grant licences,
easements, options and other rights over and in- any other manner deal with or
dispose of the whole or any part of the undertaking, property, assets, rights and
effects of the Company for such consideration as may be thought fit and in particular
for stocks, shares, whether fully or partly paid up or securities of any other company .
18) To produce, manufacture, use buy or, otherwise acquire, sell, distribute and dispose
of all articles, substances , appliances. apparatus, and every class or description
being used in the attainment aforesaid objects and, such at things as are incidental
the attainment thereof.
19) To pay for any properties, rights or privileges acquired by the Company either in
shares of the Company, or partly in shares and partly in cash or otherwise.
20) To apply for, purchase or otherwise acquire and protect, prolong and renew whether
in India or elsewhere any trade marks, rights, copyrights, know-how, technical
information patents, patent rights, brevets d'invention, licences, protections,
concessions and the like, conferring any exclusive of or limited rights to any
invention, secrets, or other information which may seem capable of being used for
any of the purposes of the Company, or the acquisition of which may seem directly or
indirectly to benefits the Company any and to use, exercise, develp, manufacture
under, or grant licences or privileges, in respect of or otherwise turn to account, any
trade marks, rights, copyrights, patents, property. rights, inventions, secrets know-
how or information so acquired, and to spend money in experimenting upon,testing,
improving or seeking to improve the patents, property, rights, inventions, discoveries.
processes, information, secrets or information so acquired or proposed to be
acquired.
21) To enter into any arrangements end to. Take all necessary or proper steps with
Governments or with other authorities supreme, national, local, municipal or
otherwise of any place in which the Company may have interests and to carry on any
negotiations or operations for the purpose of directly or indirectly carrying out the
objects of the Company or effecting any modification in the constitution of the
company or furthering the interests of its members and to. oppose any such steps
taken by any other company, firm or person which may be considered like directly or
indirectly to prejudice the interests of the Company or its members and to promote or
assist the promotion, whether directly or indirectly of any legislation which may
appear to be in the interests of the Company and to oppose and = resist, whether
directly or indirectly any legislation which may seem dis-advantageous to the
Company and to obtain from any such Government authority or any company any
Charters, contracts, decrees, rights, grants, -loans, privileges or concessions which
the Company may think desirable to obtain and carry out, exercise and comply with
any such arrangements, charters, contracts, decrees, rights, privileges, or
concessions.
22) To acquire and undertake all or any part of the business property and liabilities of any
persons or company carrying on or proposing to carry on any business which this
Company is authorised to carry on or possessed of property suitable for the purposes
of the Company or which can be carried on in conjunction therewith or which is
capable of being conducted so as directly or indirectly benefit the company

union of interest, co-operation, joint venture, reciprocal concession or otherwise with
any person or company carrying on or engaged in, or about to carry on or engage in,

with any other company having objects altogether or in part similar to those of this
Company, and to lend money to, guarantee the contracts of, or otherwise assist, any

to hold, deal in snd dispose off shares, stock, debentures and other securities of any
such company.
24) To promote, form and register, and aid in the promotion, formation and registration of
any company or companies having similar object for the purpose of for the purposes
of acquiring all or any of the property, rights and liabilities of this Company, and to be
interested in, or take or. otherwise acquire, hold, sell or otherwise dispose of shares,
stock debentures and other securities in or of any such = company for all or any of
the objects mentioned in this Memorandum and to subsidise or otherwise assist any
such company, and to undertake the management or other work, duties and
business of any such company on such terms as may be arranged.
25) To advance, deposit with or lend money , securities and property to or receive loans
or grants or deposits from the Government.
26) To lend money , either with or without security, and generally to such persons and
upon such terms and conditions as the Company may think fit.
27) To draw, make, accept. endorse, discount, execute and issue promissory notes, bills
of exchange, hundies, bills of lading, warrants, debentures and other negotiable or
transferable instruments, and to buy end sell and deal in the same.
28) Subject to Section 58A of the Companies Act and the directives of the Reserve Bank
of India in this behalf to borrow or raise or secure the payment of money, or to
receive money on deposit at interest for any of the purposes of the Company and at
such time or times as may be thought fit, by promissory notes, or by taking credits in
or opening current accounts with any; person, firm, bank, or company, and whether
with or without any security, or by such other means as the Directors may in their
absolute discretions, deem expedient, and in particular by the issue of the
debentures or debenture stock, perpetual or otherwise, and. in security for any such
money so borrowed, raised or received, and of any such debentures or debenture
stock so issued, to. mortgage, pledge or charge the whole or any part of the property
and assets of the Company, both present and future, inclu-ding its uncalled Capital,
by special assignment or otherwise or to transfer or convey the same absolutely or in
trust, and to give the lenders power of sale and other powers are may seem
expedient end to purchase, redeem, or pay off any such securities.
29) To invest and deal with the monies and funds belonging or entrusted to the Company
not mediately required in lands. buildings, bullion, commodities, articles, goods,
negotiable instruments, advances against any property or goods, government,
municipal and other bonds and securities, and in such other investments and in such
manner us may from time to time be determined, and to vary such investments and
transactions and to lend monies to such persons and on such terms, and with or
without security as may seem expedient. and in particculer to customers and others
having dealings with the Company and to guarantee the performance of contracts
by any such persons.
30) To sell, or in any other manner deal with or dispose of the property or properties or
undertaking of the Company, or any part thereof for such consideration as the
Company may think fit, and in particular for shares, stock, debentures and other
securities of any other company having objects altogether or in part similar to those
of this Company.
31) To create any depreciation fund. Reserve fund, sinking fund, insurance fund, or any
special or other fund, whether for depreciation or for repairing. improving. extending
or maintaining any of the properties of the Company, or for redemption of debentures
or redeemable preference shares, worker's welfare or for any other purpose
whatsoever conducive to the interest of the Company.
32) To provide for the welfare of employees or ex-employees of the Company and their
wives and families, or the dependents’ or connections of such persons, by building or
contributing to the building of houses, dwellings or chawls, or by grants of money,
pensions, allowances, bonus or other payments or by creating and from time to time
subscribing or contributing to provident and other associations, institutions, funds or
trusts, and by providing or subscribing or contributing towards places of instruction
and recreating, hospitals and dispensaries, medical and other attendances and other
assistance as the Company shall think fit, and to subscribe or otherwise to assist or
guarantee money to charitable benevolent, religious, scientific, national or other
institutions or objects, which shall have any moral or other claim to support or aid by
the Company, either by reason of locality of operation, or of public and general utility
or otherwise.
33) To adopt such means of making known the business of the Company as may seem
expedient and in particular by advertising in the press, by circulars, by purchase and
exhibition of works of art or interest, by publication of books and periodicals and by
granting prizes, rewards and donations.
34) To aid peculiarily or otherwise any association, body or movement having for an
abject the solution, settlement or surmounting of industrial or labour problems or
troubles, or the promotion of industry or trade.
35) To remunerate the servants or the Company and others out of and in proportion to
the profits of the Company or otherwise as may be thought fit.
36) To place to reserve, or to distribute us bonus shares among the members, or to
otherwise apply, as the Company may from time to time think fit, any monies
received by way of premium on shares or debentures issued at a premium by the
Company and any monies received in respect of dividend accrued on forfeited
shares and also any money arising from the sale by company of forfeited shares.
37) To distribute any of the property of the Company amongst the members in specie or
in kind subject to the provisions of the Company's Act in the event of winding up.
38) To pay all expenses of und incidental to the formation and registration of the
Company and the issue of its capital, including any underwriting or other
commissions, brokers’ fees and charges in connection therewith.
39) Ta remunerate or make donations to (by cash or other assets, or by the allotment of
fully or partly paid shares or by a call or option on shares, debentures, debenture
stock, or securities of this or any other company or any other manner, whether out of
the Company's capital or profits, or otherwise) any person or persons for services
rendered or to be rendered in introducing any property or business to the Company.
or in placing or assisting to place or guaranteeing the subscription of any shares
debentures, debenture-stock or other securities of the Company, or for any other
renson which the Company may think proper.
40) To procure the incorporation, registration or other recognition of the Company in any
country, state or place outside India, and to establish and maintain local registers and
branch places of business in any part of the world.
41) To sell, improve, alter, manage, develop, exchange, lease, mortgage, enfranchise,
dispose of, turn to account, or otherwise deal with all or any part of the land
properties, rights and generally the resources and undertakings of the Company, in
such manner and no such terms as the Directors may think fit.
42) To amalgamate with any company or companies having objects altogether or in part
similar to those of this Company.
43) To erect, construct, pull down, rebuild, enlarge, alter and maintain offices, factories,
workshops, buildings and structures of every kind necessary or convenient for the
Company's business.
44) To acquire and hold shares, stocks debentures , debenture -stock, bonds, obligation
and securities issued or guaranteed by any company constituted or carrying on
business in india or elsewhere and debentures, debenture–stock, bonds obligations
and securities issued or guaranteed by any government municipality public body or
other local authority and any such shares stock debenture stock bonds obligation or
securities to acquire by original subscription tender purchase, exchange or otherwise
and to guarantee the subscription thereof. And to exercise and enforce all rights and
powers conferred by or incidental to the ownership thereof and to sell or otherwise
dispose of such shares, stocks, debentures, debentures, debentures-stock, bonds
obligations or securities.
45) To guarantee the payment of money unsecured or secured by or payable under or in
respect of promissory notes, bonds, debentures, debenture-stock, contracts,
mortgages, charges, obligations, instruments, and securities of the Company or any
authority supreme, Municipal or local or therwise or any person whomsoever,
whether incorporated or not incorporated und generally to guarantee or become
sureties for the performance of any contracts or obligation.

46) To construct, purchase, take on lease, or otherwise acquire, any roadways, or other
ways, and to equip maintain work and develop electricity steam,oil, gas, petroleum,
horse, any another motive, power,and to emply the same ,in the conveyance of
passengers, merchandise and goods every description , and to authorise the
Government of India, or any Local Government or any municipal or local authority:
or persons to use and work the same or any part thereof, , and to lease and sell and
dispose of the same or any part thereof .
47) To develop and turn to account any land acquired by the Company or in which it is
interested and in particular by inying on and preparing the same for building
purposes, constructing, altering, pulling down, decorating, maintaining, fitting up and
improving buidings and by planning paving, draining, farming, cultivating and letting
buildings on agreement and by advancing money to and entering contract and
arrangement of all kinds with builders and others.
48) To establish, maintain and- operate shipping, and all services and, for these
purposes or as independent undertaking to purchase, take in exchange, charter, hire,
build, construct or otherwise acquire, and to own, work, manage, and trade with
steam, sailing, motor and other shins, trawlers, drifters, tugs, vessels, and and other
vehicles with all necesser and convenient equipment, engines, tackle, gear, furniture,
and stores, or any shares interests in ships, vessels, motor and other vehicles
including shares, stocks, or securities of companies possessed of or interests in any
ships, or vehicle, and to maintain repair fit out refit, improve,insure,alter sell,
exchange, or let out on hire or hire purchase, or charter or otherwise deal with and
ispose of any of the ships vessals and vehicies shares lock and securities or any of
the gear furniture equipmentm of the company.

C) OTHER OBJECTS :
1) To undertake and carry On all or any of the trades and business of shippers, shipowners,
ship brokers, shipping agents and insurance brokers, underwriters, ship Managers , tug
owners, shipping upents, loading brokers, freight contractors, carriers by land, air and water,
transport, haulage and general contractors, berge owners, Jightermen, forwarding agents,
dock owners, engineers, store keepers, ship's store merchants, ships' husbands,
stavedores, warghousemen, wharfingers, salvors, ship builders, ship repairers,
manufacturers ‘of and dealers in rope, tarpaulins, weterproofs, machinery, engines, nautical
instruments and ships' rigging, gear, fittings and equipment of every description, importers
and = exporters of and dealers in goods, provisions, live and dead stock, commodities,
articles, chattels, merchandise und property of every kind, general traders and merchants,
und generally to carry on the seid business in all their branches, and to carry on the said
business either us principals or agents or on commission or otherwise.

for or in relation - to the execution, carrying out, equipment, improvement, management,
administration, or control of the works of dismantling, breaking ships, vessels, barges,
launches , tugs, trawlers, rifters, tackles gears und other equipments,” and to undertake,
execute, carryout, dispose of or otherwise turn to account the same

superintending the docks, wharfs jetties, pliers, warehouses, workshops, stores and other
works.
5) To carry on the business of brass, metal works, millwrights, machinists, smiths, type
founders, manufacturers of brass and copper end other metals and sheet metal of all kinds,
dealers end manufacturers of all kinds of implements, engines, water pumps, agricultural
machinery of all Kinds, textile machinery and generally to work as consulting engineers and
contractors in all branches of work whatsoever known to engineering, from masters,
metallurgists, builders, hardware merchants, metal workers and the like.

6) To search for, get, work, raise, make merchantable, sell and deal in iron, coal, ironstone,
limestone, manganese, ferro-manganese, magnesite, clay, fire-clay, brick earth, bricks and
other Metals, minerals and substances, and ta manufacture and sell briquettes and other.
fuel, and generally to undertake and carry on any business, transaction or operation
commonly undertaken or carried on by explorers, prospectors or concessionaries and to
search for, win, work, get, calcine, reduce, amalgamate, dress, refine and prepare for the
market any quartz and ore and mineral substances and to buy, sell, manufacture and deal
in minerals und mineral products, plant and machinery and other things capable of being
used in connection with mining or metallurgical operations or required by the workmen end
others employed by the Company.
7) To carry on the business of a waterworks company in all its branches, and to sink wells
and shafts, and to make, build and construct, lay down and maintain reservoirs,
waterworks, ,cisterns, culverts, filterbeds, main and other pipes and appliances, and to
execute and do all other works and things necessary or convenient for obtaining, storing,
selling, delivering, measuring, distributing and dealing in water.
8) To. carry on business as timber merchants, saw-mill proprietors and timber growers, and
to buy. sell, grow, prepare for market, manipulate, import, export and deal in timber and
wood of all = kinds, and to manufacture and deal in articles of all kinds, in the manufacture of
which timber or wood is used, and to buy, clear, plant and work timber estates.
9) To carry on business as manufacturers of chemicals and manures, distilled, dye makers,
gas makers, metallurgist, and mechanical engineers, ship-owners and charterers, and
carriers by land and sea, wharfingers, warehousemen, barge-owners planters, farmers and
sugar merchants and so far as may be deemed expedient the business of general
merchants; and to carry on any other business whether manufacturing or otherwise, which
may seem to the Company capable of being conveniently carried on in connection with the
above, or Calculated directly or in directly to enhance the value of or render profitable any’ of
the Company 's property or rights.

10)_To carry on the business of an_ investment company and to undertake and to transact
all kinds of trust and agency business. To carry on business as financiers and for that
purpose to lend or invest money and negotiate loans in any form or manner, to draw, accept,
endorse, discount, buy. sell, and deal in bills of exchange, hundies, promissory notes aid
other negotiable instruments and securities and also to issue on commission, to subscribe
for undertake, acquire and hold, sell, and exchange and deal in shares, stocks, bonds or
debentures or securities of any Government or public authority or company, gold, silver, and
bullion, and to form, promote, subsidise and. assist companies, syndicates and partnerships
of all kinds to project, promote and ta start industries and also to give any guarantee for
payment of money or performance of any obligation or undertaking and to undertake and
execute any trust and generally to carry on and undertake any business undertaking,
transaction or operation commonly carried on or undertaken by capitalists, promoters,
financiers and underwriters, industrialists but not to carry on the business of banking or
insurance within the purview of the Banking Regulation Act, 1949 or the Insurance Act,
1938.

11) To acquire, by purchase, lease, ex change or otherwise, land, buildings and


hereditaments of any tenure or description or any. Estate or interest or rights over or
connected with land so situate and to turn the same to account as may seem expedient and
in particular by Preparing building sites and by constructing, reconstructing. altering,
improving, decorating, furnishing und maintaining offices, flats, houses, factories,
warehouses, shops, wharves, buildings, works and conveniences of all kinds and by
consolidating or connecting or subdividing products.
12) To manage land buildings and other property. whether belonging to the Company or not

attendance,Messengers, light, waiting rooms, reading rooms, meeting rooms, toilet-rooms,
toilet, laundry conveniences, electric conveniences, stables, garages and other advantages.
13) To carry on the business of hotel, restaurant, cafe, tavern, beerhouse, refreshment
rooms and lodging house keepers, licensed victusllers, wine, beer, and spirit merchants,
importers and manufacturers of aerated, mineral and artificial waters and other drinks,
caterers for the public generally, dairymen, ice merchants and proprietors of places of
amusement, recreation, sports, and entertainment, agents for railway and) shipping
companies and other businesses which can conveniently be carried on in connection
therewith.
14) To buy, sell import, export, manufacture and deal in motors, lorries, taxies, cubs,
motorcars and cycles, boats, vessels, shipps, barges, airplanes, seaplanes, air-vessels,
monoplanes, aeroplanes of all kinds whatsoever and us transporters of “all sorts of
passengers and goods by land, air and water and by any vehicle whatsoever.
15) To buy, sell, import, export. deal in, manufacture, promote export send import, gather
information ,conduct market research and surveys in and generally assist in the obtaining of
information relating to the existence of markets for all types of commodities, crops, minerals,
raw materials, semi and manufactured products, good and wares, plant, machinery, tools
and equipments, all types of febrics whether made from natural, synthetic or artificial fibres
and whether blended or otherwise, gorments, apperels, food and beverages, canned
provisions, raw cotton and cotton munufacturers, raw jute and jute manufacturers, raw wool
and wool manufacture, raw silk and silk manufactures, textiles made out or natural and
artificial fibres on a blend of natural and artificial fibres, handleom or powerloom textiles,
cottage industries, ware cotton waste, tea, coffee, spices, condiments, (minerals sand ores,
ferrous and non-ferrous inetals, metal manufactures, Plastic and manufacturers, acids of all
descriptions and their various compounds whether in their solid or liquid form, diesel, petrol
or bybrid engines, pumps generate, agricultural implements, electric motors, transformers,
switch gears, elevators, electrical appliances and their accessories, Paper and paper
products, all types of machinery and machinery tools, dyes, chemicals, colours, paints,
varnishes, paint brushes, books sand stationery. scientific and medical instruments,
bicycles, motor-cycles, auto scooters, automobile, trucks und their spare parts, synthetic
products, rubber and rubber compound manufacturers, types, cords, tubes, typewriters,
refrigerators, office furniture, equipment and uppliances, Electronic and eppliances and
apparatus of every description. Radio and transistor products. radio and transistor parts and
spares, apparatus, all kinds of electrical and électronic apparatus, parts, television
apparatus, video and sound cassette and tape recorders and equipment and spare parts,
telephone parts, telegraphic parts, jewellery of every description including jewellery
made out of gold, silver, platinum and any other precious metal, precious and artificial
stones, china curiosities articles of mortar. coins, stumps, medals, watches, including
electronic and mechanical, clocks, chronometers, optical instruments and substances, things
and articles of all type of description of all parts of the world particularly non-traditional
commodities to non-traditional destinations.

16) To manufacture, brew, distill. process, dehydrate, can package grow, cultivate, buy, sell
and deal in confectionary, dry and preserved fruits, pickles, juices, vegetables, beer, wines,
alcohol and molasses, vinegar, vanaspati, ghee, vegetable oils, processed food products,
ice cream, candy milk, end milk products, sweets and all other edible produce of water.
17) To undertake, carry out, promote and sponsor rural development including any
programme for promoting the social and economic welfare of or the uplift of the public in any
rural development and to assist execution and promotion thereof either directly or through an
independent agency or in any other manner. Without prejudice to the generality of the
foregoing “programme of rural development" shall also include any programme for promoting
the social and economic welfare of or the uplift of the public in ‘any rural area likely to
promote and assist rural development, and that the words "rural area" shall include such
areas as may be regarded as rural areas under Section 35-CC of the Income Tax Act, 1961,
or any other law relating to rural development for the time being in force as rural areas and in
order to implement any of the above mentioned objects or purposes transfer without
consideration, or at such fair or concessional valve and subject to the provision of the
Companies Act, divest the ownership of any property of the Company to or in favour of any
public or local body or authority or Central or State Government or any Public Institutions.

18) To undertake, carry out, promote and sponsor or assist any activity for the promotion
and growth or national economy and for discharging social and moral responsibilities of the
Company to the public or any section of the public as also any activity likely to promote
national welfare or social, economic or moral uplift of the public or any section of the public
and without prejudice to the generality of the foregoing, and in such manner by such means
from time to time to undertake, carry out, promote and sponsor any activity for publication of
any books, literature, newspapers or for organising lectures or seminars, likely to advance
these objects or for giving merit awards, scholarships, loans or any other assistance to
deserving students or other scholars or persens to enable them to prosecute their studies or
academic pursuits or researches or to take up establishment of any Medical Research
Centre to collect information and advices on modern techniques for treatment of diseases for
the benefit of the rural areas either by itself or through any of the agencies and for
establishing, conducting or assisting any institution, fund, trust, having any one of the
aforesaid objects as one of its objects by giving donations or otherwise in any other manner,
in order to implement any of the abovementioned objects or purposes, transfer without
consideration or at fair or concessional value and subject to the provisions of the Companies
Act, divest the ownership of any property of the Company to or in favour of, any public or
local body or authority or central or state government or any public institutions.

19) To carry on all/any of the businesses of manufacturers, producers, processors, traders,


importers, exporters, buyers and dealers in all kinds of bugs, packaging materials,
containers and pakages und metals made from papers of all kinds including vegetable
parchment paper, cloth of all kinds and from al! other kinds of synthetic und natural
materials.

20) To search for acquire work and dispose of and deall in any mines, metals, minerals,
mineral wax, sealing wax, lead seal, chemicals, clay and other like substances.
21) To carry on the business of general contractors for the construction and equipment of
public and private works end buildings and of electrical and hydraulic and marine engineers
and contractors, and any business in which the application of electricity or any other power
is or may be useful or convenient.
22) To carry on the business of manufacturing, purchasing, dealing or trading in, selling,
distributing, as principals or as agents, whether by wholesale or by retail, petroleum and
other oils and natural gas, asphalt, ozokerite and hydrocarbons of all kinds and descriptions
and all substances derived therefrom or in which they are or may be used.
23) To carry on the business of an exploration, natural resources development and
colonization company and generally all business operations of purchase, sale (either by
auction or otherwise), exchange, barter (as principals or commission agents) and
exportation and all other commercial, industrial, financial, und real estate transactions.
24) To conduct, carry on and engage in a_ general fish and sea foods business, trading in
the business of raising, catching, buying, selling, holding, freazing, packing, salting, canning,
curing, drying and reserving fish and other Sea ‘foods; to conduct on and engage in the
traffic or business of manufacturers , dealers and traders (at wholesale or retail or on
commission) in fish, oil, fish manures and other marine products and every other class, kind
and description of goods or products.
25) To explore for, seach for, drill for, mine, quarry, win, get, dig for, dredge, sink wells, raise
,crush, wash pump, smelt, roast, refine, distill, process, analyse, extract, open, work,
develop, improve, operate, reduce, amalgamate, blend, compound, manipulate, compress,
absorb, convert, produce, manufacture, maintain, manage, treat and prepare for market,
store, tank, warehouse, transport, ‘pipe. convey, import, sell, buy, exchange, distribute,
barter and otherwise treat and deal in all kinds of ofl, vegetable, animal and mineral, naturel
gas, natural gas products, salt, gold, silver, nickel, copper, iron, steal, manganese, cobalt
coal, coke, platinum, palladium, sodium and minerals, substances and matters of all kinds
and chemicals of all kinds and all products, by products and derivatives of all or any of the
foregoing.

26) To acquire by purchase, lease, concession, licence , permit, exchange, gift, grant or
otherwise and to obtain, own, buy, sell, hold, control, lease, assign, exchange, traffic and
deal in lands, mines, mining lands, concessions, easements, claims, seems, veins, beds,
walls, channels, gands, mineral deposits, springs and sources of supply of every kind and
description containing and producing or believed to contain or to be capable of containing
and producing ores, metals and minerals of all kinds, crude, petroleum oil and other oils,
vegetable, animal and mineral, natural gas, natural products, oil, petroleum, salt, vegetable,
animal and mineral substances and matters of all kinds and chemicals of all kinds or any one
or more of the foregoing.
27) To provide all services including consultancy and contract services relating to pollution
control, corrosion, pravention, testing fire fighting, safety, security, waste disposal, port and
harbour developments; to generate,_develop , extract, manufacture, deal in, sell, hire or
lease as the case may be, energy, food and other products or by products from the sea,
harbours, estuaries, rivers, lakes, dams and other sources though mechanical, hydraulic,
physical, chemical or other means or process: and to manufacture, patent deal in, sell, hire
or :leases all such equipment, devices and process mentioned in this sub-clause.
28) To carry on business as manufacturers, buyers, sellers, dealers, und agents of different
varieties of paper such as, writing, printing, wrapping, tissue, poster paper, cover paper,
newsprint, paper for packing including corrugated and kraft paper, synthetic paper, paper
board, card board, coloured paper and board, lether board, mill boards, paste boards, pump
boards and all varieties of speciality paper and all kinds of pulp whether mechanical, semi-
mechanical er chemical including dissolving pulp.

29) To carry on the business of manufacturing and compressing helium, nitrogen, acetylene,
‘carbon-dioxide, sulphuric carbon acid and all other parts of gases and acids, ice, aerating
machinery and parts thereof and the business of sellers of and dealers in all machinery,
chemicals and other chemicals incidental to the manufacture of such gases and acids,
machinery and parts thereof and to transact all preparing processes and mercantile business
that may be necessary or expedient and to purchase and send the materials and
manufactured articles including gas cylinders and parts thereof.
30) To manufacture, buy, sell, Jet on hire, and deal in empty cylinders, stoves, engines and
other apparatus and conveniences which may seem calculated directly or indirectly or
promote the consumption of gas.
31) To carry on the business of manufacturers, dealers, importers, exporters, buyers, sellers,
merchants, contractors, brokers, commission agents and moulders of all kinds of plastic,
PVC, Poly propylene, polystyrene, plasticizer, poly thelene and polymers, articles, goods
and products of all kinds in the manufacture of which above are used including shoes, Pipes
and tubes, fittings of all types, conduits and stabilizers.

32) To carry on the business of manufacturers of all kinds of plastic machinery.


apparatus,equipment, utensils and any other articles for any purpose whatsoever and to
manufacture, sell, supply and deal in such plastic machinery, apparatus, equipment and
utensils of all kinds.
33) To search for, get, raise, crush, produce, refine, dress, manufacture, treat, purchase,
sell, amalgamate, manipulate, export, import or otherwise deal in coal, coke, hard coke,
cinders, coal tar, pitch esphatum, ammonia carb, liquor, iron, iron-stone, brick earth, bricks
and other metals, minerals and to manufacture and sell, patent fuel and other products.

34) To carry on the business of water-proofs end manufacturers of India rubber, leather,
imitation leather, cloth, plastic, oil, cloth, linoleum, tarpaline, hospital sheetings, and surgical
bandages,

35) To acquire, take over, promote, establish and carry on all or any of the business of seed
crushers and manufacturers of and dealers in groundnut, gingelly, castor, cotton, mowra,
linseed, rape and mustard cakes, oil, extractors by crushing, chemical or any other process,
cake and oil manufacturers, oil refiners, soap boilers, manufacturers of floor cloths and floor
covering of every description, makers and manufacturers of artifical manures and fertilizers
of every description, meal manufacturers,grain and seed merchants, flex, cotton, groundnut.
gingelly, mowra, and castor merchants, cake and corn merchants, millers, flour merchants,
bisculft makers, hay, fodder and straw merchants, nurserymen, manufacturing chemists and
druggists, varnish makers and stearin and olein manufacturers.

36) To carry on business as proprietors and publishers of newspapers, journals, magazines,


books and other literary works and undertakings in all languages whether on payment of
royalty or ‘not

37) To manufacture, refine, import, buy, sell, and deal in pharmaceutical, herbal,
bacteriological and biological products and preparations of all kinds, drugs, medicines, and
chemicals of all descriptions, toilet articles end consmetics and all substances, abparatus
and things capable of being used in connection with such products or required by customers’
dealing with the Company.

38) To carry on business as concessionsires , capitalists and to undertake, carry on and


execute any kind of other objects, commercials, trading, trust, expploltation, agency and
other objects, commercials, trading. - trust, exploitation, agency and other’ operations, and to
advance or provide money, with or without security to concessionaires, inventors,
operations, and to advance or provide money, slons, lands or others or of experimenting,
testing or developing any invention,. design or process industrial or otherwise.

39) To carry on all or any of the business of manufacturers of and dealers in clothing and
wearing apparel of all kinds, tailors, drapers, hosiers milliners, costumiers, hatters, furries,
plovers, silk cotton cloth, synthetic fabrics and leather merchants, haberdeshers and
general outfitters, and dry goods merchants, umbrellas, and walking sticks ornaments and
other accessories, and any other articles, commodities merchandise, or other things.

40) To carry on business as manufacturers and dealers and repairer in radios,


radiograms ,loud-speakers, tape-recorders, microphones, telecommunication, requisites and
supplies ,television sets, video tapes and video reproducers ,transformers, amplifiers,
transmitters, gramophones and records voice and sound reproducers, transformers,
amplifying instruments end musical instruments of all kinds, appliances, perforated rolls and
other contrivances by means of which sound may be echanically reproduced.

41) To carry on the business of exporters, importers, merchants, suppliers, distributors and
vendors to book sellers, music sellers and to scientific and other institutions of books,
periodicals, stationery , medicines, records . and cassettes and other articles connected with
music.
42) To erect, build, construct, alter, equip, ecquire, Maintain or replace and to work, manage,
control and sell any buildings, factories, sheds, warehouses, workshops, docks, agricultural
farms, animal and poultry farms, cold storage plants, stores, dwellings, mills, shops, offices,
roads, sidings, bridges, water sheds, drains, reservoirs and other works and conveniences.
43) To carry on the business of finance brokers or insurance agents and acting as insurance
brokers and agents or underwriters, consultants, assessors, valuers, surveyors, mortgage
brokers and undertaking the provision of hire purchase and credit sale finance and of acting
as factors and brokers in any line or activity. Povided however, that nothing contained herein
shall enable the Company to carry on the business of Banking as defined in the Banking
Regulation Act, 1949 or the Insurance Act, 1938.
44) To carry on the trade or business of manufacturers of and dealers in computers and
tabulators of every kind, description and activation, accounting , book-keeping, calculating,
counting, reckoning, reckoning, recording, performing punching tabulating, sorting, adding,
subtracting, dividing, multiplying, printing, typewriting, copying, reproducing and distributing,
machines and machinery systems, apparatus , appliances and devices, of all kinds for all
purposes, and any parts or components thereof or materials or articles used in connection
therewith, and any or all other machines, appliances, apparatus, devices , materials
substances, articles or things of a character similar or analogous to the foregoing, or any of
them or connected therewith
45) To set up a data processing centre using computer system of any description end for this
purposes to acquire, purchase or take on lease or on hire, compute system of any
description including computer accessories, computing und management service
equipments , and to carry on business of data processing, data analysing and selling
computer time and to render’ professional and other services connected with the activities of
computer centre, to rent out computer systems, computing and management service
equipment and to provide services in respect of data processing, nformation processing,
data preparation and other data processing, managemnet information and consultancy
services.

46) To carry on all or any of, the aforesaid business or businesses or any other business
{whether industrial, agricultural, . manufacturing or otherwise) and whether as principals,
merchants, traders, agents, brokers, adatias or in y capacity and whether on hire purchase
otherewise, in India or elsewhere, which may seem to the Company capable of being
conveniently carried on in connection business and the Company’ 's object calculated
directly or indirectly to enhance the value of or render profitable any of the company
properties or rights and also to acquire, promote, and foster, subsidise or acquire interest in
any industry or undertaking.

AND IT IS HEREBY DECLARED THAT:

I) The objects incidental or ancillary to the attainment of the main objects of the
company as aforesaid shall also be incidental or ancillary for the attainment of the
other objects of the Company herein mentioned.
II) The word "Company" (save when used with reference to this Company) in this
Memorandum shall be deemed to include any partnership or other body or
association of persons whether incorporated or not and wherever domiciled.
III) The objects set forth in each of the several Clauses of this paragraph shall have
the widest possible construction and shall extend to any part of the world.
IV) Subject to the provisions of the Companies Act, 1956, the objects set forth in any
clause of sub-paragraph C above shall be independent and shall be in no way be
limited or restricted by reference “to or inference from the terms of the clause of
sub-paragraph A or by the name of the Company. None of the clauses in Sub-
paragraph C or the objects thereby conferred shall be deemed subsidiary or
ancillary merely to the objects mentioned in any of the Clauses of Sub-paragraph
A.
V) Nothing in this paragraph shall authorize the Company ta do any business which
may come within the purview of the Banking Regulation Act, 1949 or the
Insurance Act,1938.

4.The liability of the member(s) is limited.


5. The Authorised Share Capital of the Company is Rs 5,00,000 /- (Rupees Five Lakhs
only) divided into 4000 (Four thousand) Equity shares of Rs.100 /-(Rupees Ten only)
each. And 1000 ( one Thousand ) unclassifield share of Rs 100 with right , privileges
and condition attached thereto as are provided by the regulation of the company for
the time being with power to increase and reduce the capital of the company and to
divide the share in the capital for the time being into several classes and to attach
thereto such preferential deferred qualifiled or special right privileges and condition
as may be determined by or in accordance with the regulation of the company and to
vary modify or abrogate and right privileges or conditions in such manner as may for
the time being be provided by the regulation of the company.
