CONFIDENTIALITY AGREEMENT

This Agreement is entered into on 13th March, 2024, (the “Effective Date”), by and between:

• Nu Genes Private Limited whose corporate office is at H. No. 1-8-303/45&46, 2nd Floor
Chain-Arcade, Minister Road, Rasoolpura, Hyderabad, Secunderabad, Telangana, India, 500003
herein referred to as the “Discloser”

• Crystal Crop Protection Limited, whose registered office is at 206, 2nd Floor, Span Trade
Centre, Opp. Kochrab Gandhi Ashram, Near Paldi Char Rasta Ashram Road, Ellis bridge,
Ahmedabad-380006 and Corporate Office at ‘Crystal House’, B -95, Wazirpur Industrial Area,
Wazirpur, Delhi – 110052 herein referred to as the “Counterparty”

In consideration of Nu Genes Private Limited making certain non-public confidential and proprietary
information and data concerning Nu Genes Private Limited and its associates and affiliates
(collectively referred to as “Nu Genes“), to Crystal Crop Protection Ltd (hereinafter referred to as the
“Recipient”) in connection with discussions concerning an evaluation of investment opportunity in of
Nu Genes, the “Counterparty” agrees the following:

1. Evaluation Material means financial, commercial, scientific and all non public, confidential
and proprietary information on Nu Genes, which at all times is the property of Nu Genes,
including all data given to the Recipient in writing for the Recipient to evaluate investment
options in Nu Genes.

2. The Recipient will keep all such Evaluation Material and data disclosed to it confidential and
will be responsible for maintaining confidentiality. The Recipient shall not make the
Evaluation Material available to any third party unless Nu Genes specifically agrees with the
Recipient and that party, the basis on which the Evaluation Material may be made available.

3. Except as required by law, government regulation or judicial process, Evaluation Material will
be kept confidential and will not, without the prior written consent of Nu Genes, be used
directly by the Recipient for any purpose other than for evaluating investment options in Nu
Genes.

4. Nu Genes agrees that the Confidentiality contained herein shall not apply to any information
/ knowledge which may have been known to the Recipient or its authorised representatives

 / employees at any point of time prior to the date of this Agreement or which is known to any
member of the public generally or which has been obtained by the Recipient or its authorised
representatives / employees from a non – confidential / public source, not directly connected
with Nu Genes.

5. No other obligations are to be implied from this Agreement. It is understood by both parties
that the Recipient by virtue of this Agreement does not obligate itself from using information
which the Recipient has developed on its own, provided however, that any discussion or
reference made by the Recipient will not include any of the Evaluation Material furnished by
Nu Genes hereunder.
6. No modification or amendment of this Agreement and no waiver of any of the terms of
conditions hereof shall be valid or binding unless made in writing and duly executed by both
parties.

7. The obligation of the Recipient or its authorised representatives or employees not to disclose
the Evaluation Material and to keep the same confidential shall be valid for a period of two
year from the date of this Agreement.

8. This undertaking shall be governed and construed in accordance with Indian law and the
parties submit to the jurisdiction of Courts in Hyderabad.
