Any clause, condition or term in your Tender and/or acknowledgement letter which is repugnant to or inconsistent with the terms and conditions of this Acceptance of the Tender and schedule attached hereto shall be void and of no force and effect unless specifically approved and expressly modified by DGVCL. If you fail to acknowledge the receipt of this communication within a week, you will be deemed to have accepted this contract on the terms and conditions set out herein. FNTFRPRISF TAT Pane 1 of @ DGyCL 1) SCOPE OF WoRK: Major works covered in this work for “AMC for maintenance of Fire hydrant & fire alarm system installed at DGVCL, Corporate Office, Surat” and terms mentioned here under: * JOB SPECIFICATIONS AND SCOPE OF WORK FOR FIRE HYDRANT & FIRE ALARM SYSTEM: 1. Annual maintenance contract for maintenance of Fire Hydrant & Fire Alarm System. . Refilling Fire Extinguishers every year. . Supply and Install fire ball. | Necessary approval from SMC or Govt. department for further two year after expiration of present NOC period will be the responsibility of the Agency, however fees paid by agency will be reimbursed on the submission of fee receipt. - Contractor or his qualified and trained person has to check the system weekly and service the same by monthly and maintain the same in working condition. Contractor has to submit the checklist and detailed service report for the same. 6. The firm will_maintain the logbook for maintenance. After each maintenance/Testing the test detailed to be entered in the maintenance register with dates and result achieved. 7. Firm has engage person to attend any complaint any time during the contract Period on receipt of verbal/written complaint from coordinating officer of DGVCL. 8. No major or special repair or overhauling of any equipment such as Fire Pumps, Motors, Fire Fighting/Fire Alarm Panels, Batteries and Hooters including winding Of motors are covered in the scope of work. However, prevention and routine maintenance including servicing, minor rectification will be the responsibility of the Agency. : 9. The Agency will promptly inform DGVCL as soon as occurrence of any major defect in the systems so that the matter can take advance action towards its rectification and procurement of any materials required for that purpose. 10.All tools and tackles are to be arranged by the contractor at his own cost and Nothing extra will payable on this account. 11.The Stationery, register, pens & pencils required for maintaining record will be arranged by the contractor on its own. 12.The Contractor will conduct periodical fire drill at site as per direction of the engineer in charge including imparting training to the user staff (max. two times in year) in the use of the fire-fighting systems & Extinguishers etc. 13. The servicing of the system shall be done smoothly including fire detector system and random checking and heat detectors periodically by heat and smoke. Successful Bidder will submit bill to the Engineer-In-charge of the DGVCL at the end of each quarter for work carried out during the quarter. Bill will be checked by Engineer-In-charge of DGVCL and Processed for payment as per procedures of DGVCL. Along with the invoice successful bidder has to submit supporting documents as required by DGVCL. 7) STATUTORY VARIATION: Any statutory increase or decrease in the taxes and duties including GST and Cess as applicable or in the event of introduction of new tax/cess or cessation of existing tax/cess subsequent to suppliers offer if it takes place within the original contractual delivery date will be to COMPANY’s account subject to the claim being supported by documentary evidence. However, if any decrease takes place after the contractual delivery date, the advantage will have to be passed on to company. Statutory Variation clause shall not be applicable in case of Supplier / Contractor has opted for Composition Scheme under GST. 8) PENALTY: a. If the periodically work of check the system weekly and service the same by monthly will not completed as stipulated time period, firm has to pay penalty of amount. Rs.300 plus GST (Applicable Tax) per day till the work completion. . Firm has engage person to attend any complaint any time during the contract period. And if firm did not attend in 2hrs. firm has to pay penalty of amount. Rs.200 plus GST (Applicable Tax) per occasion per day. s 9) Legal aspects a. Agreement: As per company’s rules, Bidder shall have to enter into an agreement on Stamp Paper with the company in prescribed format of DGVCL before execution of work. The cost of stamp fees shall be borne by the bidder. b.In case of any dispute or any discrepancy, the decision of the Add. Chief Engineer (P) DGVCL shall be final and binding to the Bidder. c. The Bidder must follow all the rules, regulations and enactment of the Labour Laws relating to engagement of persons by him. d. The Bidder shall obtain comprehensive insurance policies for all his workers in respect of all the insurable liabilities under the workman Compensation Act Fatal Accident, Personal Injuries Act, Natural Hazardous, Riots/arson etc e. The Bidder shall obtain necessary license, registrations as legally required. f. DGVCL shall entitle to recover full amount from Bidder for expenses incurred on account of compliance of any statutory provision or breach of contract by bidder. |. The Bidder shall not sublet the contract to any other party. If it is found, subletting the contract, then S.D. shall be forfeited and party shall be black listed. h. FNTFRPRIGF TAT Paae 4 oF O peycL 10) General a. The Add. Chief Engineer (P) DGVCL reserves the right to reject any OR all the Bidders without assigning any reasons thereof. b. The Bidder shall make his own arrangement for the Boarding and lodging of his workers. ©. The Bidder shall ensure that representative on his behalf deputed by him should be in touch with the Add. Chief Engineer (P)/ EE (Civil) with regard to detailing of work etc. d. The rates quoted by the Bidder shall include all charges such as Fuel, Levies, Transport, Maintenance, Repairs, labour or Bidder’s servant / agent wages etc. 11) COMPLIANCE OF LAW: The successful bidder will certify that he has complied with provision of industrial & labour Laws including PF Act; ESI Act etc, as may be applicable and submit the relevant documents while submitting monthly bills to this office. 12) TERMS & CONDITIONS REGARDING INDUSTRIAL LAWS & OTHER RELATED MATTERS. The above are some of the major liabilities of the Bidder in addition to other liabilities prescribed under. The various labour laws in force from statutory authorities like state Government / Government of India which the Bidder shall have to comply with. The contractor shall submit along with his bill a statement regarding deductions against employees provident fund & family pension scheme in respect of each concerned against employee. 13) FORCE MAJEURE: Force Majeure means any circumstances beyond the control including: (a) War and other hostilities, (whether war be declared or not), invasion, act of foreign enemies, mobilization, requisition or embargo. (b) Tonizing radiation or contamination by radioactivity from any nuclear fuel or from any nuclear waste from the combustion of nuclear fuel, radioactive toxic explosive nuclear assembly or nuclear components thereof, (c)_ Rebellion, revolution, insurrection, military or usurped power and civil war; (a) Riot, commotion or disorder, except where solely restricted to employees of the bidder. Neither party shall be considered to be in default nor in breach of his obligation under the contract to the extent was that performance of such Obligations prevented by any circumstances of force Majeure that arise after the date of the notification of award. (f)_ If either party considers that any circumstances of force Majeure have Occurred which may affect performance of his obligations he shall promptly notify the other party. Upon the occurrence of any circumstances of force Majeure the bidder shall endeavor to continue to perform his obligations under the contract so far as reasonably practicable. The bidder shall notify the Engineer-In-Charge of the steps he proposes to take including any reasonable alternative means for performance, which is not prevented by force Majeure. The bidder shall not take any such steps unless directed so to do by the Engineer-In-Charge. (e (9) DGVCI Con. efice/CWI79019-D07FF Sve. AMET HV. FNTFRORISE TAT Pane 5 of @ DewcL (h) If circumstances of force Majeure have occurred and shall continue for a period of 180 days, notwithstanding, the bidder may be reason thereof, having granted an extension of time for completion of the works, either Party shall be entitled to serve upon the other, 15 days notice to terminate the contract. If at the expiry of the period of 15 days force Majeure shall still continue, the contract shall terminate. 14) EVENT OF DEFAULT & CONSEQUENCES : (a) If the bidder is not executing the works in accordance with the contract or is Neglecting to perform his obligations, there under, as seriously, to affect the Program for carrying out of the works, the Engineer-In-Charge may give notice to the bidder requiring him to make good such failure or neglect. If the bidder : (Has failed to comply within a reasonable time. (i) Assigns the contract or subcontracts the whole of the works without the Engineer-In-Charge’s written consent, or (ii) Becomes bankrupt insolvent, has a receiving order made against him oF compounds with his creditors, or carries on business under a receiver, trustee or manager for the benefit of his creditors or goes into liquidation. (b) The employer shall, as soon as Possible after such termination, certify the Value of the works and all sum then due to bidder as at the date of termination. (c) The Engineer-in-Charge shall not be liable to make any further payment to the bidder until the works have been completed. When the works are so completed, the employer shall be entitled to recover from the bidder extra Cost, if any, of completing the work allowing for any sum due to the bidder. If there is no such extra cost, the Engineer-In-Charge shall pay any balance due to the bidder. (d. The bidder's liabilities shall immediately cease when the employer expels him from the site without prejudice to any liabilities there under that may have already accrued. (e) If the bidder is not able to complete the work order / part of the work order for any reason and the work order is forced to be closed prematurely by the Engineer-in-charge, the bidder shall be Put in to “No deal with DGVCL” for period of minimum two years from the date of order of no deal. 15) SETTLEMENT OF DISPUTES: (a) Any disputes or differences arising out of or in connection with the contract shall, to the extent possible, settled amicably between the parties. (b) If any dispute or difference of any kind whatsoever shall arise between the DGVCL and the bidder during the performance of the works whether during the progress for the work or after its completion or whether before or after the termination, abandonment or breach of the contract, it shall, in the first DGVCI Coen, fire! ENTERPRISE Ta Paae 6 oF pexicL Place, be referred to and settled by the empowered officer to be appointed by the DGVCL, who within a period of Thirty (30) days after being requested by either party to do so , shall give written notice of his decision to the DGVCL and the bidder. () Unless as hereinafter provided, such decision in respect of any matter so referred shall be final and binding upon the parties until the completion of the works and shall forthwith be given effect to by the bidder who shall proceed with the works with all due diligence, whether he or the Engineer- In-charge required arbitration as hereinafter provided or not. a If after the Empowered officer has given written notice of his decision to the Parties, and no claim to arbitration has been communicated to him by either Party within thirty (30) days from the receipt of such notice, the said decision shall become final and binding on the parties. (e) In the event of the Empowered officer failing to notify his decision as aforesaid within thirty (30) days after being requested aforesaid, or in the event of either the owner or the bidder being dissatisfied with any such decision, or within thirty (30) days after the expiry of the first mentioned Period of Thirty (30) days, as the case may be, either party may require that the matter in dispute be referred to arbitration as hereinafter provided. (f) JURISDICTION: All above conditions are subject to Surat jurisdiction. 16) INSURANCE: The bidder shall insure against liability to third parties for any death or personal injury and loss of or damage to any physical property including the property of the DGVCL other than the works arising out of the performance of the contract and Occurring before the issue of the last defect liability certificate. Such insurance shall be taken before the bidder begins any work on the site. DGVCL is not at all responsible for any type of claim of the bidder or by his employees etc. 17) ARBITRATION: All questions, disputes or differences whatsoever which may at any time arise between the parties to this agreement touching the agreement or subject matter thereof, arising out of or in relation there to and whether as to construction or otherwise shall be referred to the decision of the Sole Arbitrator on mutual consent, appointed by the Chairman, DGVCL, for that purpose, who shall be a retired High Court Judge or retired District and Sessions Judge, and the decision of the said Arbitrator shall be final and binding upon the parties. Reference to the arbitration shall be governed by the provisions of Indian Arbitration & Conciliation Act. 1996 as amended from time to time and the rules made there under. 18) ACKNOWLEDGEMENT OF WORK ORDER: Please acknowledge receipt of this Work Order on your company's letter head within 7 days of receipt of the same.
