1. We have audited the accompanying financial statements of LAYHEREC S.A., which include the
statement of financial position as of December 31, 2022 and the corresponding statements of
comprehensive income, changes in equity and cash flows for the year ended then, as well as a
summary of significant accounting policies and other Explanatory Notes.
In our opinion, the accompanying financial statements present fairly, in all material respects, the
financial position of LAYHEREC S.A. as of December 31, 2022, as well as its results and cash flows for
the year ended on that date in accordance with International Financial Reporting Standards for Small
and Medium-sized Entities (IFRS for SMEs).Fundamentos de la Opinión
2. Our audit was conducted in accordance with International Standards on Auditing. Our
responsibilities under these Standards are described below in the Auditor's Responsibilities in
Connection with the Audit of the Financial Statements section of our report. We are independent of
the Company LAYHEREC S.A. de compliance with the ethics requirements that are applicable to
our audit of the financial statements in Ecuador and we have fulfilled the other ethical
responsibilities in accordance with those requirements. We believe that the audit evidence we have
obtained provides a sufficient and appropriate basis for expressing our audit opinion.

3. The Management of LAYHEREC S.A. is responsible for the preparation and fair presentation of the
accompanying financial statements in accordance with International Financial Reporting Standards
for Small and Medium-sized Entities (IFRS for SMEs) and for the internal control necessary to allow
the preparation of financial statements that are free of material distortions, due to fraud or error. In
preparing the financial statements, Management is responsible for assessing the Company's ability
to continue as a going concern, disclosing as appropriate, matters relating to the going concern and
using the going concern accounting principle, except if the Management intends to liquidate the
Company or cease operations, or there is no other realistic alternative. Those responsible for the
Management of the Company LAYHEREC S.A. are responsible for the supervision of the
Company's financial reporting process.

the Company's Management, we determine the most significant in the audit of the financial
statements of the current period and that are, consequently, the key matters of the audit.
5. In accordance with Article No. 102 of the Organic Law on the Internal Tax Regime and Article No.
279 of its implementing regulations and based on Resolution Number NAC-DGERCGC15-
00003218 (Rules for the preparation of Tax Compliance Report and annexes) issued on July 7,
2016 by the Internal Revenue Service SRI, the external auditor must issue a Report on the
compliance by LAYHEREC S.A. with certain tax obligations for the year ending December 31,
2022. The date of submission of this report is until July 31 of the following fiscal year to which the
information relates. This report of compliance with tax obligations will be issued separately.

1. GENERAL INFORMATION
LAYHEREC S.A. was incorporated by public deed in the city of Guayaquil – Ecuador on November 8,
2012 and registered in the Mercantile Registry of Guayaquil on January 4, 2013. Its main activity is the
sale, leasing, advice and distribution of scaffolding, grandstands, stages and assembly of stands, and any
type of complementary element for the organization of all kinds of events.. The company develops its
activities in the city of Guayaquil, province of Guayas, located in Via Daule Km 14.5 s / n and Cenacolo .
Situation of the Country:
In a post-pandemic scenario in which the Ecuadorian and global economy had been gradually recovering
thanks to intensive vaccination programs and the development of new treatments to reduce mortality
levels of the COVID 19 disease, at the end of February 2022, the military conflict began due to Russia's
invasion of Ukraine, This triggered several governments to impose economic sanctions to affect the
economies of the countries involved in the conflict. This situation has generated increases in the price of
oil and energy, problems in the supply chain of several products and the increase in interest rates, driven
by the central banks of the main economies globally to cushion the effects of the conflict on their
economies..
According to projections by the International Monetary Fund (IMF), the Ecuadorian economy will grow by
2.8% at the end of 2022 mainly due to the reactivation of several sectors of the country. According to the
results of the national accounts published by the Central Bank of Ecuador, the Ecuadorian economy
presents a slowdown for the year 2022, mainly produced by the stoppages of June 2022 that produced
losses of approximately US $ 1.1 trillion, so the projections of the Gross Domestic Product (GDP) for the
year 2022 are estimated at an increase of 2.7%.
The main actions that the Government has implemented as part of its economic plan have been: the
prioritization of investment and public spending; increase in foreign investment through public-private
partnerships with tax benefits, reforms in the areas of public procurement, public entities, social
assistance, the quality and transparency of tax data and tax administration. In addition, several
negotiations have been held with international financial institutions such as the World Bank and the Inter-
American Development Bank, to mitigate the effects of the situations described above, restore
macroeconomic stability and ensure the sustainability of public finances.
In this context, the company's Management has evaluated the impacts of the aforementioned, and no
adjustments have been determined, since these have not significantly affected the economic situation of
the company.
2. SUMMARY OF THE MAIN ACCOUNTING POLICIES-
The principal accounting policies adopted in the preparation of these financial statements are
described below.

These financial statements of the Company as of December 31, 2022, have been prepared in
accordance with the International Financial Reporting Standard for Small and Medium-sized Entities
(IFRS for SMEs), issued by the International Accounting Standards Board (IASB), which have been
adopted in Ecuador, and represent the comprehensive, explicit and unreserved adoption of the
aforementioned international standard applied uniformly in the years presented.
As of the date of issuance of these financial statements, no amendments and improvements to the
existing standards have been issued.
i) Measurement bases
The Company's financial statements have been prepared on the basis of historical cost. Historical
cost is based on the fair value of consideration given in exchange for assets received.
Fair value is the price that would be received for selling an asset or the value paid to transfer a
liability between market participants at the valuation date, regardless of whether that price is directly
observable or estimated using another valuation technique. When estimating the fair value of an
asset or liability, The Company takes into account the characteristics of the asset or liability that
market participants would take into account when pricing the asset or liability at the measurement
date.
ii) Functional and presentation currency
Items in the Company's financial statements are expressed in the currency of the primary economic
environment in which the Company operates (functional currency). Unless otherwise indicated, the
figures included in the accompanying financial statements are expressed in U.S. dollars which
correspond to the functional and presenting currency of the company.
Foreign currency transactions, mainly debts with foreign suppliers, are translated into functional
currency using the exchange rates in effect on the dates of the transactions. Gains and losses on
exchange differences resulting from the payment of such transactions are recognized in the income
statement, except when deferred in equity in transactions that qualify as cash flow hedges.

Provision for impairment of accounts receivable: The Company evaluates the recoverability
of balances held on loans and accounts receivable, based on a number of factors, such as:
existence of significant financial difficulties on the part of the debtor, the likelihood that the
debtor will go bankrupt or financial reorganization, and non-payment which is considered
an indicator that the account receivable has deteriorated.
Useful Life of Furniture and Equipment: The Company reviews at the end of each accounting
period its estimates of the useful life and residual value of its Furniture and equipment.
Staff retirement benefit obligations: The present value of pension plan obligations depends on a
number of factors that are determined on an actuarial basis using a number of assumptions.The
assumptions used in determining the net cost of pensions include a discount rate. Any change in
these assumptions will have an impact on the book value of the obligation for pension plans.
The Company classifies its financial assets and liabilities into the following categories: (i) fair
value with changes in income; and, (ii) accounts receivable.
The classification depends on the purpose for which the assets were acquired or the financial
liabilities were contracted. Management determines the classification of its financial assets and
liabilities as of the date of their initial recognition. As of December 31, 2022 and 2021, the
Company maintained Financial Assets in the "accounts receivable" categories. In addition, only
financial liabilities were retained in the "other financial liabilities" categories. The characteristics
of those financial instruments are explained below:

Financial assets and liabilities are initially measured at fair value plus any costs attributable to
the transaction, if the financial asset or liability is not designated as fair value through gains or
losses and is significant. After the initial recognition, the Company values them as described
below.
c) Subsequent measurement
i) Subsequent measurement
After their initial recognition, the amortized cost is measured by applying the effective interest
method. Specifically, the Company presents the following account within this category:
Commercial accounts receivable: These accounts correspond to the amounts owed by your
customers for the sale of goods and services in the normal course of business. If they are
expected to be collected in a year or less they are classified as current assets, otherwise they
are presented as non-current assets. They are recognized at amortized cost, less the
corresponding impairment provision.
Suppliers: These are payment obligations for goods or services purchased from suppliers in
the normal course of business, measured at their amortized cost.

The amount of loss is measured as the difference between the carrying amount of assets and the
present value of estimated future cash flows discounted at the original effective interest rate of the
financial asset. The carrying amount of the asset is reduced and the amount of the loss is recognized
in the statement of comprehensive income. If, in a subsequent period, the amount of impairment loss
decreases and such decrease is objectively related To an event that occurred after such impairment
was recognized, the reversal of the previously recognized impairment loss is recognized in the
comprehensive income statement.
Management has conducted appropriate analyses and considers that there have been no events
indicating that its significant financial assets could not be recovered at their carrying value and
identified that there is no evidence of significant impairment..
2.5 Inventories
Inventories are presented at acquisition cost or net realisable value, whichever is lower. They are valued
with the weighted average cost method. Imports in transit are recorded at their acquisition cost plus other
import-related charges.
Net realisation value is the estimated selling price in the normal course of business, less the estimated
expenses to carry out the sale. The cost of inventories may not be recoverable if they are damaged, or
if their market prices have decreased for reasons such as those mentioned above. The amount of any
write-down of inventories, up to their net realisation value, is recognised in the period in which the loss
occurs.
Post-purchase or acquisition disbursements are only capitalized when future economic benefits
associated with the investment are likely to flow to the Company and costs can be reasonably
measured.

Major improvements and renovations that increase the useful life of the asset or its productive
capacity are capitalized only if they are likely to derive future economic benefits to the company
and if their cost can be reliably estimated. On the other hand, the costs for routine repairs and
maintenance on furniture and equipment are recognized in results when they occur.
b) Depreciation
The depreciation of furniture and equipment is calculated linearly based on the estimated useful life of
identifiable assets or significant components that have differentiated useful lives, and does not consider
residual values, because the Company's Management estimates that the realisation value of its
properties and equipment at the end of its useful life will be irrelevant.
Estimates of useful lives and residual values of fixed assets are reviewed, and adjusted if necessary, to
each closing date of the financial statements.
The estimated useful lives of furniture and equipment for the current and comparative periods,
according to the valuation made or the Company's corporate policy, are as follows:
Intangible assets with indefinite useful lives that are acquired separately are recorded at cost less any
accumulated impairment losses.

Deferred income tax balances assets and liabilities are offset where there is a statutory right to offset
current assets taxes against current liability taxes and where deferred income taxes assets and
liabilities relate to the same tax authority.
As of December 31, 2022, the Company has determined the existence of temporary differences
between its asset tax bases and their respective values shown in the financial statements prepared
under IFRS for SMEs. (See Note 15.3).

La Compañía registra provisiones cuando: i) existe una obligación presente, ya sea legal o implícita,
como resultados de eventos pasados, ii) es probable vaya a ser necesario una salida de recursos para
liquidar la obligación y iii) el monto se ha estimado de forma fiable.

Los montos reconocidos como provisión son la mejor estimación de la Compañía, a la fecha de cierre
de los estados financieros, de los desembolsos necesarios para liquidar la obligación.
2.11 Provisiones y Contingencias
Las obligaciones o pérdidas asociadas con provisiones y contingencias, originadas en reclamos, litigios,
multas o penalidades en general, se reconocen como pasivo en el estado de situación financiera cuando
existe una obligación legal o implícita resultante de eventos pasados, es probable que sea necesario un
desembolso para cancelar la obligación referida y el monto puede ser razonablemente estimado.
El importe reconocido como provisión corresponde a la mejor estimación, a la fecha del estado de
situación financiera, del desembolso necesario para cancelar la obligación presente, tomando en
consideración los riesgos e incertidumbre que rodean a la mayoría de los sucesos y circunstancias
concurrentes a la valoración de estas.
Cuando no es probable que un flujo de salida de beneficios económicos sea requerido, o el monto no
puede ser estimado de manera fiable, la obligación (no cuantificada) es revelada como un pasivo
contingente obligaciones razonablemente posibles, cuya existencia será conformada por la ocurrencia o
no ocurrencia de uno o más eventos futuros, son también reveladas como pasivos contingentes (no
cuantificada) al menos que la probabilidad de un flujo de salida de beneficios económica sea remota.
Se reconocen cuando la compañía transfiere los riesgos y beneficios, de tipo significativo, derivados de
la propiedad de los bienes; el importe de los ingresos y los costos incurridos, o por incurrir, en relación
con la transacción pueden ser medidos con fiabilidad y es probable que la compañía reciba los
beneficios económicos asociados con la transacción.
Prestación de servicios de Arrendamiento
El ingreso por concepto de alquileres bajo arrendamientos operativos se reconoce empleando el método
de línea recta durante el plazo correspondiente al arrendamiento.
Los gastos son reconocidos con base al devengado o cuando son incurridos. Se reconoce
inmediatamente un gasto cuando el desembolso efectuado no produce beneficios económicos futuros.

Las actividades de la Compañía la exponen a una variedad de riesgos financieros: riesgo de liquidez,
de crédito y de mercado (tasas de interés, tipo de cambio, y otros).
De acuerdo con el modelo de negocio de la Compañía para reducirlo se cuenta con diferentes
controles, que incluyen:
• Revisión de clientes de acuerdo con las políticas de crédito
• Análisis mensual de indicadores de cartera.

de efectivo. Sin embargo, el endeudamiento a tasas fijas expone la Compañía al riesgo de tasa de
interés sobre el valor razonable de sus pasivos.

La Compañía ha establecido una política de endeudamiento en instrumentos de largo plazo siempre y
cuando no se deba comprometer los activos de la entidad, procurando mantener tasas de un mercado
competitivo, y fijas. El endeudamiento de la compañía es principalmente con partes relacionadas a
tasas adecuadas y a plazos apropiados que no afectan su flujo de caja.
c) Riesgo de liquidez
La principal fuente de liquidez son los flujos de efectivo provenientes de sus actividades de servicios
de alquiler de andamios. Para administrar la liquidez de corto plazo, la Compañía se basa en los flujos
de caja proyectados para un periodo de doce meses.
La Compañía mantiene índices de liquidez para cubrir eventuales pasivos inmediatos con saldos
relacionados a proveedores, relacionadas, beneficios a empleados, impuestos y otros con antigüedad
menor a un año.
La Compañía monitorea su capital sobre la base de la ratio de apalancamiento. Esta ratio se calcula
como la deuda neta dividida entre el capital total. La deuda neta se calcula como el total de los
recursos ajenos (cuentas por pagar proveedores, relacionadas, otras cuentas por pagar y provisiones)
menos el efectivo y equivalentes al efectivo. El capital total se calcula como el “patrimonio neto” más la
deuda neta.

9. INVENTARIOS
Composición:
Corresponde al stock de materiales y equipos de Andamios que fueron adquiridos para su posterior ven-
ta. El saldo del rubro no excede su valor neto de realización, el cual corresponde al precio de venta esti-
mado en el curso normal de sus operaciones, menos los gastos de venta variables. Véase además Nota

(1) Corresponde a valores entregados en calidad de depósitos en garantía por el alquiler de las
bodegas de la compañía.
(2) Corresponde al diferimiento de los intereses por pagar a la filial Layher Alemania por las compras
de equipos de andamios, mismos que son amortizables mensualmente y pagaderos cada
trimestre.
Al 31 de diciembre del 2022, los saldos representan principalmente a la refinanciación de deudas (por
compra de equipos de andamios) con sus filiales de España y Perú, cuyos plazos son a 10 años (con
vencimiento en el año 2030), los cuales devengarán una tasa de interés anual de 2.25% y 5%, y serán
pagaderos de forma trimestral (con 2 dividendos de gracia).

(1) La provisión para impuesto a la renta corriente se calcula mediante la tasa de impuesto
aplicable a las utilidades gravables. Las normas tributarias vigentes establecen una tasa de
impuesto a la renta del 25% (2021: 25%) aplicable a las utilidades distribuidas; dicha tasa se
reduce al 12% si las utilidades son reinvertidas por el contribuyente en activos productivos.
3. Impuesto Diferidos
Al 31 de diciembre de 2022 y 2021, el impuesto diferido corresponde a lo siguiente:

4. Impuesto a pagar
Durante el año 2022 y 2021, el Impuesto a la Renta fue pagado de la siguiente manera:
i) creación de una contribución temporal para los años 2022 y 2023 destinadas al impulso
económico post COVID-19, a ser pagada por las sociedades ecuatorianas que al 31 de diciembre
del 2020 posean un patrimonio igual o mayor a los US$5,000,000 (según lo refleja su declaración
de impuesto a la renta del 2020), aplicando una tarifa del 0.8%. La referida contribución no puede
ser utilizada como crédito tributario, ni como gasto deducible para la determinación y liquidación
de otros tributos,
ii) se permite la aplicación del régimen voluntario, único y temporal para regularización de activos en
el exterior, con fecha límite para acogerse a este régimen el 31 de diciembre del 2022 y sobre los
que se aplicará una tarifa que va del 3,5% al 5,5%, dependiendo de la fecha del pago durante el
año 2022. El impuesto pagado no podrá ser utilizado como crédito tributario para ningún
impuesto, ni como gasto deducible en la determinación de otros impuestos,
iii) se amplía el plazo de caducidad de las obligaciones tributarias de 3 a 4 años,
iv) se establece la transacción como un modo de extinción de las obligaciones tributarias,
v) se incorpora el nuevo régimen simplificado para emprendedores y negocios populares (RIMPE),
donde se establecen las generalidades, deberes formales, disposiciones para el cálculo del
impuesto a la renta y sus retenciones, forma de declarar el impuesto al valor agregado, entre
otros. Se dispone también que, los sujetos pasivos del RISE y del Régimen de Microempresas se
incorporarán de oficio a este nuevo régimen de manera automática desde el ejercicio fiscal 2022.
El 22 de diciembre del 2021, el presidente de la República firmó el Decreto Ejecutivo No. 298, donde
dispuso la reducción progresiva del Impuesto a la Salida de Divisas [ISD] en un 0,25% por cada
trimestre del año 2022, a partir del 1 de enero del 2022.

i. Se establece que para efectos del cálculo de la contribución temporal para el impulso
económico post COVID-19, a ser pagada por las sociedades, los primeros
US$4,999,999.99 estarán sujetos a la tarifa de 0,0%.
ii. Se elimina el literal donde se disponía que las provisiones no utilizadas por concepto de
desahucio y pensiones jubilares patronales deberán reversarse contra ingresos gravados
o no sujetos de impuesto a la renta en la misma proporción que hubieren sido deducibles
o no.
iii. Se elimina el literal donde se establecía el reconocimiento de impuesto diferido por
concepto de desahucio y pensiones jubilares.
iv. Se elimina el numeral donde se establecía el límite de deducibilidad del 20% sobre el
gasto por concepto de regalías, servicios técnicos, administrativos y de consultoría con
partes relacionadas.
v. Se agrega numeral que establece las condiciones para la deducción adicional del 100%
por donaciones, inversiones y/o patrocinios a programas ambientales.
vi. Se elimina disposición que establecía la necesidad de contar con certificados de
auditores independientes por gastos realizados en el exterior por las empresas de
transporte marítimo, aéreo y pesqueras de alta mar, constituidas al amparo de las leyes
ecuatorianas.
vii. Se elimina la obligatoriedad de presentar una declaración sustitutiva para la presentación
de un reclamo de pago en exceso o pago indebido.
viii. Se elimina la obligatoriedad de sujetarse a los límites por tipo de concepto para la
proyección y deducción de gastos personales.
ix. Se incorporan los casos sobre los cuales se puede considerar al IVA al 100% como
crédito tributario:

Otras disposiciones:
Aplica exoneración de tributos al comercio exterior, incluyendo IVA y FODINFA, las importaciones de
combustibles, derivados de hidrocarburos, biocombustible y gas natural, destinados para consumo
interno del país, por sociedades o personas naturales previamente autorizadas para la importación de
tales bienes.
La Administración se encuentra evaluando los posibles efectos que tendría la aplicación de esta Ley
para los ejercicios económicos posteriores.
