We welcome you to NEOGEN Pariwar!!
We refer to your application for employment with us and the subsequent interviews you had with
us. We are pleased to inform you that we are offering you a position in Neogen Chemicals Limited
(“Company”) on the following terms and conditions (“Appointment Letter”).
DESIGNATION: Asst. Manager-Instrumentation (Maintenance)
1, SALARY
The Company may change the salary structure depending on any change in law or any government
policy. However, the cost to Company (on an annual basis) will remain the same as agreed at the time
of appointment, the details of which set out in “Annexure-A”.
2. POSTING
You will be posted at our Dahej Site. and report directly to Sr. Manager - Electrical &
Instrumentation for smooth functioning of your obligations, you will communicate and interact
directly with the managers and staff of other departments, and external agencies, as may be required
under your scope of work. You are expected to build and project good company image by the manner
in which you talk and conduct yourself. At the time of appointment, your posting will be as
mentioned above, but during the course of your employment with the Company, you may be posted/
transferred to any other location of the Company's existing or proposed
offices/projects/divisions/department/unit at any other location in India. You're travelling expenses
to the new location of your deployment shall be borne by the Company on an actual basis. You will
put in your best efforts in discharging the responsibilities assigned to you by the management, from
time to time. You will, at all times during your employment, follow the Company's rules and
regulations and internal policies, as may be provided to you by the Company. The Company's decision

final and binding on you.
3, RECRUITMENT FORMALITIES
Your engagement with the Company will be subject to you completing the following recruitment
formalities with the Company's human resources department. You will be required to produce the
following documents, at least one day prior to the date of your joining:
(i) Duly filled “human capital inventory form” (“Form”) with clear instructions about the nominee.
You may change the nominee appointed by you at any time, after giving the Company a
declaration to that effect, in writing;
(ii) Passport size photographs ~ 2 Nos.;
(iii) Copy of your Passport, along with original;
(iv) Birth certificate, school leaving certificate, graduation certificate and other relevant documents
substantiating the information given by you in your resume or curriculum vitae, along with
copies of the same. All original certificates will be returned to you once the copies are
authenticated by the HR Team
(v) Relieving letter from your previous employer and proof of last salary paid by your pervious
employers;
(vi) Names and full details of two references who hold position of authority and are not related to
you. Please note that, the Company reserves the right to check your references, in its sole
discretion; and
At the time of starting your employment with the Company, you will inform the Company in writing,
of any continuing or residual business interest that you may be a party to in any other undertaking
or enterprise, prior to joining the Company.
4, PERIOD OF PROBATION
You will be on probation for a period of six months from the date of your appointment. The probation
period may be extended by the Company, at its sole discretion (“Extended Period”). You shall be
deemed to be on probation until a letter of confirmation in writing is issued to you. You will not be
entitled to any leave during the probation period.
2 wWTRAVEL
When traveling for Companys work, whether locally or out of station, you will be governed by the
rules and policies framed by the Company, in this regard.
6. TRANSFER
You may be transferred and deployed by the Company to any place / department/branch/office of
the Company, anywhere in India.
LEAVE
You will be governed by all the schemes, rules and regulations relating to leaves, conduct, discipline
etc. that are applicable, from time to time, to all employees of your grade.
8. ABSENCES OR UNAUTHORISED LEAVE
Unauthorized leave or absence for a continuous period of 8 (eight) days or more, without the prior
permission in writing of the Company, will be considered as abandonment of your service. In such
case, it will be deemed that your services with the Company have been terminated and such
termination will be without any notice or intimation to you from the Company. [Upon such
termination of your services, you will pay the Company, an amount equivalent of 45 days’ salary if
the termination is during your probation period or 3 (three) months’ salary, in any other case.
9. TAX DEDUCTION AT SOURCE
The remuneration, reimbursement or any other payment / allowances paid to you, will be subject to
deductions of tax under the Income Tax Act, 1961 or other law or government regulation in force,
from time to time.
10. PERFORMANCE EVALUATION ~ INCREMENT & BONUS
Annual increment will depend upon your consistent performance and will not be a matter of right.
The Company reserves the right to grant or withhold any amount of annual increment, as it may
deem fit, in its sole discretion. The next revision of pay will be done by the company effective from
April 2025 along with other employees. You will be eligible for such revision of pay only if the
company has confirmed you as @ permanent employee and your progress is satisfactory to the
Company. Please note that you are eligible for bonus only upon completion of minimum 1 (one) year
of employment with the Company.
% we11. MEDICAL FITNESS
Your appointment and confirmation as well as continued employment in the services of the Company
is subject to your being declared and remaining medically fit by a medical officer or by a doctor
specified by the Company. In case of any medical emergency arising during the performance of your
work, the Company will immediately take the necessary action and inform the contact person
mentioned by you in the Form.
12. GENERAL DISCIPLINE
(i) During the period of your service, you will not disclose, divulge or communicate to any interested
party or other persons whatsoever, any information relating to the Company's business practices
or any other information of a confidential nature and also you will not enter into personal
financial transactions with Company's suppliers / clients. In case you do so, you will be guilty of
moral turpitude and misconduct.
(ii) Attending to or pursuing in any other way, during the office hours, any personal or private
business unconnected with your employment in this Company or engaging in any part-time
business, allied, connected or incidental to the Company's business is strictly forbidden.
(ii) Occupation/activities in any part time engagement beyond your working hours/holidays of a
remunerative character or otherwise requires the prior consent of the Company. Pursuit of any
avocation of this nature detrimental to the efficient discharge of duties shall be considered
inconsistent with the terms of your tenure in this Company.
(iv) You are requested to take permission from the director of the Company for doing any kind of
courses or attending any external classes after working hours whether or not it is likely to affect
your job responsibilities. Whenever possible, if it is desirable for the organization, the Company
may partly or fully bear the expense, at its sole discretion.
{v) You will carry out the work assigned to you by the Company. You will not divulge any information
pertaining to the affairs of the Company / associate Companies and any trade secrets thereof,
during the course of your employment with the organization / associate Companies and even
after discontinuance of your service with the Company, in case you leave the Company before
retirement.
(vi) You will devote your services for the Company only and shall not carry out any other activities
such as part time job and business without permission from the Company. In the event of you
indulging in any such activity, disciplinary action, including termination of services without any
notice, will be taken by the Company. Ww
a 413. NON-DISPARAGEMENT
From and after the Effective Date and even after the expiry of your tenure with the Company, you
will not make any statements that criticizes, ridicules, disparages or is otherwise derogatory about
the Company, any of its subsidiaries, affiliates, employees, officers, directors or shareholders.
14. NON-COMPETITION AND NON-SOLICITATION
(i) Non-Compete: You will not, during the tenure and for a period of [36] (thirty-six) months from
the date of termination of this Appointment Letter, directly or indirectly, in any capacity, whether
‘through partnership or as a shareholder, joint venture partner, collaborator, consultant or agent
or in any other manner whatsoever, whether for profit or otherwise:
(a) carry on or participate (whether as a partner, shareholder, principal, agent, director,
employee or consultant) in any business and/or activity which is the same as or substantially
similar to the business (other than through the Company), including in the business of any
Competitor; and
(b) render any services to a Competitor or enter into employment with any of the Competitors.
For the purposes of this Clause 14(i), “Competitor” means any entity or a person (including any
affiliate of such entity or person) who is, directly or indirectly, engaged in any commercial activity
same or similar to the business or which competes with the business of the Company.

You will not receive any separate non-compete fees, and the consideration for the non-compete
restriction contained herein is deemed to have been received by you under this Appointment
Letter and you acknowledge the receipt and sufficiency of such consideration.
Non-Solicit: You will not, during your tenure with the Company and for a period [36 (thirty-six])
months thereafter (“Non-Solicit Period”):
{a) in any manner, contact or attempt to contact any existing or prospective
client/customer/business associates/employee of the company (“Company's Clients”) or
solicit from any Company's Clients, business of the type carried on by the Company or to
persuade any Company's Client, to cease doing business or to reduce the amount of business
which any such Company's Client has customarily done or might propose doing with company
and/or its subsidiaries;
(b) in any manner, damage or attempt to damage, the business relationship that the Company
has with any of Company's Clients, whether or not the relationship between the Company
and such Company's Client was originally established in whole or in part through your efforts;
or
Wy 5{c) in any manner, employ or attempt to employ, directly or indirectly, any person who is in the
‘employment of the Company or its subsidiaries or affiliates, or was in the employment of the
company or its subsidiaries or affiliates, at any time during the Non-Solicit Period.
15, RETIREMENT:
You will retire from the services of the Company upon attaining the age of 60 (sixty) years. However,
the Company reserves the right to give you extension with mutual consent,
16. RESIGNATION / TERMINATION OF SERVICES
During probation or Extended Period(s) thereof, your services to the organization can be terminated
at any time by giving 45 (forty-five) day notice by either party. Upon completion of probation and
after confirmation of appointment, the Company can terminate your services at any time without
assigning the reason or notice to you. In case you choose to resign from the services, you will be
obligated to serve (3) three months’ notice period and it would be in the sole discretion of the
Company for waiving any notice period.
Your services shall be liable to be terminated;
(a) If you are found to be medically unfit or if you remain absent due to continued ill health. You will
have to undergo medical examination as per Company's advice in such situation;
(b) By the Company at any time without notice, if you are found indulging in any act of
insubordination, interference, corrupt practices, misconduct, breach of trust, or you are in non-
compliance with any of the instructions or are in non-compliance with any general rules and
regulations of the Company;
(c) By the Company without notice, if at any time it has been found that the declarations or
information including the information given for seeking employment furnished by you is proved
to be false and / or misleading and / or it has been found that you have willfully suppressed any
information from the Company;
(d) By the Company at any time, if you are declared insolvent, convicted of any offence involving any
moral turpitude or found/ suspected of fraud or misappropriation of money or other assets of
the Company;
(e) By the company if you commit material breach of provisions of the ‘Confidentiality Agreement’;
or
In case of breach of any of these conditions, you shall be liable, (in addition to termination of services
by the Company) to pay damages to the extent of loss suffered by the Company. In case of default,
ay a *‘the Company shall be entitled to withhold and appropriate your salary and other monetary benefits
due to you till such time as the said amount of damages is fully recovered.
At the time of termination of your services with the Company, you will be required to handover to
the Company all documents, articles (including cash), confidential information, return all property
(including car, keys, security pass, telephone, mobile, computer, disks, etc.) of the Company in good
condition, which were given to you for your use or came within your possession by virtue of your
employment with the Company, and obtain 2 “no dues certificate” from the Company. Final
settlement of your accounts will be made only on you handing over the abovementioned items to a
designated representative of the Company. You shall delete or destroy (if the Company so requires)
all confidential information and provide proof of such destruction to the Company. You shall also be
required to irretrievably delete all information of the Company stored on any magnetic or optical disk
or memory of the personal equipment owned by you and all matter derived from such information
of the Company.
17. ADDRESS
The address indicated by you in the Form (“Address”) shall be deemed to be correct for sending any
communication to you by the Company. Every communication sent to you at the Address shall be
deemed to have been served upon you. In case there is any change in the Address, you will intimate the
same in writing to the personal department / manager within 3 (three) days from the date of such change
and ensure that such change of address is recorded by the Company.
18. CORRECT INFORMATION
You are advised to furnish the details as required by the Company, to the best of your knowledge and
belief. if any declaration, statement or information given by you is at any time found to be false or
untrue or if any information is suppressed, your services are liable to be terminated forthwith,
without any notice or compensation in lieu of notice.
19. DISPUTE RESOLUTION
In case of any dispute or difference that may arise between the parties in relation to this Appointment
Letter, such dispute shall be resolved by the parties mutually, through discussions at the Company's
premises. In case such dispute is not resolved through discussions, within 15 (fifteen) days from the
date of raising the dispute by a party, then either party may approach the courts at Mumbai for any
relief.
If the above terms and conditions are acceptable to you, please sign the duplicate copy of the
Appointment Letter as an acknowledgement and submit the same along with the recruitment papers.
