Undertaking

I/We Company Name , having its principal place of business at )_______________,

hereinafter (Deponent/Dealer) is one of the principal distributors and service partner with

________________. (Manufacturer), do hereby solemnly affirm and undertake as under:

1. That we are the distributor or the dealer for the products of (Manufacturer) and have

complete authorization to sale.

2. We understand and abide by the terms of the “Preferred Financier Agreement”

dated_____________ between Bank and (Manufacturer), where we identified as Dealer

under clause F to manage the activities relating to the sale of the Products (including receipt

of sale consideration and delivery of the Products to the Customers).

3. We hereby confirm and assure that with regards to payment obligation and/ or financial

support services, we are solely liable for remitting the fee to Bank within the stipulated time.

4. We hereby confirm and accept any payments obligations towards the unlikely event of any

default in payment of the aforementioned fee under the said agreement executed between

bank and Manufacturer. This assurance will be effective until the settlement of all the

payment claims (if any) between the Distributor (We) and the bank; will expires

automatically henceforth.

5. Claims, if any, under this assurance, stating that if Distributor (We) has failed to pay an

invoice under the said agreement within 7 (Seven) working days of raising of the invoice

then the interest penalty shall be borne by the distributor from the date of receipt of the

claims.
6. Notwithstanding anything stated herein, we hereby declare and confirm that We and the

manufacturer are separate legal entities and we only act as their distributor and have no other

relations in terms of shareholding and Board of Directors.

7. That, we hereby agree, confirm and declare to sign and execute this Undertaking before

submission.
