hereinafter referred to as the LICENSOR (which term or expression shall unless excluded by or
repugnant to the subject or context be deemed to mean and include its successor and/or

WHEREAS
4 The LICENSOR is absolutely seized and possessed of and/or otherwise well and sufficiently entitled

‘The Licensor has conveyed to the Licensee that he has full right, power and authority to give the
said demised premises on leave and license basis to the Licensee, which the Licensee has relied
upon,
‘AND WHEREAS.
The Licensor has agreed to grant a License in respect of the said demised premises unto and in
favour of the Licensee for a period of 11 (Eleven) months commencing from 1 day of March 2024,
and expiring on the 30" day of January, 2025 (hereinafter referred to as the “LICENSED PERIOD”) at
the License Fee of Rs.10,000/= (Rupees Ten Thousand only) per month inclusive of Corporation
‘Taxes on the terms and conditions hereinafter for Office Rent.
‘AND WHEREAS
The parties are desirous of recording the same in writing.
NOW THIS INDENTURE WITNESSETH.
|. THAT in consideration of the License fee herein reserved and on the covenants
conditions and stipulations herein contained on the part of the Licensee to be paid,
Performed and observed, the Licensor DO HEREBY grant unto the Licensee a licence to
Use and occupy property situate at Shree Krishna Tower, Bl-1, 4-FR, FL-4A, 7 Garpar
Road, Kolkata - 700 009 hereinafter referred to as the “LICENSED SPACE" for a period
of 11 months commencing from 1* day of March 2024 and expiring on 30" day of
January, 2025 yielding and paying therefore unto the Licensor a monthly License fee of
Rs.10,000/= (Rupees Ten Thousand only) (hereinafter referred to as the License Fee)
payable every month in advance on or before the 10" day of the said current month by
the 10" day of the month for which itis due.
|. The Licensee shall pay Security Deposit of Rs 20,000/- (Rupees Twenty Thousand Only)
» Which shall be refunded back to the Licensee on termination of lease. The said
security deposit is given free of interest to the Licensor.
ML The Licensee shall pay all the charges for electricity consumed by it in the said Promises
during the tenure of this agreement, maintenance charges if any would be borne by
the Licensor. The Licensee shall be entitled to apply for any telephone connections in
its own name in the said Premises. The Licensee shall pay the telephone bills in respect
of such telephone connections within the due date mentioned in the respective bills,
upon receipt thereof.
'V. The Licensor shall pay all taxes, levies, duties and/or impositions in respect of the
Licensed space payable under this Agreement as on the date of commencement of the
icense but if there be any increase in the rate of such taxes or any fresh taxes are
imposed on any of the payables hereunder, then the Licensee shall become liable to
ay the same irrespective of whether the same is payable or recoverable from the
Licensee and such amount shall be deemed to be a Charged hereunder and non-

payment thereof shall have the same consequences as non-payment of the Monthly
Charges hereunder.
The License may be renewed for further period of 11 months subject to that the
Licensee shall increase the Licensee Fees at the rate of 10 % on the expiry of the
period of 11 (Eleven) months from the commencement of tenancy and thus the
Increment shall be given effect on and from the 1" day of February 2025.
In case the licensee fails to vacate the licensed space after expiry of license perlod or
on its earlier determination then without prejudice to licensor’s other rights the
censee is liable to pay license fee at the rate of 2 (two) times of the license fee
prevailing at that time, for the period licensee was in unauthorized possession of the
licensed space.
The LICENSEE has agreed to pay the said license fee month by month and every month
‘on or before the 10" Day of each and every month for which the same shall become
due and payable.
In the event of any default on the part of the LICENSEE in making payment of the
License fee then and in that event the LICENSEE shall be liable to pay interest on the
amount remaining outstanding at the rate of 12% per annum from the date the said
charges become due for payment and this will be in addition to such other right which
‘the LICENSOR may have against the LICENSEE.
‘The LICENSEE is not liable to pay any municipal tax including commercial surcharge of
the Licensed Space as the License fee is inclusive of the same.
All fresh or new impositions of taxes, rates, charges et, if any (other than fine, penalty
or any other amount of similar nature pertaining to period prior to commencement of.
this Leave and License) on the Licensed Space shall be borne and paid by the LICENSEE
and the LICENSEE shall make such payment to the LICENSOR in advance.
‘The LICENSEE doth hereby covenant with the LICENSOR as follows:
a) During the said licensed period the LICENSEE shall regularly and punctually make payment of the
licensed fee.
b) To use the said Licensed Space for the purpose of running of Office purpose there from and for
ther incidental purpose s whatsoever or howsoever.
¢) To keep the interior of the said Licensed Space In good order and condition (reasonable wear and,
tear accepted).
4d) The LICENSOR will not be responsible for any loss, damage or theft or pilferage of any articles or
valuables of the LICENSEE.
son oon) To permit the LICENSOR and its men and agents to enter upon the said Licensed Space at all
reasonable times, after prior notice for all reasonable purposes.
4) Not to Let, Sub-Let, Sub-License, Transfer or Assign the LICENSEE'S right to the License into or
upon the said Licensed Space nor permit the Licensed Space to be used by anyone except the
LICENSEE nor to part with the possession of the said Licensed Space.
8) Not to use the Licensed space as guest house, lodge.
1h) Not to use any other space other then the Licensed space as more fully and particularly
described in the schedule hereunder written,
i) The LICENSEE shall be at liberty to place Its sign-board/glow sign board at the entrance of the
Licensed Space .
i) Not to make any structural additions and/or alterations into or upon the said licensed space
without the permission of the Licensor.
K) The licensee shall not do or permit to be done in or about the said Licensed space anything of a
‘wrongful nature, nor allow any illegal activity to be done which is or may become a nuisance to
‘anyone in the area,
I} Subject to the terms hereof to deliver of the said licensed space on the expiry of the said licensed
period in such order and condition as is consistent with the terms, covenants and conditions on the
part of the licensee herein contained.
'm) Licensee willbe liable for payment of Service Tax applicable on the rent,
XII, AND THE LICENSOR doth hereby covenant with the LICENSEE as follows:
‘That subject to the Licensee paying and discharging all its obligations in terms of these
resents not to interfere with the quiet and peaceful use and occupation of the said Licensed
Space by the Licensee.
Xill. AND IT IS HEREBY FURTHER AGREED AND DECLARED BY AND BETWEEN THE PARTIES hereto as
follows:
a) In the event of the Licensee being in arrear for any undisputed payments of Licensed fee
and/or any other payment due from the Licensee to the Licensor for a period of 60 days as
per the-terms of this agreement, the Licensor shall intimate the Licensee in writing glving
the details of such arrears, Upon receipt of such written intimation, the Licensee shall,
within 30 days, make payment as per the terms of this agreement, failing which the
Licensor at its option can terminate the License by a written notice of termination.
b) In case the Licensee commits any breach of the terms and condition hereof and/or any
other agreement or allotment if entered between the parties hereto then the Licensor shall

Bive a written notice of 60 days to the Licensee to cure the breach. In case of failure of the
Licensee to cure the breach within the aforesaid period, the Licensor shall have the right to
revoke/cancel the License and re-enter the Licensed period and also to prevent entry and
Use of the Licensed space by the Licensee and after revocation of the License, the Licensee
shall have no claim to enter the Licensed Space save for taking out its goods, articles and
furniture and fittings therein within a period of 30 days from the date of determination of
License. In such situation after determination and/or termination of the License the
Licensor shall have the right to put its Padlock on the main entrance and on the request of
the Licensee in advance shall unlock and open the door only for the purpose of taking out
lts good, articles and furniture and fittings therein that belong to the Licensee and not
those furniture and fittings which are provided by the Licensor. The Licensee shall have a
maximum of 30 days time to take back its goods, articles, furniture and fittings lying or
fitted in the Licensed Space failing which the Licensor shall cause the same to be removed
and sold as the Constituted Attorney of the Licensee at such price and on such terms as the
censor may deem fit and proper after giving prior written notice to the Licensee and
immediately handover the amounts realized thereon to the Licensee.
The parties hereto indemnify and agree to keep saved, harmless and indemnified each
other from all consequences arising out of the non performance of their respective
obligations under this agreement.
Its expressly agreed between the parties hereto that the LICENSEE shall not be liable to
make any payment, of whatever nature, to the LICENSOR or any other person, after
termination or earlier determination of this agreement and handing over of vacant &
peaceful possession.
Upon expiry of this agreement or upon earlier determination thereof as stated
hereinabove, the Licensee will cease to occupy the said Premises and shall remove itself on
the last day of the license, simultaneously with the Licensor returning the security the
Security Deposit and thereafter, shall be deemed to be trespassers and on its failure to
vacate the said Premises, the Licensor shall be entitled to remove It and prevent it from
entering upon the said premises or any part thereof.
Without prejudice to the other terms and conditions of this agreement, the Licensee shall
ay a penalty of Rs. 50/- {Rupees Fifty only} per day for any delay or default on the part of
the Licensee in vacating the said premises on the expiry or earlier determination of this
agreement in accordance with the terms hereof. The Licensor shall receive such penalty
without prejudice to any others rights or remedies exercisable by the Licensor under law.
{is expressly agreed between the parties hereto that the LICENSEE shall not be liable to
Bay the LICENSOR or any other person any amount, of whatsoever nature, other than that
expressly specified in this agreement.
ARBITRATION
{in the event that any dispute or differences arises in connection with the interpretation or
implementation or validity or otherwise arising out of or relating to the Agreement
between the parties, the parties shall attempt to resolve such dispute through friendly
_ Sey wr A “useConsultation. If the dispute is not resolved through friendly consultation within 30 (Thirty)
days from the date of commencement of discussion then either party may refer the dispute
to arbitration in accordance with the Arbitration and Conciliation Act, 1996. Such
Arbitration shall be conducted by a Sole Arbitrator to be mutually appointed by the parties.
The arbitration shall be held in Kolkata. The award of the arbitrators shall be final and
conclusive and binding upon the parties.
XX JURISDICTION
The courts of law in the city of Kolksta shall have exclusive jurisdiction to hear, try,
determine, adjudicate and decide the dispute between the two parties, considering the
‘covenants and arbitration agreement stated herein-above;
