General Terms : If any dispute(s) arises between the Parties hereto during the
subsistence of this MOU or thereafter, in connection with or relating to or
concerning any of the terms of this MOU and/or in the event of any differences
between the Parties hereto of any kind whatsoever arising out of or in
connection with or touching upon or incidental to this MOU shall be settled
amicably. If however, the Part ies fail to arrive at an amicable settlement within
a period of 15 (fifteen) days from the notice of such dispute/difference the
disputes will be referred for arbitration and the said dispute shall be
adjudicated by a sole arbitrator jointly appointed by b oth the Parties. The
arbitration proceedings shall be conducted in accordance with the provisions of
Arbitration and Conciliation Act, 1996 as amended from time to time. The
arbitral proceeding shall be conducted in English and the venue of arbitration
sha ll be Pune, Maharashtra, INDIA. Any award in connection with any
arbitration proceeding hereunder shall be final, binding and not subject to
appeal, and any judgment upon such award may be entered and enforced in
any court of competent jurisdiction.
