Contractor reserves the right to adjust prices.

Any company news, event information, promotional details, etc. is to be

With this contract, parties agree not to engage in business activities

that directly compete with the other Party.

For the purpose of preventing the unauthorised disclosure of

Confidential Information as defined below. The parties agree to enter
into a confidential relationship concerning the disclosure of certain
proprietary and confidential information ("Confidential Information").

1. Definition of Confidential Information.

For purposes of this Agreement, "Confidential Information" shall include
all information or material that has or could have commercial value or
other utility in the business in which Disclosing Party is engaged.

2. SCHEDULE.
[YOUR NAME] will begin work on [ENTER DATE] and the work is
ongoing. This Contract can be ended by either Client or Contractor at
any time, pursuant to the terms of Section 6, Term and Termination.

3. PAYMENT.
For the agreed list of services mentioned in this contract he Client will
pay [YOUR NAME] a rate of [VALUE] per week, paid monthly for a total
of [VALUE], prior to the work starting. [YOUR NAME] will invoice the
Client on the [DAY] of every month. The Client agrees to pay the amount
owed within 5 days of receiving the invoice. The Contractor reserves the
right to suspend all work until the payment is completed.

4. INTELLECTUAL PROPERTY RIGHTS.

4.1 OWNERSHIP OF DELIVERABLES. Subject to [YOUR NAME] and

third party rights in pre-existing intellectual property, all deliverables
and Intellectual Property Rights shall belong to the Client. [YOUR
NAME] hereby grants such rights to the Client once the Client pays for it
in full. All rights, titles and interests in and to the work product will be
owned by the Client. [YOUR NAME] agrees to help with work product
transfer when and if the Client requests it.

Except for the limited license to use materials provided by the Client in
order for the [YOUR NAME] to perform the services, [YOUR NAME] is
not granted any rights, titles, or interest to the Intellectual Property.

[YOUR NAME] may require the Client’s Intellectual Property in order to

complete the project at hand. Intellectual Property may include logos,
branding guidelines, product photography, etc. The Client agrees to let
[YOUR NAME] use the Client’s Intellectual Property to complete the job.

Throughout the course of this relationship, [YOUR NAME] may use

intellectual property that the [YOUR NAME] owns, however does not
qualify as “work product” (“background IP”). This includes fonts,
licensed stock photos, and tools. [YOUR NAME] gives the Client the
right to use and license the background IP to sell, support and market
the Client’s products and services.

4.2 CONFIDENTIAL INFORMATION. For the purposes of this contract,

“Confidential Information” shall include information or materials that are
designated by the Client as confidential, as well as information about
the Client that is not generally known. Confidential Information does not
include information that is or becomes publicly available; generic
information or knowledge about which [YOUR NAME] have learned
during the course of work or trade elsewhere; information that [YOUR
NAME] rightfully knew prior to receiving such information from the
Client; or information [YOUR NAME] develops independently of any
information originating from the Client.

The following constitutes Confidential Information of the Client and

should not be disclosed to third parties: deliverables, ideas and
concepts, developing branding, product photography drafts, marketing
techniques and materials, marketing developments and plans, Client
names and private information about Client, pricing guidelines, financial
information, employee and contractor information. [YOUR NAME] will
not use the Client’s name or logo without the Client’s prior consent.

With respect to any information or knowledge disclosed to the Client by

[YOUR NAME], the latter warrants the unrestricted right to disclose the
same without incurring any legal liability to others, and that the Client
shall have full and unrestricted right to use and publish the same as it
may see fit. Any restrictions on the Client’s use of information and
knowledge by [YOUR NAME] must be made known to the Client before
the start of this contract.

5. NON-SOLICITATION.

For a 12 month period after the Contract ends, [YOUR NAME] agrees to
not: encourage client employees, service providers, or customers to
stop doing business with the Client; or hire any employees or
contractors who worked for or with the Client.

6. TERMINATION.

The Contract is ongoing until terminated by either party with written

notice. Either party may end this Contract with seven days (7) prior
written notice. The Client may terminate this Contract immediately if
[YOUR NAME] fails to perform any obligations under this Contract, or if
[YOUR NAME] breaches the Contract. The Client will pay [YOUR NAME]
an equitable amount as determined by both parties for the partially
completed services.

Upon termination of the Contract, [YOUR NAME] shall promptly return

all materials and tools provided by the Client, and all Confidential
Information provided to [YOUR NAME], back to the Client.

7. LIMITATION OF LIABILITY.

Except as set forth in this Contract, in no event shall either party be

liable for any special, indirect, incidental, or consequential damages nor
loss of data, profits or revenue, or cost of capital, nor for any exemplary
damages arising from any claim or action, incidental or collateral to, or
directly or indirectly related to or in any way connected with, the subject
matter of the agreement, whether such damages are based on contract,
tort, statute, implied duties or obligations, or other legal theory, even if
advised of the possibility of such damages.

Notwithstanding the foregoing, any purported limitation or waiver of

liability shall not apply to [YOUR NAME] obligation under the
indemnification of confidential information sections of this agreement of
either party’s liability to the other for personal injury, death, or physical
damage to property claims.

10. INDEMNITY.

[YOUR NAME] agrees to indemnify the Client from and against all
liabilities, losses, damages, and expenses in relation to the work [YOUR
NAME] has done under the Contract or a breach of Contract by either
party.

The Client agrees to indemnify [YOUR NAME] from and against all
liabilities, losses, damages, and expenses in relation to the Contract or a
breach of the Contract by either party.

11. MISCELLANEOUS.

11.1 ASSIGNMENT. [YOUR NAME] shall not assign any rights of the
Contract or any other written instrument related to the services provided
under this Contract, and no assignment shall be binding without the
prior written consent of the Client.

11.2 MODIFICATION. In order to modify any aspect of the Contract,

the Client and [YOUR NAME] must agree to the change in writing and
both parties must sign a document stating such change.

11.3 GOVERNING LAW. The Parties shall make a good-faith effort to

amicably settle by mutual agreement any dispute that may arise
between them under this Contract. The foregoing requirement will not
preclude either Party from seeking injunctive relief as it deems
necessary to protect its own interests.

11.4 INDEPENDENT CONTRACTOR. The Client is hiring [YOUR NAME]

as an independent contractor. Nothing contained in the Contract shall
create an employer or employee relationship, a master and servant
relationship, or a principal and agent relationship between the Client
and the Contractor. [YOUR NAME] will (a) be responsible for
determining how and when the work will be performed, (b) provide their
own training, (c) not enter into contracts on behalf of the Client, (d) not
be entitled to benefits including but not limited to insurance, retirement
benefits, tax withholding, and vacation days.

11.5 ENTIRE CONTRACT. This Contract and all attached or

incorporated documents contains the entire agreement between both
parties and supersedes all prior understanding, commitments and
agreements, oral or written. This Contract may not be modified,
changed, or otherwise altered in any respect except by a written
agreement signed by both parties.
