SimpliSafe Beta Testing Program Agreement - Active Alarm Screen

This SimpliSafe Beta Testing Program Agreement (the “Agreement”) is made as of the date you agree to these terms
by selecting the “I Accept and Agree to the terms of the SimpliSafe Beta Testing Program Agreement” button, or
similar agreement mechanism as may be updated from time to time, in your SimpliSafe mobile application or website
(“SimpliSafe App”) during enrollment in the SimpliSafe Beta test program (“Effective Date”) by and between
SimpliSafe, Inc., a Delaware corporation that maintains a corporate office located at 100 Summer Street Suite 200,
Boston, MA 02110 (“SimpliSafe”, “we”, “us” or “our”) and the undersigned individual (“you” or “your”).

WHEREAS, you have been identified as a potential participant for a new Beta Version of a confidential
SimpliSafe product or service in development, which shall include [Active Alarm Screen capabilities, intended to
provide information relating to ongoing alarm events - during such alarm events - to help you make faster, more
accurate, and more informed decisions regarding the alarm - which may include allowing you to cancel the alarm or
request assistance, as described in more detail in the description of the Product in your app], including any related
software or apps (or certain app functionality or features) used to operate the unit, or any accessories received with
the unit (the “Product,” or “Products”); and

WHEREAS, you desire to participate in a private early access beta testing program to use and test the Products
(“Program”) that may at SimpliSafe’s sole discretion require you to provide certain feedback to SimpliSafe described
herein or requested in the future under the Program, subject to the terms of this Agreement during the evaluation
period which shall run for as long as SimpliSafe makes Products available to you or until SimpliSafe removes your
access to the Program (“Evaluation Period”).

NOW THEREFORE, for good and valuable consideration (including your opportunity to have early access to new
products and/or product functionality), the receipt and adequacy of which hereby is acknowledged, the parties hereto
agree as follows:

1. SimpliSafe Beta. By participating in the Program, you'll receive a beta version of the Product to evaluate and use
during the Evaluation Period in accordance with the terms of this Agreement. The beta version has been, or will
be, described in the in-app sign up flow for your participation in this test and may not be a fully finished
commercial product. In return, we may ask that you give us regular feedback on this new Product. To enable our
ability to collect your important input and sentiments, we may direct you to (i) complete surveys, participate in
remote video conferencing interviews and other feedback prompts and/or (ii) an online forum for beta testers
where you may be asked to provide feedback. If required by SimpliSafe, you agree to complete such tasks on a
timely basis to the best of your ability. SimpliSafe shall own, and you agree to irrevocably assign, transfer, and
convey, and hereby irrevocably assign, transfer, and convey, to SimpliSafe all rights in and to all feedback and
information you provide and shall have the right to use such information without restriction or further obligation.
To the extent that any such rights in and to feedback and information you provide cannot be assigned, you agree
to grant, and hereby grant, to SimpliSafe a perpetual, irrevocable, royalty-free, fully paid, exclusive, sub-licensable,
worldwide right and license to use, reproduce, process, transfer, and store all such feedback and information you
provide hereunder. Participation in this SimpliSafe Beta test, or other SimpliSafe Beta tests in the future, may
involve SimpliSafe personnel visiting your home to observe installation, use, or maintenance of the Product, with
advanced notice and planning.
You represent that you are at least 18 years of age and either own the home or dwelling where the Product will be
used or have full authority and permission from the owner of the premises to install and use the Product on such
premises.

2. Limited License to Product. You understand and agree that you do not obtain or acquire any ownership rights or
title in or to any software or firmware installed on, or used with, the Product. In exchange for participating in this
beta testing program, SimpliSafe agrees to grant you a limited, non-transferable, non-exclusive, revocable right to
access and use the Product in connection with an existing SimpliSafe system or services to test its functionality and
provide feedback to SimpliSafe. You may use any software that is embedded in or otherwise part of the Product
only in connection with the Product, and may not modify, distribute, copy or reverse engineer the Product of any
such software. The Product or such software may contain or be provided together with open source software.
Each item of open source software is subject to its own applicable license terms, which may be found at
https://simplisafe.com/open-source-disclosures and/or in the software documentation or the applicable help,
notices, about or source files. Copyrights to the open source software are held by the respective copyright holders
indicated therein. All rights with respect to the Product or such software not licensed to you hereunder are fully
reserved by SimpliSafe and/or its licensors. Nothing in this Agreement obligates SimpliSafe to deliver or make
available any copies of computer programs or code from the Product to you, or to make any repairs or replace any
damaged or defective Products. SimpliSafe reserves the right, in its sole discretion, to revoke access and use of the
Product or to otherwise materially change the functionality of the Product at any time without further notice.
Further, SimpliSafe reserves the right to review account information as needed to (i) monitor or measure use of
the Product; (ii) validate certain features or functionality of the Product; and (iii) to provide services or support
necessary to maintain the Product.

3. Confidentiality. As we have not yet announced and may never announce this new product to the public, it is
critical, and this Agreement and your participation in the Program strictly requires, that you do not share details of
the Product or this SimpliSafe Beta program, with anyone outside of SimpliSafe. You may share these details with
those individuals who live with you, but you shall take reasonable measures to ensure they comply with the terms
of this Agreement. You may also not post, or permit others to post, any pictures, video or other information about
the Product or this test with anyone else on social media or any other medium.

“Confidential Information” includes, but is not limited to: each of the product components or functional aspect of
the Product, the look, operating features, interface, set-up guides associated with the Product, any information
about other non-public, proprietary SimpliSafe products or services of which you may become aware in using the
SimpliSafe test mobile application or web application during this Program, feedback from you and other SimpliSafe
Beta users, either online (within a SimpliSafe Beta forum, if any) or any included in surveys or other requests for
information pertaining to your use and impressions of the Product and your responses to each, your experiences
with the Product and any other information relating to the Product’s physical design, operation and its software.

You agree to not share any Confidential Information with any person or entity outside of SimpliSafe (except as you
may be requested by SimpliSafe to participate in any private forum) or make use of it for any purpose, without the
express written permission of SimpliSafe. This includes, but is not limited to, your agreement not to publish,
discuss or otherwise disseminate any information about the Product or the existence of the Product, or publish
photographs of the Product nor your activities as a SimpliSafe Beta user outside of any private forum (this
includes, without limitation, on any social media platforms).

However, you may be asked to provide feedback or sample videos to SimpliSafe via one or more third-party online
platforms, which may require assenting to certain terms and conditions of such platforms. You further understand
and agree that you will review and understand any such terms and conditions and that SimpliSafe is not
responsible for these platforms.

4. Use of SimpliSafe Beta Product & Information. Except as otherwise stated herein, use of the Product will at all
times be subject to the SimpliSafe Terms of Service (http://simplisafe.com/terms-of-service) which are deemed
accepted by your use of the Product. Use of the information you provide during the SimpliSafe Beta testing will be
subject to the SimpliSafe Terms of Use (https://simplisafe.com/terms-of-use) and the SimpliSafe Privacy Policy
(https://simplisafe.com/privacy). Additionally, any Product provided to you under this Agreement during the
Program shall also be governed by the SimpliSafe Terms of Sale (https://simplisafe.com/terms-sale), which are
deemed accepted by your acceptance of the Product, to the extent the terms therein do not conflict with any of
the terms of this Agreement. Despite any return of the Product in accordance with provisions of the Terms of Sale,
all other obligations imposed herein shall remain in place.

5. Beta Product / Disclaimers / Limitation of Liability. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN ANY OF
THE TERMS AND CONDITIONS CITED IN SECTION 4 ABOVE (INCLUDING ANY REPRESENTATIONS AND WARRANTIES
CONTAINED THEREIN), you specifically acknowledge that the Product is an early access beta product offered to
you from SimpliSafe, and as such the Product or certain features or functions thereof may or may not perform or
operate in an optimal manner. SIMPLISAFE MAKES NO REPRESENTATIONS OR GUARANTEES REGARDING
AVAILABILITY OR SUITABILITY OF THE PRODUCT FOR ANY PARTICULAR PURPOSE. THE PRODUCT IS PROVIDED “AS
IS,” EXCLUSIVE OF ANY AND ALL WARRANTIES, ARE NOT SUPPORTED, AND ARE NOT SUBJECT TO ANY AVAILABILITY
OR SECURITY OBLIGATIONS, AND SIMPLISAFE MAY TERMINATE OR DISCONTINUE THE PRODUCT OR ITS SOFTWARE
AT ANY TIME WITHOUT LIABILITY. As such, you agree to use and evaluate the Product solely at your own risk, and
to release and hold SimpliSafe and its shareholders, officers, directors and employees, and those of its affiliates,
harmless from any damages arising from the Product’s performance, installation, removal, or use of from updates
to your SimpliSafe app version after the Program. After the Program, if you are permitted to keep the Product
based on your compliance with this Agreement or receive a subsequent product per this Agreement, your use of
such products will be governed by the SimpliSafe Terms of Sale, including the warranties provided therein,
provided that you make any and all updates to the Product, such as software or firmware updates requested by
SimpliSafe.

6. Enrolling and Unenrolling via the SimpliSafe App. You understand that your enrollment in any SimpliSafe Beta
test is managed through our SimpliSafe app. Enrollment and unenrollment can be managed via the “SimpliSafe
Beta” section of your SimpliSafe App. This Agreement is also available for reference in the same settings pages.
Participation in SimpliSafe Beta Tests requires you to have the latest version of our SimpliSafe App and
maintenance of the same app throughout the Enrollment period. Certain SimpliSafe Beta tests may require that
you have certain system components or functionality turned on (i.e., the current version of our SimpliSafe App,
app or SMS notifications enabled, specific hardware in use, etc.) and/or be subscribed to certain products or
services, such paid monitoring related services. Failure to maintain any of these system components or
functionality, or cancellation of services may disqualify you from continued participation in the SimpliSafe Beta
Test. Prior SimpliSafe Beta tests that you participate in may be visible in your app at the “SimpliSafe Beta” section
at SimpliSafe’s discretion. For your records, we recommend that you download a copy of this test agreement as it
may not be present in your app after 12 months or earlier at SimpliSafe’s discretion, or if you plan to delete the
SimpliSafe App or cancel / delete your SimpliSafe account.

7. Concluding the SimpliSafe Beta Test. You understand that at the end of the Evaluation Period we may, without
any notice, remove or turn off the Product or any component thereof, or update your SimpliSafe app to different
version (e.g., a prior version, the then publicly available version, or a new version), which may be different from
the version of the SimpliSafe app used by you prior to the Evaluation Period or your participation in the Program.
You explicitly agree that we may update the SimpliSafe app on your device as part of the conclusion of the
SimpliSafe Beta test.

8. Miscellaneous. This Agreement constitutes the entire agreement between the parties with respect to the subject
matter hereof. This Agreement is governed by the laws of the Commonwealth of Massachusetts without regard to
its rules concerning conflicts of laws. The invalidity or unenforceability of any provision of this Agreement shall not
affect the validity or enforceability of any other provision of this Agreement. You agree that you may not assign
this Agreement. The terms and obligations of Sections 1, 3, 5, 7, and 8 shall survive termination or expiration of
this Agreement and any unenrollment by you from the Program.
