CREDIT AGREEMENT

ARTICLE I
PRINCIPAL
TRANSACTIONS
That DEBITUR expressed the intention to borrow a sum of money and BANK agreed to lend
the amount of money, so that DEBITUR and BANK agreed to bind themselves in a credit
agreement with the terms and conditions stipulated in the credit agreement below:
1. That Viena Maysa as DEBITOR makes payment to PT BANK MANDIRI.
2. That PT BANK MANDIRI is entitled to receive payment from DEBITOR.
3. The amount of payment to be made by the parties, including:
a. PT. BANK MANDIRI. agreed to provide Credit Facility to DEBITOR,
namely Working Capital Credit Facility, with credit amount of Rp
20,000,000,000,-
b. Interest and Fees, including:
1) On any borrowed money payable under the Credit Agreement,
DEBITOR shall pay interest at the rate of 12% per annum calculated
on the Debt arising from the Working Capital Credit Facility and/or on
the debit balance payable effectively on a monthly basis.
2) Interest calculation shall be made on daily basis based on fixed divisor
of number of days in a year and shall be paid in full to PT BANK
MANDIRI on the Interest Payment Date, which is every 25th day of
each month, for Working Capital Credit Facility or if there is any
change in the provisions regarding interest payment date.

for Working Capital Credit Facility at PT BANK MANDIRI, on
another date which will be notified in writing by PT BANK
MANDIRI to DEBITOR. Such interest payment may be made by
debiting DEBITOR's existing account at PT. BANK MANDIRI or in
other ways agreed by the parties, provided that:
a) The Interest Payment Date shall not extend beyond the date on
which the Credit Facility must be paid in full, and
b) The amount of interest payable by DEBITOR to PT BANK
MANDIRI shall be calculated from the date on which the
amount of interest payable arises until the date on which the
amount of interest payable is fully paid by DEBITOR to PT
BANK MANDIRI.
3) Taxes, including:
a) All and every amount of money required to be paid by
DEBITOR to PT BANK MANDIRI based on the Credit
Agreement, free, clear and without any deduction or
withholding of taxes, levies, dues or charges of any kind and
any amount.
b) If DEBITOR is required by the prevailing Law or Regulation
to make deduction or reduction on the amount of money it is
obliged to pay under the Credit Agreement, then DEBITOR
shall be obliged to pay an additional amount to PT BANK
MANDIRI in such amount, so that after such deduction or
reduction PT BANK MANDIRI will receive from DEBITOR
the same amount as if such deduction or reduction had never
been made.

4. DEBITOR needs additional working capital in the context of operational cooperation
with PT ROUTINE to develop in the field of food and beverage processing in Bintaro.
DEBITOR needs additional working capital by submitting an application to PT
BANK MANDIRI, its long-time bank partner.
5. If the Borrower fails to pay any amount payable by it under the Transaction
Documents by the due date i.d., then such Outstanding Amount shall be subject to a
daily penalty (in addition to normal interest) for each day from the due date until the
actual date of payment, which shall be 0.1% (zero point one per cent) per day late of
such Outstanding Amount or IDR 100,000 per month, whichever is greater.
6. The address details of PT BANK MANDIRI as the payee is located at the Branch
Office Jalan Bintaro, Number 154, Bintaro, Rawa Buntu, Jakarta. Postcode: 11234
7. Payment methods, including:
a. Debt Payment shall be made by DEBITOR in the same currency as the Credit
Facility provided by PT BANK MANDIRI and shall have been effectively
received by PT BANK MANDIRI, at the latest at 15.00 WIB when the
Deadline for Withdrawal and/or Usage of Credit Facility ends, for Working
Capital Credit Facility.
b. If the Debt payment date falls on a day which is not a Business Day, then
DEBITOR shall provide funds in its account at PT. BANK MANDIRI for
the purpose of such payment on the previous Business Day.
c. Debt Payment received by PT BANK MANDIRI after 15.00 local time shall
be deemed received by PT BANK MANDIRI on the next Working Day.
