Unto and in favour of the VENDEE, the Said Land as described above and every part
thereof together with the right, title and interest therein, with all the benefits
advantages, concessions, casement rights or any other things and whercas the
VENDEE has agreed to purchase the Said Land for a total consideration of Rs,
2:49100,000/- (Rupecs One Crore Forty Nine Lakh only} hercinaite, referred to as
“Sale Consideration”) on the following terms and conditions, mentioned hereunder.
Relying on the representation and warranties of the Vendor, the Vendee and Vendor
have entered into this sale decd, for good and adequate consideration, to ciffect
immediate, absolute, unconditional and irrevacable. Salo, transfer, assignment,

The VENDOR hereby acknowledges the feccipt of entire sale consideration and
ailirm that nothing remains due towards the VENDEE.
‘That the Salc Consideration of the Said Land as aforementioned is paid by the
VENDEE to the VENDOR as per their share in khewat/Khata in which the Said
Land comprised in. The VENDOR herby confirms that full and final sale
consideration hag becn received from VENDEE and few nothing is due from the

of the Said Land and has « lear and unencumbered title of it and is in actual
physical possession of the cntire above Said Land, hereby handover the
Pobsession of the Said Land being sold under this Deed to the VENDEE.
‘Thal the Said Land is not subject to any encumbrances, mortgages, charges, lien,
attachments, claim, demand, and acquisition proceedings by Government or
say kind whatsoever und should therchy and the VENDOR shall discharge the
Same from snd out of their own funds and keep the VENDEE indemnified,
‘That the VENDOR herey declares to the VENDEE that the VENDOR has paid all
the taxes, rates and other outgoings due to Local badies, revenue, urban and
other authorities in respect of the Said Land hereunder up to the date of
execution of this sale deed and the VENDEE shall Lear and pay the same
hereafter. If any urrears are found due to the carlier period, the VENDOR shall
discharge the same
‘That on the basis of this Deed, the VENDEE is entitled to get the Said Land
mutated in its own name in the revenue record and also with other concerned
authorities to which the VENDOR shall have no objection and shall not raise
amy objection. The VENDOR hereby confirms to assist and participate in the

That the VENDOR has agreed and undertaken to sign and execute without any
reservation, objection or demur any, all and every paper, documents,
applications, etc. in respect of the Said Land which at any time may be required
by the VENDEE and/or any office or authority concerned for necessary transfer
and mutation of the Said Land in favour of the VENDEE.
‘That the VENDEE has agreed to purchase the Said Land on the basis of
assurances and representation made herein by thc VENDOR with regard to the
title of the Said Land, in casc it is proved otherwise the VENDOR shall
indemnify the VENDEE for all and/or any Joss that may be caused, sustained
by the VENDEE, and would be liable to return the amount paid to him on
execution of the present Sale Deed. The VENDOR further agrees to indemnify
the VENDEE in case of any legal proceedings or by any governmental authority
for any violations relating to the Said Land till the execution of this Deed.
The VENDEE has agreed to usc the Said Land for the purposes of
farmhouse residential /organic farming only and shall not usc the Said Land for
any other purposcs/activities, viz, commercial, industrial, warehousing,
etc.The VENDEE can use the Suid Land for any charitable activities subject to
the prior permission of the VENDOR in writing and in accordance with the
applicable laws from time te time.
‘The VENDEE has agreed to pay the maintenance amount in respect of the Said
Land to the designated maintenance agency appointed by the Vendor and shall
abide by its rules and regulations, being made from time to time by the
designated maintenance agency.
The VENDER has agreed not cause any undue nuisance to the
‘owners /occupants/ neighbors in the Total Land.
‘The VENDEE has agreed not to partition/divide in any manner whatsoever,
and/or re-sell or create any interest in the Said Land in smaller portions,unless
each land parcel is not less than 1024 sq.yards.

(a13. That the VENDOR hereby alfirm that this Sale Deed supersedes all prior
understandings/ MOU/ agreements/ ATS/ writings/ documents executed by
‘them with respect to the Said Land sold under this Deed.
14. That all charges and expenses towards stamp duty, registration charges for
execution and registration of this Deed have been berne and paid by the
VENDEE. The Vendec shall have the right to collect the original Sale Deed from
the office of the Sub-Registrar.
15. That this Deed shall be governed and construed in accordance with the laws of
India. Courts of Palwal, Haryana, to the exclusion of all other courts in India,
shall have the exclusive jurisdiction in regard to any disputes arising out of this
Deed.
