COMES NOW Randolph N. Osherow, not individually but in his capacity as the duly
appointed chapter 7 trustee (in such capacity, the “Trustee”), for and on behalf of ASTRALABS,
Inc. (the “Debtor”) and its bankruptcy estate (“Estate”) established under the above-captioned
chapter 7 case (“Bankruptcy Case”), and files this Motion to Refund Proceeds of Unauthorized
I. PRELIMINARY STATEMENT
1. In May 2023, shortly before this case was converted to chapter 7 and without this
Court’s approval, the Debtor executed approximately 60 separate promissory notes (the “Notes”)
in a principal amount totaling close to $475,000. The principal amount under the individual Notes
ranged from $5,000 to $40,000 with lenders from around the world.
2. Despite the execution of the Notes, the Debtor did not receive funding from many
of the individuals party thereto and, in some cases, received less than the face amount of the
applicable Note. Following a detailed analysis of the Debtor’s books and records, some only
recently available to the Trustee, as well as financial account data, the Trustee, with the assistance
of counsel, used his best efforts to determine which of the Notes were, in fact, funded and in what
amount. Based on this analysis, the Trustee believes that the Debtor received $212,510.00 from
thirty-two (32) individual lenders (collectively, merely for convenience, the “Individual Lenders”)
Because the post-petition financing was done without Court approval in contravention of the
Bankruptcy Code, the Trustee is seeking to refund the amounts received from the Individual
Lenders in connection with the consensual and agreed voiding and avoidance of those transactions.
3. Unfortunately, the Debtor’s books and records are in substantial disarray (to the
extent they exist), inadequate, and fail to accurately reflect the actual results of the post-petition
financing activities of the Debtor. Accordingly, though Trustee has used his best efforts to
determine the amount funded by each Individual Lender, as detailed further below, the Trustee
believes it is in the best interests of the Estate to ask each Individual Lender to certify, and provide
evidence of, the transfer to the Debtor to ensure that the Trustee is not refunding incorrect parties
or incorrect amounts.
4. Accordingly, the Trustee files this Motion to (i) establish a form and process for
the Individual Lenders to certify the amount funded to the Debtor, (ii) refund those amounts to
5. The Court has jurisdiction over the matters set forth in this Motion under 28 U.S.C.
6. Venue of the Bankruptcy Case before this Court is proper under 28 U.S.C. §§ 1408
and 1409. The matters addressed in this Motion arose in a case pending under Title 11 of the
United States Code, 11 U.S.C. §§ 101, et seq. (as amended, the “Bankruptcy Code”), and arise
under sections 363(b) and 704 of the Bankruptcy Code, as to which the Bankruptcy Court has the
authority consistent with the U.S. Constitution to enter a final order in disposition of this Motion
and all relief sought herein. The Trustee expressly consents to such a final disposition by this
Court.
III. BACKGROUND
7. On March 17, 2023 (the “Petition Date”), the Debtor commenced the Bankruptcy
Case by filing a voluntary petition for relief under chapter 11, subchapter V, of the Bankruptcy
Code.
8. The Debtor did not receive, or even seek, authority from this Court to obtain post-
Exhibit “A” attached hereto and incorporated by reference for all purposes, Andrew Ryan,
purportedly on behalf of the Debtor, entered into a series of convertible, unsecured promissory
notes – the Notes – each dated as of May 8, 2023. Attached hereto as Exhibit “B” and incorporated
9. Based on the Trustee’s, and his counsel’s, review of the Debtor’s books and
records, between May 9, 2023 and May 17, 2023, the Debtor received a total of $212,510.00
(the “Note Proceeds”) from the Individual Lenders listed on Exhibit “C”, attached hereto and
incorporated by reference for all purposes. Over multiple transactions, the Note Proceeds were
received by check, wire transfer or ACH deposit into the Debtor’s bank accounts at Pacific Western
Bank (“PacWest”).
10. To prevent the Note Proceeds from being used to pay other obligations of the
Debtor, certain of the Debtor’s executives segregated the majority of the Note Proceeds in a
11. On May 12, 2023, the Court entered its Order Converting Case to Chapter 7
[Docket No. 89] (“Conversion Order”), converting the Bankruptcy Case to chapter 7, discharging
the subchapter V trustee, and appointing the Trustee as the interim trustee to oversee the
administration, operation, and management of the Debtor’s Estate and its business.
12. Among the express reasons stated by the Court in its ruling underlying the
Conversion Order was the Debtor’s activities to seek and obtain post-petition financing without
disclosure to the Court or otherwise formally in the Bankruptcy Case, or the Court’s corresponding
and requisite approval. See Transcript of Hearing Held May 11, 2023 [Docket No. 111], at
93:14–19.
13. Consistent with his customary practices, but especially under the particular
circumstances of this case, upon the Trustee’s appointment, the Trustee immediately took steps to
promptly close the Debtor’s bank accounts, including but not limited to the segregated account,

former executives, as well as PacWest Bank (the financial institution which previously maintained
the Debtor’s post-petition bank accounts) and certain Individual Lenders, then began to reconcile
the Debtor’s books and records of the Notes, corresponding fundings, and corresponding
Individual Lenders providing such funds. The segregated Note Proceeds have remained so as the
Trustee and his counsel completed the review of available records and prepared this Motion.
15. The Trustee seeks an Order, substantially in the form attached hereto as
Exhibit “D” and incorporated herein by reference for all purposes, (i) approving the form of, and
process for obtaining, a certificate (the “Certificate” attached as Exhibit 1 to the proposed Order)
and incorporated herein by reference for all purposes) from each Individual Lender; (ii) authorizing
and directing the Trustee to refund the applicable amount of Note Proceeds to each Individual
16. This Court may authorize the use of Estate property pursuant to section 363(b)(1)
of the Bankruptcy Code. Such use outside of the ordinary course of business may be approved
when: (i) there is a sound business reason; (ii) accurate and reasonable notice is provided to
interested parties; (iii) the use is fair, reasonable and adequate; and (iv) the proposed use is made
in good faith. See, e.g., Cadle Co. v. Mims (In re Moore), 608 F.3d 253, 263 (5th Cir. 2010); In
re Del. & Hudson Ry. Co., 124 B.R. 169, 176 (D. Del. 1991); In re Stroud Ford, Inc., 163 B.R.
730, 732 (Bankr. M.D. Pa. 1993); In re Titusville Country Club, 128 B.R. 396, 399 (Bankr. W.D.
Pa. 1991); In re Indus. Valley Refrigeration and Air Conditioning Supplies, Inc., 77 B.R. 15, 21
(Bankr. E.D. Pa. 1987). See also Gluckstadt Holdings, L.L.C. v. VCR I, L.L.C. (In re VCR I,
17. The Trustee is entitled to use his business judgment in determining whether to use
assets outside of the ordinary course of business. See Institutional Creditors of Cont’l Air Lines
Inc. v. Cont’l Air Lines Inc. (In re Cont’l Air Lines Inc.), 780 F.2d 1223, 1226 (5th Cir. 1986); In
re JL Building, LLC, 452 B.R. 854, 859 (Bankr. D. Utah 2011). Accordingly, the proposed use
should be authorized pursuant to section 363 if a sound business purposes exists. See ASARCO,
Inc. v. Elliott Mgmt. (In re ASARCO, L.L.C.), 650 F.3d 593, 601 (5th Cir. 2011); Stephens Indus.
Inc. v. McClung, 789 F.2d 386, 390 (6th Cir. 1986); In re WBQ P’ship, 189 B.R. 97, 102 (Bankr.
18. Here in fact, the Note Proceeds are arguably not even Estate property, despite being
in the Trustee’s possession. No request for authorization for the post-petition financing has ever
been made, much less granted. In the Trustee’s reasonable business judgment, utilizing the Note
Proceeds to refund the transactions to the Individual Lenders, with their consent, is in the best
interests of the Estate. As highlighted in the U. S. Trustee’s motion to convert this case to
chapter 7, the post-petition financing conducted by the Debtor was unsanctioned by the
Bankruptcy Court and this Court’s ruling in connection with the Conversion Order also determined
same.
19. Accordingly, each of the Notes should be deemed void ab initio as an act taken by
the pre-conversion Debtor in contravention of section 364 of the Bankruptcy Code, including, but
not limited to, for purposes of accomplishing the refunds proposed herein. Deeming the Notes as
such at this stage of the chapter 7 case will alleviate uncertainty regarding the effect of the Notes
and potential obligations of the Estate. Those Individual Lenders who actually provided funding
to the Debtor will receive a refund of such amount and will not be harmed by the proposed
treatment of the Notes. Alternatively, if and to the extent that the Individual Lenders do not
consent to, and cooperate in, implementing the relief sought in this Motion, the Trustee would
have no choice but to sue the objecting Individual Lenders, each under a relatively very modest
Note Amount, in formal adversary proceeding litigation in order to avoid these post-petition
transactions. See 11 U.S.C. § 364; see also In re Living Hope Sw. Med. SVCS, LLC, 450 B.R. 139,
152 (Bankr. W.D. Ark. 2011) (retroactive approval of unauthorized post-petition financing is
rarely granted and requires extraordinary circumstances), aff'd sub nom. In re Living Hope Sw.
Med. Servs., LLC, No. 4:06-BK-71484, 2012 WL 1078345 (W.D. Ark. Mar. 30, 2012), aff'd, 509
20. Even if the post-petition financing was in the ordinary course and allowed under
Bankruptcy Code §364(a), which it was not, such financing would result in an administrative
expense claim under Bankruptcy Code § 503(b)(1), and could give rise to additional, post-petition
claims against the Estate emanating from such transactions (which potentially were also not
authorized pursuant to the Debtor’s internal governance provisions). In particular, the form of
Note included with this Motion shows that the Notes are convertible, bear no interest, and include
numerous investment and securities provisions, including but not limited to: (i) accredited investor
and forward looking statement disclaimers; (ii) foreign investor, investment, and broker
provisions; and (iii) California securities law provisions. Upon information and belief, these Notes
were haphazardly prepared without the benefit of the Debtor’s ordinary legal counsel. 1 These
unauthorized Notes, accordingly, potentially present complex issues and disputes if their
enforcement is permitted.
21. Irrespective of the appropriateness of the post-petition financing, the return of Note
Proceeds to the Individual Lenders is an obligation of the Estate, either through this Motion, under
the Bankruptcy Code, or even under their terms. The vast majority of the Note Proceeds have been
segregated by the Trustee for the purpose of refunding the Note Proceeds, the Note Proceeds have
been reconciled, and under the particular circumstances of the Estate, the Note Proceeds are not
necessary nor appropriate to satisfy the costs and expenses of preserving the Estate. Accordingly,
22. Moreover, the Trustee proposes the Certificate process under this Motion to help
confirm each Individual Lender’s amount and consent to the refund. The Certificate process is
further warranted by the incomplete and inaccurate records of the Debtor, and, because of the
differing modes of funding noted above, the Trustee’s complicated efforts to reconcile and confirm

the Note Proceeds and the corresponding parties advancing same solely by, for example,
attempting to rely on account deposit records. While the Trustee believes his analysis is accurate,
additional protective but efficient procedures to ensure same are justified under the particular
circumstances.
23. It is in the best interests of the Estate to establish a process for each Individual
Lender to certify the amount transferred to the Debtor before a refund is made. The proposed
Certificate, whereby an Individual Lender can certify the applicable amount of Note Proceeds
received by the Debtor and provide evidence of the transfer, is an effective and efficient method
to ensure that the Trustee has allocated the Note Proceeds to the correct Individual Lenders as
shown on Exhibit “C”. Without such confirmation process, a risk of further disputes regarding
the administration of this Motion, to the extent granted, would remain possible and the Trustee
believes it is not in the best interests of the Estate, given the individual funding amounts, to permit
24. Upon entry of the proposed Order, if approved, the Trustee would provide a copy
of the Order and approved form of Certificate by email and first class mail to each non-objecting
Individual Lender. The Trustee will withdraw his Motion and commence adversary litigation to
avoid these transactions as to any objecting Individual Lenders. As to all other Individual Lenders
who do not oppose the Motion, the Trustee proposes to afford those parties an additional twenty-
one (21)-days to submit the completed Certificate to the Trustee, or his designee, for review and
reconciliation.
25. As to all Individual Lenders who do not object to the Motion but fail to timely
return a Certificate, the Trustee’s Exhibit “C” shall control in all instances, and the Trustee will
refund those amounts to the address shown on the corresponding Note by mailing check refunds.
Following the 21-day submission period, the Trustee will promptly file with this Court a final
schedule of refunds, will seek further relief as to any refund amount dispute with an Individual
Lender, and will otherwise process the refunds to the Individual Lenders, via mailed refund checks.
As provided in the proposed Order, the Trustee will, consistent with his normal practices, stop
payment and reissue a check disbursement to and for any Individual Lender who requests a
reissuance prior to the time at which the refund check becomes stale (ninety [90] days following
issuance). The proposed Order further provides that if an Individual Lender fails to deposit or
request reissuance of its refund check within such time frame, such disbursement will be deemed
abandoned while the underlying agreement remains void, and revert to the Estate, entirely and for
all purposes, for the benefit of its creditors and stakeholders. The proposed Order further provides
that this Court will have and retain jurisdiction to resolve any disputes that may arise during the
refund process.
VI. PRAYER

(b) granting him such other and further relief to which he may be justly entitled.

Petition Financing (the “Motion”) filed by Randolph N. Osherow, not individually but in his
capacity as the duly appointed chapter 7 trustee (in such capacity, the “Trustee”), for and on behalf
of ASTRALABS, Inc. (the “Debtor”). 1 After having considered the Motion and the record before
it, the Court finds that: (i) post-petition, the Debtor (a) entered into a series of convertible
promissory notes (the “Notes”) and (b) raised an aggregate of approximately $212,510.00 (the
“Note Proceeds”) from individual lenders (each an “Individual Lender”) in connection with the
Notes, each without Court authority as required under Bankruptcy Code section 364; and (ii) it is

in the best interest of the Estate for the Trustee to refund the Note Proceeds to the Individual
1. The Motion is GRANTED as to all Individual Lenders who have not objected to
the Motion prior to the entry of this Order (each a, and collectively, “Consenting Individual
Lender(s)”), and is deemed WITHDRAWN, without prejudice, as to any Individual Lender who
3. Within two business days of entry of this Order, the Trustee shall send a copy of
this Order and the Certificate to each Consenting Individual Lender, via first class U.S. Mail, and
if available, via e-mail, as such mailing and e-mail addresses are specified on the Individual
Lender’s Note.
4. The deadline for returning a completed Certificate to the Trustee is twenty-one (21)
days following the date of this Order. If such deadline falls on a Saturday or Sunday, the deadline
is automatically extended to the following Monday. The Trustee, in his sole discretion, may extend
the deadline for a Note Party without further order of this Court.
5. As to any Consenting Individual Lender that does not return a completed Certificate
by the deadline, as may be extended by the Trustee, the name and amount shown on Exhibit 2
hereto shall control for purposes of administering any refund due to such Consenting Individual
Lender.
Trustee shall issue the refund of the Note Proceeds via mailed check, as soon as reasonably

practicable. As to any Certificate timely returned to the Trustee which the Trustee cannot
consensually reconcile with the Consenting Individual Lender submitting same, the Trustee shall
not provide any refund to such claimant unless and until reconciled to the Trustee’s satisfaction,
and any party to such dispute may, by motion (including an omnibus motion by the Trustee) seek
7. As soon as practicable following the issuance of the refund of the Note Proceeds,
generally, the Trustee shall file with this Court a final schedule of the Individual Lenders that
received refunds.
8. Each of the Notes listed on Exhibit 3 hereto is hereby deemed void ab initio and
shall not be considered evidence of a claim against the Debtor, the Trustee or the Estate.
9. As to any and all refunds made by the Trustee pursuant to this order, the Trustee
shall stop payment and reissue a check refund to and for any Consenting Individual Lender who
requests a reissuance of its refund check prior to the time at which the refund check becomes stale
(ninety [90] days following issuance). If a Consenting Individual Lender fails to deposit or request
reissuance of its refund check prior to the time at which the refund check becomes stale (ninety
[90] days following issuance), such disbursement will, upon the ninetieth day following
reissuance, be deemed abandoned while the underlying agreement remains void ab initio, and such
funds shall immediately revert to the Estate, entirely and for all purposes without encumbrance by
any claim or interest of the Consenting Individual Lender, for the benefit of the Estate’s creditors
and stakeholders.
10. The Trustee is authorized and empowered to take all actions necessary to effectuate
