After deliberating the Parties are unanimous as follows:

ARTICLE 1. PURPOSE AND TERM OF CONTRACT

1.1 Party A agrees to hire Party B and Party B agrees to provide Party A the security guard
services set forth in this Contract limited to Party A's property at: -------------------------------

ARTICLE 2: REQUESTING ABOUT QUALITY OF SERVICE

2.1 To guarantee agency’ safety for Party at: --------------------------------------------------------------

2.2 Party A requests that Party B provides the number of guards specified below, trained to
the following specifications:
Degree of training specified for each guard:
• Concerning of Laws.
• Basic Surveillance
• Self Defense Training

 • First Aid.
• Use of Electronic Surveillance Equipment.
• Emergency Fire Training.
2.3 The scope of security service and duties of each security positions mentioned above
shall be:
• Employees, visitors, invitees, licensees, contractors control, security guard must
ensure that only authorized people can enter the site and must be have labour safety.
• Maintain security and safety for the site.
• Carry out proper checking to all materials, properties assets, equipment and waste
control
• Report available to Party A upon weekly.
2.4 Number of position of security guards and scope of services:
- One (01) positions work in twenty four (08) hours per day, seven (07) days per
week (including holidays) from 22h00’ to 06h00’.

ARTICLE 3 : SERVICE FEE

3.1 Service fee:
Party A has responsibility to pay Party B monthly service fee: .........................................

3.2 Payment :
• Party A shall make payment to Party B one time for a month within 05 days from the
day received the request payment paper or the invoice of Party B. The name, address
and account number of Party B having the following Particulars:

In the event that, Party A fail to pay Party B the service fee after seven (07) days from the
day of receiving official invoice of Party B without agreement of Party B, Party B shall
charge Party A additional interest in accordance with current interest rate of Joint Stock

ARTICLE 4. SCOPE OF AUTHORITY OF SECURITY GUARD

Party B shall provide security guards with the following powers and authorities available
under the law and regulations of the ..........................................................:
4.1 Authority to temporally detain in the site those whom the security guards suspect of
committing offenses of dishonesty, disorderly behavior, assault, or other criminal

 activity on the Site occupied by Party A, and to notify immediately to the police or
other relevant authorities of such activity.
4.2 To search and temporally detain as necessary persons in the site whom the security
guards have good reason to suspect to have been involved in any theft, or assisted in the
theft or unlawful removal of any property from the Site of Party A and to notify
immediately to the police or other relevant authorities of such activity.

ARTICLE 5. REGULATIONS OF PARTY B’S SECURITY GUARD

Security of Party B shall not have the act proposed as follow:
1. Wear uniform but not Party B’s model and or;
2. Leave the post while being on duty and or;
3. Have impolite or impedient behaviour to to Party A’ staff or invitee, visitor and or;
4. Play card or gamble; drink wine or any other form of alcoholic substance while
being on duty and or;
5. Enter area where Party A restrict and or;
6. Other Party A’s forbidden regulations, Party A’s announcement

ARTICLE 6. RESPONSIBILITY OF PARTY B

Party B will maintain the following responsibilities in addition to those set forth in Articles
2 and 3.

6.1 Party B shall treat all personnel to the Site with courtesy, and any security action taken
will involve only those levels of force reasonably required under the circumstances.
Party B shall use its best efforts to maintain good relationships with the local
community surrounding the Site. In all circumstances, professionalism shall be expected
of Party B.
6.2 Party B shall be responsible for all income and personal income tax for guards and
supervisor; and insurance fees of its employees required under the laws and regulations
of the ..................................................................
6.3 Party B supplies security guards with necessary equipments in order to protect Party B 's
properties. The supplying of equipments is free.
6.4 Three days at the lastest after this contract has been signed, Party B must be produce for
Party A the list and resume ( got picture) of the team leader and sercurity guards has
been apointed to work as follow the contract.
6.5 At least one time / one week, Party B appointed one officer to join the meeting at Party
B office. At the Firday of every week, Party B supply for Party A the working schedule
of Party B’s sercurity guard for the next week.

ARTICLE 7. RESPONSIBILITY OF PARTY A

Party A acknowledges that this agreement is a Contract for the performance of only the
services stated in the Contract, and is not an insurance contract or guarantee against any
losses.
7.1 Party B requires of Party A that all persons authorized to be on the Site shall not bring
any weapons, dangerous tools, equipment, potion etc and must comply with any
reasonable requests of security guards relating to the security of the Site, and that all
properly performing security guards shall treat with the highest respect and courtesy.
7.2 It is the intent of Party A that the residence at the above-mentioned address of Party A
be in harmony with the local authority and environment. Good relationships with the
local community shall be a high priority of the project.
7.3 During period Party B is obligated to provide services to Party A, Party A shall provide
to Party B available a representative who shall be responsible for frequently receiving
instructions or reports from Party B relating to the security of the Site.
7.4 Party A shall provide Party B Written Notice of any conduct or inaction by the guards of
Party B which Party A has good reason to believe threatens or reduces the security of
the Site.
7.5 Party A shall use its reasonable efforts to cooperate with Party B to prevent fire, theft,
injuries or other damages in the Site, whether traceable to natural disasters, force major
events, acts of Party A and its employees, or to acts of Party B's agents, visitors, or
invitees.

ARTICLE 8. LIMITATION OF PARTY B'S RESPONSIBILITY

Party A acknowledges that this agreement is a Contract for the performance of only the
services started in the Contract, and is not an insurance contract or guarantee against any
losses.

Party B is not responsible for damages or injury which is caused by following factors:

8.1 All types of natural disasters or accidents include lightning, flood, fire, typhoon or other
harmful weather, electric shock, electrocution or any accidents which beyond control
of the security guards of Party B.
8.2 Destruction, theft, attempted theft, or damages caused by the action of Party A
(representative, invitees in the Site with the authorization of Party A) which beyond
control of the security guards of Party B.
8.3 Damages, losses, or injuries caused by the fraud, intentionally harmful acts, gross
negligence, or other willful or reckless conducts of Party A or its employees, agents,
or invitees which are beyond the control or reasonable intervention of the guards of
Party B;

8.4 Political or labor disturbances, including acts of war, riots or strikes which impact upon
the Site of Party A's workers on the Site; however Party B shall use their best efforts
to support Party A.
8.5 Party A's failure to adopt or apply Party B's recommendations regarding dangerous or
suspicious activities or condition on the Site;
8.6 Security guard Party B's harmful behaviours which Party A hadn't known. And they
make an influence to secure safety site but Party A didn't announce to Party B by
document.
8.7 Events which occur outside of the Site
8.8 Industrial accidents or chemical reactions which can only control by personnel who have
specialized training and equipment
8.9 Party A's failure to make available to Party B a representative who can direct Party A's
employees or visitors to obey Party B's advise regarding security on the Site.
8.10 Damage occasioned directly or indirectly by or through or inconsequence of acts of
terrorism, committed by a person or persons acting on behalf of or in connection with
any organization.

ARTICLE 9. CONTRACT EXTENSION:

9.1 Before the contract terminaton 30 days, borth of Paties will be deliberate about the
contract extension.
9.2 If on the time contract terminaton , borth of Paties does not any information about
contract, the contract will be automatically renewed for the duration is 12 months

ARTICLE 10. THE TERMS TO CHANGE THE SECURITY GUARD OR ARTICLE

OF CONTRACT:

10.1 In case, both of paties want to change any things in contract is must be inform to
orther party by letter at least 30 days and must get the argeetion of this party.

10.2 In case, both of Paties want to change any person at the Site is must be inform to
orther Party before 2 days.

10.3 In case, Party A want to change the sercurity guard because serious mistake of the
Party B’s sercurity guard, Party A must be inform to Party B about the change before
24 hours.

ARTICLE 11. CONTRACT TERMINATION:

This contract can be terminate under the following conditions:

11.1 In the case that Party A does not perform itseft duties according to this contract, Party
B will announce the breach of contract in writing to Party A.. If after 10 days Party A
does not consider that breach, Party B will withdraw itseft troops from the site without
any panalty. In this 10 days, Party B agrees to provide Party A the security guard

 services and guarantee agency’ safety in the site. Party A must payment to Party B the
service fee for 10 days working time.

11.2 Both parties come to an agreement to terminate this contract in writing without penalty to
either party.

11.3 The time of contract expied.

11.4 Due to unexpected factors which occur beyond the intention of both parties including: acts
of war, political riot, strike, changes of institutions, bankrupt or being banned from doing
business by government of either party, or very serious natural disaster which directly
impacts the site of either party...

ARTICLE 12. DISPUTE RESOLUTION

Any dispute arising from this Contract shall be resolved by the Parties through friendly
discussions, however if the dispute can't be resolved in this manner within thirty (30) days
after the date that any Party has notified, the dispute shall be submitted to the Economic
Court - ............................ People's Court in .................... Capital. The judge's ruling of
Economic Court -....................... People's Court in ....................... Capital is final. It comes
into force for both Parties.

ARTICLE 13. GOVERNING LAW

- The Contract shall be governed and interpreted under the laws of the

of the solution.
- This contract shall be made in four (04) original copies ( 02 by English and 02 by
