ARTICLES OF INCORPORATION
OF
BEST CHOICE CONSTRUCTION GROUP INCORPORATED

We, the undersigned, for the purpose of forming a Corporation, pursuant to the
provisions of the Liberian Code of Laws Revised Volume II, Title Five (5), Associations
Law, do hereby make, subscribe, acknowledge and file into the Office of the Registrar of
the Liberia Business Registry this Instrument for the purpose as follows: Pst. Joseph T.
Bundore, Mr. Williams F. Kotee, Pst. Collins F. Mayah, Mrs. Kimberlyn G. Bundore, Pst.
Maryann Johnson and Mot. Abba Togbah

ARTICLE I – NAME

The Corporation name is BEST CHOICE CONSTRUCTION GROUP INCORPORATED

ARTICLE II – DURATION

The Corporation shall have perpetual existence.

ARTICLE III – NATIONAL OFFICE

The National Office of the Corporation shall be situated at Gardnersville, stephen


Tolbert Estate FC 12, Montserrado County, Republic of Liberia

ARTICLE IV – OBJECTIVES & POWERS:

The objectives of the Corporation are as follows:

1. To engage in general engineering business such as construction,


rehabilitation, maintenance of roads, bridges and all categories of buildings
and apartments
2. To engage in general construction consultancy and building designs
3. To engage in various categories of mining including diamond, gold, and
silver
4. To engage in transport and earth moving equipment enterprise of all
categories
5. To engage in the importation and sale of various categories of spare parts
for vehicles and earth moving equipment.
6. To enter legally enforceable contracts in the best interest of the Corporation
7. To sue and be sued as a legal entity.
8. To engage in any lawful act or activity for which a corporation may now or
hereafter be organized under the Liberian Business Corporation Act.

ARTICLE V – REGISTERED AGENT/ADDRESS

The Registered Agent of the Corporation shall be Pst. Joseph T Bundore with address at
Stephen Tolbert Estate FC 12 , Montserrado County, Monrovia
,Republic of Liberia.

ARTICLE VI – DIRECTORS

There shall be nine (5) Board Members initially until the first annual meeting during
which time their successors shall be elected. The Board of Directors when duly
constituted and organized shall exercise corporate powers and shall carry out the duties
assigned to it in all matters relating to the corporation.

ARTICLE VII - INITIAL CAPITAL

The Corporation shall commence operation with US$50,000.00 (Fifty Thousand United
States Dollars).

ARTICLE VIII – SHARES ISSUED

The aggregate number of shares of stock which the corporation is authorized to issue
is one hundred (100) shares with no par value.

ARTICLE IX- CORPORATE SHARES & INCORPORATORS

The names and relevant information of Incorporators of these Articles of Incorporation

ARTICLE X – INDEMNITY

The Corporation shall indemnify any or all of its Directors or Officers, or any person who
may have served at its request as Director or Officer of another Corporation in which
this Corporation owns shares of capital stock or of which it is a creditor’ against
expenses actually and necessarily incurred by them in connection with the defense or
prosecution of any action, suit or proceedings in which they or any of them may be
made parties or a party. In the event it is adjudged that any Director or Officer was
found liable for negligence or misconduct in the performance of his duty no indemnity
shall accrue to such negligent or defaulting Director or Officer.

ARTICLE XI - AMENDMENT

The Corporation reserves the right to amend, alter, change or repeal any provision
contained in the Articles of Incorporation, in the manner now and hereafter prescribed
by the Liberian Business Corporation Act.

ARTICLE XII – DISSOLUTION

The Corporation shall be dissolved either by insolvency or Court Order. In such event, for
any other reason except insolvency, the Corporation shall first satisfy its entire debt
obligation before equitable distribution of its assets.

ARTICLE XIII – CORPORATE EXISTENCE

The Corporate Existence shall begin upon filing of these Articles of Incorporation with
the Registrar of the Liberia Business Registry of the Republic of Liberia.
