Re: Appointment for the position of Project Engineer (Electrical)

Dear Mr. KAZI ALVI SULTAN,

With reference to your application and subsequent interviews with us, the
management has decided to appoint you for the position of Project Engineer
(Electrical) with Impulse Engineering & Power Ltd. effective from 1st
August 2020.

Your Remuneration will be gross BDT 50,000/- (Fifty Thousand Taka Only) per
month (with Taxes) with possible bonuses. During the period of your employment
you will be based at 35 MW AC grid-tied solar power plant at Shibaloy, Manikganj,
Bangladesh.

Salary Analysis –

Basic 25,000/-
House Rent 12,500/-
Medical 5,000 /-
Conveyance 7,500/- _
Total 50000/-

Terms of Agreement

1. This is a fixed term agreement for employment from 1st August 2020 and
extending to a date not beyond 30th November 2020. After the expiry of this
period, this employment will stand terminated. But this agreement can be
extended on the basis of receiving proper performance in executing your
delegated duties and based on the requirement of the organization.
2. Reporting:
You will be reporting to Sungrow Bangladesh.

3. Notice:

 During the tenure of your contract your service may be terminated at any
time by giving a notice of 15 (Fifteen) days from the employer side for your
poor performance in execution of duties.
  On the other side, you are supposed to give 15 (Fifteen) days’ notice for
resigning from the service.
4. Any of our technical or other important information which might come into
your possession during the continuance of your service with us shall not be
disclosed, divulged or made public by you even thereafter.

5. You will be required to maintain utmost secrecy in respect of Project

documents, commercial offer, design documents, Project cost & Estimation,
Technology, Software packages license, Company’s polices, Company’s
patterns & Trade Mark and Company’s Human assets profile.

6. You agree that all originals and all copies of any and all materials
containing, representing, evidencing, recording, or constituting all or part of
the your contribution, including but not limited to source code, object code
and documentation, however and whenever produced, conceived, developed,
or otherwise made by you, alone or jointly with others, during the course of
your employment, regular working hours or on the Company’s premises and
whether or not protected under Copyright Law or patentable or protected
under other Intellectual Property Law, shall be the sole property of the
Company from the date of their creation without requiring any further
action on part of you or the Company.

7. Your contribution shall mean materials or parts thereof, conceived,

developed, or otherwise made by you, alone or jointly with others and in any
way relating to the Company’s past, present or proposed products, programs
or services or to training programs, workshops, tasks or projects assigned to
you, or for the Company’s clients during the course of your employment,
whether or not made during your regular working hours or on the
Company’s premises.

8. You will be required to comply with all such Rules and Regulations as the
Company may frame from time to time.

9. If at any time in our opinion, which is final in this matter you are found non-
performer or guilty of fraud, dishonest, disobedience, disorderly behavior,
negligence, indiscipline, absence from duty without permission or any other
conduct considered by us deterrent to our interest or of violation of one or
more terms of this letter, your services may be terminated without notice
and on account of reason of any of the acts or omission the company shall be
entitled to recover the damages from you.

[Link] will not (except in the normal course of the Company's business) publish
any article or statement, deliver any lecture or broadcast or make any
communication to the press, including magazine publication relating to the
Company's products or to any matter with which the Company may be
concerned, unless you have previously applied to and obtained the written
permission from the Company.

[Link] will not engage yourself in any work or profession paid or unpaid or
study course either full time or part time without prior written permission of
the management.

[Link] Tax:
 You have to pay your own Income Tax and other tax (if any) levied on your salary
and benefits you will receive from the company. Company will not be liable for
any tax burden for your salary or benefits.

[Link] Conditions:
On leaving the employment of the company, any amount due employee shall be
recovered by the company from employees’ final payment and in there be any
amount due from the employee after such deduction/adjustment the employee
shall make good the same by payment to the company and obtain clearance
thereof. The employee shall, upon termination of employment/leaving the
company, deliver to the Company all property of the Company which may be in
the employee’s possession including materials, memoranda, notes, records, files
and other documents etc.

x. You are not allowed taking any gift, bribe or any sort of products from
outsides/clients. If you receive any such products and materials by
mails or courier, please deposit it to Impulse Engineering & Power
Ltd. authority.
 xi. It is highly prohibited to share any confidential information about
policy, promotion and other related information with anybody who
is/are not related to Impulse Engineering & Power Ltd.
xii. Impulse Engineering & Power Ltd. maintains high standard in ethical
