NPR Independent Contractors Agreement

1. I am of legal age in the state in which I enter this agreement with No Purchase Required, Inc. (hereafter referred to as NPR). 2. As a Team Member (Customer Registration Specialist), I will: Represent No Purchase Required, Inc. and its services in a sincere and honest manner. 3. I understand that Team Members are not authorized to, and I will not for any reason, incur any debt, expense or obligation on behalf of NPR or for me as an independent contractor. My title shall be Customer Registration Specialist and I shall be notified by separate letter or email if my title shall change after my probationary period. 4. NPR (No Purchase Required, Inc. ) shall not be required to reimburse me for any business expenses including, but not limited to, any marketing, telephone service, internet, equipment (computers, headphones, etc. ) or any else acquired in connection with working for NPR. 5. I am entitled to cancel this Agreement at any time for any reason upon 10 day notice to NPR in writing. If that notice is via email, it will not be considered official notice until the email has been replied to. Failure to receive a reply to ones email is to be assumed to not have been received and that it must be faxed to 678-866-2557. If said document is not RECIVED within 10 days of last day, I release NPR of any obligation to pay me any and all outstanding commissions or monies owed. 6. This Agreement shall continue so long as I continue to accept commissions and bonuses or other payments from NPR or until this agreement is canceled in writing. NPR can cancel this Agreement at will and without notice. If that notice is via email, it will not be considered official notice even without my email reply. 7. I understand that as a Team Member, I am an independent contractor, and not an agent, employee or franchisee of NPR. I further understand and agree that I will not be treated as an employee, for federal or state tax purposes, not for purposes of the Federal Unemployment Tax Act, the Federal Insurance Contribution Act, the Social Security Act, State Unemployment Acts, State Employment Security Acts or State Workers Compensation Acts. I understand and agree to pay all applicable federal and state selfemployment taxes, sales taxes, and/or local license fees that may become due as a result of my activities under this Agreement. 8. I understand that the acceptance of this Agreement does not constitute the sale of a franchise and that there are no exclusive territories granted to anyone, and that no franchise fees have been paid, nor am I acquiring any interest in a security by the acceptance of this agreement. I will not attempt to duplicate this business or No Purchase Required, Inc., its papers, website, methodologies, concepts, verbiage, advertisements, scripts, brochures, emails or system in any way. If I start a similar business or become a part of a company that appears to have duplicated No Purchase Required, Inc. in any way at any time during employment or within 7 years after the termination of said contract, I will be responsible for a punitive damage fee of One Hundred and Eighty Thousand Dollars, 65% ownership of all title, profits, etc. of said business in my name or the name of my spouse and/or percentage ownership thereof and subject to any additional damages as sought by a court for copyright, trademark and patent infringement. If said business is not legally in my name or that of my spouse or any obvious interest therein but I am or was a Team Member in any way, I understand that I will still be held liable for the punitive damage fee and the company for which I work for may be sued in a separate case. 9. As a Team Member, I agree to not highlight or link NPRs service on my website(s) without prior notification and permission. I agree not to link to NPR's website if my site is sexually oriented or pornographic in nature. NPR retains the right to abolish any Team Member links where the originating site is objectionable to NPR. 10. I understand that NPR makes no claims or warranties of any kind including, but not limited to, any claims for earnings. 11. I agree to indemnify NPR from and against any liabilities, costs, attorneys fees, taxes, penalties, witness fees, awards, damages, or any other losses caused by errors and/or omissions, etc. Again, I understand that NPR and/or their assigns does not guarantee or predict any type of profit or response from said services. Team Member agrees to hold NPR harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which NPR and/or their assigns may become subject arising out of or relating in any way to the use of the services provided under this agreement, including, without limitation, in each case attorneys' fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities.

12. This Agreement constitutes the entire agreement between the parties and no other promises, representations, guarantees or agreements of any kind shall be valid unless in writing and signed by both parties or republished to the nopurchaserequired.biz website. 13. If any provision herein is held to be invalid, all other promises shall remain valid and enforceable. 14. The term of this Agreement is one year. This Agreement will be automatically renewed on each anniversary date of the acceptance of this Agreement, unless otherwise canceled. 15. This Agreement shall be governed by the laws of the State of Georgia and any claims or disputes between the parties to this Agreement shall be brought in the US District Court for the appropriate District of Georgia. 16. I understand that I am entitled to receive compensation based on the compensation email sent directly to me. I understand that should this change it shall be in writing via email or posted on the web and I am not entitled to personal notification. Also, this information will be reiterated in Training Class 17. I understand that if I have previously signed up with Free Treasure Chest, ZNZ or any other company of its type PRIOR to joining NPR, I must make NPR aware by emailing corporate@nopurchaserequired.biz within 10 business days on my training class. 18. I understand that, as an independent contractor, my commission is based on performance. All commissions are sent out no earlier than the following Friday for each sale completed and funds received from the week before. Also, any charge backs or refunds will be removed from the next commission check I am to receive from the incident or return. 19. I understand that I am expected to work only at the address and location that is on my application. I have/will provide proof of residence for this address. I further understand that should I change locations or wish to work at an additional or alternative location I must first seek the approval and provide the appropriate proof that is asked to support that decision. Failure to do so can result in immediate termination and that I waive all due commissions and monies if my contract is terminated for this reason. 20. I understand that I am required to work in a quiet location and if I am handling credit card or account information, I am required to work in a room alone. I am further obligated to list the names of all persons that live with me at my work location and I am required to update NPR of any changes should anyone begin or cease to live with me in the future. Failure to do so, should there ever be a case of identity or credit card or check fraud or any other theft of client or company information I will be held responsible to the full extent of the law for any criminal and or civil actions, charges, investigations and/or monetary damages. 22. I understand that I am expected to have read the appropriate Guides and Manuals for my title and attend Training Class (Power Class) and any and all applicable tutorials for product and company knowledge and understanding and that I will be held responsible for knowing all the information therein upon its receipt. It is subject to updates and I am responsible for knowing these updates immediately upon their release and at all times. 23. I understand that if I have falsified or not divulged information that could have effective NPRs decision for hiring (i.e. Felony charge (pending or convicted), etc.) my contract will be immediately voided for falsified information and/or misrepresentation and I will forfeit any and all commission and may be subject to legal fees and penalties. 24. I understand that if I do not comply with the procedures of lead submission, it could interfere with my success as an Independent Contractor for NPR. I further understand that I am under a non-compete clause and shall not solicit ANY of the callers that I am in contact with through NPR for any reason (buy things, refer business, etc.) without the PRIOR notification and permission of NPR corporate. 25. I understand that NPR (No Purchase Required, Inc. ) may add addendums to this contract that may modify it slightly at any time. I do not have to sign the addendum only receive this addendum via email, fax or mail or have it posted on the NPR website. I understand that failure to respond to said notifications via email, mail or fax, at the sole discretion of NPR, could result in my contract being terminated because of the company changes. 26. I understand that though I am not required to be a Christian that I have been told, in advance, that this is a Christian-based organization and I may hear scriptures, prayer, and references to Christian-based doctrines from staff of No Purchase Required, Inc. and that this company operates in accordance with the precepts and conduct of the Holy Bible (King James and Amplified versions). I understand that I have accepted this team position with this knowledge, and will in no way, now or ever, accuse No Purchase Required, Inc. of denying or impeding my right to have my own views, values or religion.

27. I understand that I am not permitted to distort or modify any links or redirection addresses that originate through NPR or its websites or pages, and that I am not permitted to use ANY links that do not begin with nopurchaserequired.biz/.. in relationship to NPR business or its callers. I further acknowledge the following:

Identity and Other Compliance Regulations You must turn in all of the following documentation without exception. Failure to do so with 60 days of hire will result in immediate termination of your contract. Also, you will not receive any commissions after 30 days until said documents are filed and your status is cleared. Completed Application Form (on-line) Signed NPR Independent Contractors Agreement (online) IP verification Registration (through website) Copy of Current State Drivers License or State issued ID Copy of Secondary ID (Social Security card, Voters Registration Card, Passport, birth certificate, etc) Proof of Residence (at least one utility bill, statement, etc. with a date on it at least in the same month of submission) List of other residence in location where work will be performed (over 16) W9 3 character references (no more than 1 family member)

Please note: Copies of credit cards, library cards and employment badges are not valid forms of id. Employment badges with a picture may be accepted on a case-by-case exception basis, if and only if necessary, when accompanied by a letter from your corporate office with your name, social security number, date of birth included in the letter. All information will be verified. Felony Clause: Due to the nature of our work, there are certain positions and/or duties that we cannot hire someone with a Felony background for. However, we do have a Second Chance program that may allow you employment. Therefore, under strictest of probation, certain exceptions will be made. There are no set guidelines for the exception, it is done on a case by case basis, and depends on many factors including the Lords leading through prayer. However, concealed or erroneous information will lead to an automatic termination of agreement. 28. Additionally, I understand and will comply with the following: Your website and NPR Gmail address that is created is considered the property of NPR and to be used ONLY for NPR purposes. NPR will ALWAYS have password access to said entities. You must complete the registration and turn it the information required. Failure to do so will result in termination of this agreement Should you leave NPR, your registration information will be relinquished back to you for your private use. Your weekly report should mirror your daily dispositions and include any registered callers, callers that are not ready to be submitted and the ones you have already turned in. This is not only for statistical purposes, but to make sure that we all on the same page. It is also a productivity tracker, and will be taken into consideration during reviews. Failure to comply with the protocol outlined in the manual can result in less commission or termination of contract. You MUST complete a disposition form for EACH caller or lead. Failure to do so can result in loss commissions. Repeated neglect can result in contract termination. You must Skype when you are starting work. You must do the same when you call it a day ie. Finish working for the day. You must also follow all proper Skype status protocols

Being dormant (not working, calling, etc.) for more than one (1) hour means that you are not working and you must sign out of Skype (be invisible) completely. You may sign back in should you begin working again. You will have a Contract Review every 3-6 months. This is where we discuss your performance, strengths, areas marked for improvement and see how we can make you even better. Your commission may be modified (increased or decreased) at that time. You will be notified in the review. You cannot for any reason whatsoever duplicate anything that is giving to you from our company. You may not copy/paste from our website for personal use other than advertisementswhich should be previewed anyway. Failure to have marketing materials approved could result in loss commission, fees, and/or termination of your contract. You are required to follow-up with your customers every 48-72 hours (for applicable jobs). If you do not wish to do so, you must tell us at the time you submit the lead. This will result in a commission reduction of 10% or $10.00 (whichever is greater) of your total commission, but you will not be expected to keep up with the client on a regular basis, nor will you be seen as out-of-compliance. [This is primarily for Business to Business positions, Invoice Factoring and some Fulfillment and Primary Debt Management Specialists) NPR has the right to refuse a lead without explanation though, in truth, we will usually have a very detailed one that is given to you at the time of rejection for training purposes. We do NOT accept third party broker leads unless you have it in writing that he has agreed to be compensated out of your commission. If he is paid by the client he must waive this commission because it may interfere with the negotiated points of the deal. When at all possible, it will be negotiated to keep his original commission in the contract but all funds must come through NPR first. Do NOT negotiate a commission with a third party unless it is coming out of your own commission. We will NOT raise your commission to compensate a third party without prior authorization. Any arrangements negotiated without prior permission or approval that involves funds above and beyond your commission percentage will not be honored. If you agree to pay an amount to a third party that is larger than it should be, but still within your commission limit the third party will be paid FIRST. Third parties are required to fill out a contract and W9 form. We will not be held responsible for leads that are not turned in correctly, paperwork that is filled out incorrectly and not corrected, and for customer calls that we have specifically asked you to make.
