STEPS FOR Issuing Duplicate
Share Certificates

For clearance of Duplicate Share Certificate


taking after reports are required:
1. Affirmation and Indemnity Bond appropriately
executed on the Stamp paper of Rs. 10/ and
Rs.100/ individually.
2. A Demand Draft of Rs. 500/ attracted support
of Indag Rubber Limited payable at
New Delhi towards the cost of distribution of
promotion in a newspaper.
3. A self-attested PAN Card and duplicate of
address confirmation.
Cancellation of a name
in share certificates
For the cancellation of name of joint holder (causes of
death) the following papers are required:

1. Demise Certificate appropriately bore witness to by


gazetted officer
2. Pan card of the surviving shareholder appropriately
self-attested
3. Unique Share Certificate
4. Request letter from the surviving shareholder

For change of address taking after papers are
required like phone bill/electricity charge which
ought not to be over 3 months old/driving permit
and other verification where new address is given
and so on.
PREPARATION OF
REGISTER OF MEMBERS

A list of applicants and allotment sheets forms basis of


preparation of Register of Members and the register
contains information about the shareholders and the
details of shares allotted to them.
FORMAT OF SHARE
CERTIFICATES
Prior to coming into force of present rules, there was
no format prescribed for share certificates. The Rule
5 of the rules has given flexibility to the
management to issue a share certificate in a format
as near as possible to Form No. SH.1 prescribed by
the rules. The form SH.1 contained the name and
registered address of the company, details of shares
allotted, machine printed certificate number, the
name of the holder(s), the number of shares held the
date of issue and duly certified by two Directors and
one Secretary/any other authorized person of the
SIGNATORIES TO THE
SHARE CERTIFICATES
Thus below mentioned signatories are required to put
their signatures on a share certificate:

Two Directors specifically authorized by the Board


of Directors of the company for the purpose or the
Committee of the Board if so authorized by the
Board.

The Secretary or any other person authorized by the


Board.
