Doctrine of Constructive Notice

 Section 610 provides that the Memorandum and

articles when registered become public documents
and they can be inspected by anyone on payment
of a nominal fee.
 Any person dealing with the company is treated as
having the knowledge of the contents of the
memorandum. That means he has “constructive
notice”
 It seeks to protect the company against the
outsider.
