DEFINITION

 The contract is defined by the contract documents, which are developed

from the tender documents.

 The Contract Documents consist of the Form of Agreement, General

Conditions of the Contract, Drawings, Specifications, Addenda issued

prior to receipt of bids, Form of Proposal, other documents listed in the

Agreement, and those modifications to the Contract as follows:

 Owner's written authorization to the Contractor for changes to the Work

 Change Order

 A written order for a minor change in the Work issued by the Professional

 Contract Forms
Agreement -- written document signed by the owner
and the contractor binding them into a legal
contract
Performance Bond – provides a guarantee that if the
contractor defaults or fails to perform, there will be
funds to complete the contract terms
Payment Bond – provides a guarantee that
subcontractors, material suppliers, and other
providing labor, goods, and services for the
project…will be paid
Certificates – may include insurance and certificates of
compliance with applicable laws and regulations
IN A LOGICAL ORDER, CONTRACT DOCUMENTS
REFER TO THE FOLLOWING SUBJECTS

• Input from the client (task description).


• Output of the contract (specifications, results to be
achieved).
• Prices for the contractor's contribution.
• Responsibilities and procedures (liability, resources
provided, time schedule,payement conditions,
change procédures, etc.).
Contract documents are usually arranged according to
the following sequence:

• General (for any project).


• Special (for a specialty area of the project).
• Supplementary (unique to a given project).
• Additional (during bidding or negotiation).
• Agreement form (for singing very important and
particular clauses).
• Modifications (during contract fulfilment).
The complete contract agreement usually consists of the
following documents:

• Conditions (general, special, supplementary).


• Drawing and specifications.
• Addenda.
• Agreement form.
• Modifications.
CHARACTERISTICS OF CONTRACT
DOCUMENT

 The most important document from the legal point of view is the
agreement. It is sometimes called the contract.
 Since so many documents are included as contract documents, the
agreement is the better term for this particular one.
 The form of the agreement can be standardized and used for many
projects, or a unique document can be prepared for each project.
 The standard form of agreement prescribed by the American
Institute of Architects has proved to be satisfactory and has been
used on many building projects with good results.
 The form followed for non-building projects is often more varied.
Man: agencies have own standard forms, which are used on all
their projects
 Information usually included in the contract
document are of three parts.
 The first part is a short introductory paragraph
which defines the parties, gives the date of the
agreement, and state that each party agrees to
what follows.
 The second part contains the elements of contract
and defines the work to be undertaken.
 The final paragraph confirms the agreement and
provides space for signatures of the parties.
Priority of Contract Documents

 The priority of the documents forming the Contract shall be as


follows:
(1) The Contract Agreement (if completed);
(2) The Letter of Acceptance;
(3) The Tender;
(4) Part II of these Conditions;
(5) Part I of these Conditions; and
(6) Any other document forming part of the Contract.

OWNERSHIP AND USE OF DOCUMENTS

All Drawings, Specifications and other documents of


the Work furnished by the Professional are and
shall remain the Professional's property. They are
not to be used by the Contractor on other projects
without written consent of the Owner and the
Professional
COPIES FURNISHED - DRAWINGS AND
SPECIFICATIONS

 The Professional will furnish to the Contractor, free of


charge, three copies of Drawings and Specifications for
the execution of the Work. The Drawings will be prints
on paper, un mounted. Any additional copies of the
Drawings and Specifications which the Contractor may
desire will be furnished at the cost of reproduction and
delivery.
DRAWINGS AND SPECIFICATIONS AT THE SITE

 The Contractor shall maintain at the site one copy


of all Drawings, Specifications, Addenda, approved
Shop Drawings, Product Data, Samples and
Contract Modifications, in good order and marked
to record all changes made during construction.

Incomplete or Inconsistent Documentation

The Contractor is responsible for constructing the Work described in


the Contract Documents, which include Drawings, Specifications,
and other documents enumerated in the contract. However, the
Contract Documents may be incomplete or inconsistent.

 Should be modified to establish a priority among the Contract


Documents and to resolve inconsistencies within Contract
Documents.
 The higher quantity and greater quantity should prevail in the
event of conflict.

 Consider adding clear language such included in the


materials, which acknowledges that there may be details to
complete in the Drawings and clarifies that the Work includes
any work that is “reasonably inferable” from the Contract
Documents.
