Corporate Governance &

Corporate Social
Responsibility

1
What is Corporate Governance?
 Corporate governance refers to the processes, practices and mechanisms that
organizations use to create, maintain and manage the relationships between
directors, officers and shareholders.

 It encompasses the roles of these individuals and their accountability to one

another.

 Corporate governance is critical to the success of any organization, as it

provides a framework for ensuring that directors make sound decisions that are
in the best interests of shareholders, and that officers act within the law and
comply with ethical guidelines(thegivingmachine.co.uk, 2022).
2
What is Corporate Social Responsibility?

 Corporate social responsibility is the practice of taking into account the social
and environmental impacts of a company’s operations and activities.

 This includes everything from ensuring a safe workplace to investing in

sustainable development.

 There are many different ways to measure corporate social responsibility, but
one of the most common is the eight-point criteria developed by the World
Business Council for Sustainable Development(icaew.com, 2022).

Ethical and Moral issues faced by Taxi
companies like Uber
 Currently, these organizations are facing a number of challenges that have a
significant impact on their ability to operate ethically and morally.

 These challenges include allegations of fraudulent behaviour, questionable

business practices, and data privacy issues.

 There are a number of ethical and moral issues that are affecting global
organizations such as Uber.

 These include the exploitation of drivers, the use of tracking and profiling, and
the exploitation of users.
6
How Uber can resolve these issues?

 As global organizations face increased scrutiny, it is important that they take

steps to address the ethical and moral issues that are affecting them.

 One way to do this is to ensure that they are taking steps to protect the rights
of their employees.

 For example, Uber has been accused of exploiting its drivers.

 In order to address this issue, Uber could take steps to ensure that its drivers
are paid a fair wage and are not being exploited.

Positive Policies of Ethics and Workforce
Diversity
 Training can raise awareness of what constitutes ethical behaviour and help
employees to understand the importance of ethics in policymaking.

 It can also encourage employees to raise any concerns they may have about
potential unethical behaviour.

 some organisations find that a heavy reliance on monitoring can lead to

inflexible or punitive policies.

 Consequently, organisations may find that they have to balance these two
approaches to maintain a truly diverse workforce.
9
Significance of Corporate Governance to
global Organizations
 Corporate governance is of critical importance for global organisations.
 Its importance has been recognised by the World Economic Forum (WEF) as
one of the six pillars that support a healthy global economy.

 The failure of corporate governance can lead to a number of problems,

including financial instability, loss of trust and public opprobrium.

10
The regulations that shape the Corporate
governance practices
 Corporate governance is a process by which a company’s directors, officers
and shareholders govern the company in order to ensure that it serves the
interests of all stakeholders.

 The regulatory requirements that shape corporate governance vary

considerably from country to country, and this variation has consequences for
the interests of different stakeholders.

 The regulation of corporate governance generally falls into two categories:

disclosure-based regulation and rules-based regulation.
11
Conclusion

 Good leadership and civic duty are more important now than they've ever been
before.

 Recent business scandals highlight the need of having competent boards of

directors.

 Every business needs to make social and environmental responsibility and
