WELCOME FR O M THE HNBA NAT IO N A L PR ESID E N T

Dear Colleagues and Friends:
Bienvenidos! It is my pleasure to welcome you to Jersey City, New Jersey for the HNBAs 3rd Annual
Corporate Counsel Conference. This is a particularly special event because we are celebrating 40 years
since the founding of the HNBA. On behalf of the HNBA Board of Governors, I would like to thank Miguel
Alexander Pozo and Nuris Portuondo for serving as Co-Chairs, and for their leadership in bringing us to
New Jersey, organizing this outstanding program and securing record-levels of financial support for an
HNBA Mid Year Conference. I also want to express my appreciation to our President in the Region, Anna
Maria Tejada, and local affiliate the Hispanic Bar Association of New Jersey for all their work and hospitality.
Our Midyear Corporate Counsel Conference has grown consistently and considerably this year, becoming a
landmark HNBA event. This would not be possible without the generous support of our corporate sponsors,
who have continued to support us in spite of the economic downturn affecting so many companies and law
firms across the country. A big Thank You to all our sponsors!
We see that this event fills a void, and it would not be such a success without buy-in from both our HNBA
membership and from Corporate America. I am very proud that our organization has continued to build
upon the foundation laid three years ago, and we continue to strengthen the relationships between inhouse counsel and HNBA members, as these relationships are mutually beneficial.
During the next few days, you will enjoy exceptional continuing legal education (CLE) panels that showcase
the skills and talent of HNBA members and partners. In addition, you will have unmatched professional
development and networking opportunities participants will meet colleagues from across the country,
with expertise in a variety of fields of law.
Since I took office in September 2011, launching The Year of the Advocate, we have successfully worked
to further the interests of the profession, the community, and children. Our Judicial and Executive endorsements program continues to grow, as we recruit a broad and highly qualified bench of candidates, and have
seen a greater number of candidates nominated and confirmed by this administration, most recently Judge
Adalberto Jordn, to the U.S. Court of Appeals for the 11th Circuit. We have also launched several pro-bono
opportunities, namely our Veterans Initiative, through which we strive to gather our membership to assist
Latino veterans and veterans in general as they return home and require legal aid. Finally, in Dallas we
assisted the children of Mercy Street, and we will continue initiatives with charities in each of the cities we
visit. In Washington, D.C. we will hold Law Day activities in conjunction with our annual Legislative Day and
Advocacy Summit.

We also continue the valuable work of the HNBA Standing Commission on the Status of Latinas in the Legal
Profession, which will present a very important panel during this conference. These are just a few of the
HNBA initiatives over the last six months; as we look forward to the next six months, we encourage you to
stay involved in the HNBA through our substantive law Sections and Committees. We hope to see you at
the HNBA Legislative Day and Advocacy Summit on May 8-10, 2012 in Washington, DC, and the 37th Annual
Convention and fourth Judicial Summit on August 22-25, 2012 in Seattle, WA.
Finally, I congratulate the law school teams participating in the 17th Annual Uvaldo Herrera National Moot
Court Competition. The future of our Association and the legal profession is brighter due to your accomplishments and participation in the HNBA. I would also like to acknowledge the work of Tom Dupree of
the law firm of Gibson Dunn & Crutcher LLP who authored our moot court problem this year, ensuring an
exceptional educational experience for HNBA law students participating in our event. A sincere thank you to
all our generous sponsors for their record-breaking support of this conference, all the programs I mention
here would not be possible without your commitment. I close by thanking the HNBA National Office staff for
their hard work, and in particular Zuraya Tapia, our Executive Director for her exceptional leadership and
service to the HNBA.
I look forward to another great six months working with many of you on HNBA initiatives and programs!
Sincerely,

Benny Agosto, Jr.

Dear Fellow HNBA Members:

Dear HNBA Members and Friends:

I am delighted to welcome you to Jersey City, New Jersey for the HNBA 3rd Annual Corporate Counsel
Midyear Conference and 17th Annual Uvaldo Herrera Moot Court Competition. Under the leadership of
conference co-chairs Miguel Alexander Pozo and Nuris Portuondo, in cooperation with our local affiliate the
Hispanic Bar Association of New Jersey ably led by Dan Mateo and HNBA Regional President Anna Maria
Tejada, this event promises to be our best Midyear to date. The relationship and cooperation with our
local affiliates is one of the most important to the HNBA, and I want to thank the HBA-NJ and the members
of the Midyear Planning Committee for their outstanding efforts and commitment in putting together this
program. In addition, the Latina Commission led by Carrie Ricci and Mercy will be providing their Executive
Leadership Program.

It is our pleasure to welcome to you the HNBAs 3rd Annual Corporate Counsel Conference. By all
accounts, it is an event that leaves participants and attendees wishing to return next year for more of the
exceptional programming, networking and business opportunities, and camaraderie for which the HNBA
is recognized. The programming this year is no exception and we trust that you will experience another
very memorable and enriching few days.

I want to thank all of our sponsors for their support of and partnership with the HNBA. These programs and
events simply would not be possible without your support. The HNBA continues to be The National Voice of
the Hispanic Legal Community due to your partnership with the HNBA on our programs that allow us to
give back to the community. We look forward to our continued work together.
For 17 years, the HNBA has held a National Moot Court Competition. This year is particularly poignant as
it will be the first one to be held after the passing of our friend and champion of this program, Mssr. Uvaldo
Herrera. Uvaldo was a dear friend and visionary who is dearly missed, but his vision of having an annual
program to allow Hispanic students to compete against the best in the country lives on. This year the HNBA
Legal Education Fund, the HNBAs only 503(c)(3) entity affiliated with the HNBA, will once again be providing scholarships to the law students competing in the moot court competition. The HNBA recently raised
tens of thousands of dollars at the HNBAs 2nd Annual Tennis & Golf Tournament in Miami, FL, once again
led by HNBA Regional President Teresita Chavez-Pedrosa.
As we celebrate the 40th Anniversary of the HNBA, let us all look forward to continue building the
foundation for the future!
Very truly yours,

Peter M. Reyes, Jr.

HNBA President-Elect

I am incredibly proud of where we are as an organization as we celebrate the 40th Anniversary of the
HNBA. I feel privileged to have been part of its leadership over the last three years and the great deal that
we have accomplished. It is with both great excitement and a heavy heart that this marks my last HNBA
national event serving as its Executive Director. While I will be moving on to an international organization,
I will never forget the exceptional minds, leaders and friends that I am honored to have worked with as part
of the HNBA. The HNBA has a valiant mission that is much greater than any of us individually, and I have
witnessed it become stronger and larger through our collective work. As a product of its long history and
the work of individuals who led the organization through key chapters, the HNBA now enjoys far-reaching
national prominence and provides invaluable assistance to attorneys, students and to the community.
I am so proud of what we have accomplished and I look forward to the HNBAs ever-brighter future.
I remain an ever-committed member and advocate of the HNBA, and I know that the incredibly talented
and motivated team in the national office will carry on with our important work, continuing to thrive under
the strong and visionary leadership of Benny Agosto, Jr., Peter Reyes, and the HNBA Board of Governors.
I want to particularly thank leaders like Romn Hernndez, Benny Agosto, Peter Reyes, Pedro Torres-Diaz,
and Claudine Martinez for the unfailing support, vision, energy, and friendship they always provided me, and
I want to thank the entire HNBA Board for their tireless work and dedication, which makes this event and
the execution of the HNBAs mission possible.
Last, but certainly not least, I want to thank the sponsors that make our work possible. In particular I want
to thank those sponsors who have been gracious and committed partners. I am grateful to Wal-Mart for
having had the HNBA, and me in particular, as a diversity partner and speaker at their annual Legal meeting; the Target team for their friendship and support of the HNBA; UPS; U.S. Department of Justice; and so
many others who we work with closely. The HNBAs critical work could not go on without the support of all
our sponsors. I know the HNBA will continue to break barriers and set precedents, and I trust that we will
all continue to witness this growth as HNBA partners. Heres to another 40!
Sincerely,

Zuraya Tapia-Hadley

Estimados colegas:
Saludos! As HNBA National Finance Director, and on behalf of the HNBA National Finance Committee,
welcome to the HNBAs 3rd Annual Midyear Corporate Counsel Conference. In 1972, a few Latino lawyers
dreamed about transforming the legal profession by: (1) providing a national voice for Latino lawyers; and
(2) championing issues important to the Latino community. In those early days, we advocated for the
nomination of a Latino/a to the U.S. Supreme Court. Some 37 years later, that dream became reality.
Today, as we reflect and celebrate our 40th Anniversary, we reaffirm our mission. We also assume equally
ambitious, but no less attainable goals. One such goal is to leave a financial legacy in the communities
where we live and work. In 2012, with the vision of HNBA National President Benny Agosto, Jr., the
leadership of the HNBA Board of Governors, and the help of all of you, the HNBA will provide $100,000 in
scholarships to Latino students across our 19 Regions.
President Agosto has charged us with ensuring that we have the resources to fulfill that pledge. We are
also tasked with establishing a roadmap to ensure the HNBAs financial sustainability. Comprised of
national Latino leaders, we have taken our marching orders to heart. In fact, in the last six months, we
have secured renewed commitments from our pillar sponsors, namely Target and Wal-Mart. We have
also established strategic partnerships with Avis, Goldman Sachs, JPMorgan Chase, MetLife, Microsoft, and
UPS, to name a few. You will hear details in the next few days and coming weeks. Indeed, as we open the
2012 Midyear Conference, we proudly report that we have exceeded our fundraising goal. Without your
tremendous support this achievement would not have been possible.
Moreover, you will note that our Midyear Conference has a different feel this year. Among the many
highlights, it will feature four conference days, instead of three, and offer 50% more continuing legal
education (CLE) panels. Additionally, we will unveil our inaugural Corporate Speed Networking Pilot
Program. This unique, HNBA-variation on the speed networking concept, will foster meaningful
relationships between our members and corporate America. At a time when resources remain scarce,
our members and sponsors deserve an even greater return on their investments. Rather than rest on our
laurels, we created this Pilot Program. It is one more way that we are creating value. Similarly, our Seattle
Convention team has already laid the foundation for our most ambitious Annual Convention, to date.
We look forward to collaborating with you to ensure that the HNBA remains visible, vibrant, and influential
for years to come. Together, we can accomplish anything.

Dear Members:
Welcome to the Hispanic National Bar Associations (HNBA) 3rd Annual Midyear Corporate Counsel
Conference in New Jersey: Gateway to America.
In sight of New Jersey lies Ellis Island, the historic entry for thousands of people who had the dream of a
better life. As a platinum sponsor, Prudential is proud to partner with the HNBA to help give voice to the
opinions and concerns of Hispanics in the community, and in particular the legal profession.
It is my privilege to serve as this years honorary chairperson of the Midyear Corporate Counsel Conference.
Whether youre just starting in your career or have been working in the profession for some time, events
like this allow us to share ideas, learn best practices and develop our skills.
Like the HNBA, Prudentials priority is to promote an environment that values diverse backgrounds, experiences and ways of thinking. We hold ourselves, our management team and our employees accountable for
a workplace that is inclusive and appreciative of our differences and capitalizes on these opportunities for
the ultimate benefit of our customers, shareholders and employees.
We value our partnership with the HNBA as it is an example of our sustained commitment to improving
diversity within the legal profession. We appreciate the opportunities to recruit diverse talent through the
HNBA and to strengthen the diversity and inclusion in our law department.
Prudentials attorneys have built strong relationships with the HNBA over the years, and we look forward
to building on this important partnership in the years to come.
Just as Ellis Island was an immigrants gateway to a better life, the HNBA and the Midyear Corporate Counsel
Conference is our gateway to greater knowledge, a better future and to the ability to reach our greatest potential.
I hope you enjoy the conference and I wish you a successful and enriching experience.
Best regards,

Siempre adelante,

Miguel Alexander Pozo

CONFERENCE CO-CHAIR S
Dear HNBA Colleagues And Friends:
Bienvenidos! On behalf of the Hispanic National Bar Association (HNBA), we welcome you to New
Jersey: Gateway to America, and to the 2012 HNBA 3rd Annual Midyear Corporate Counsel Conference,
and 17th Annual Uvaldo Herrera National Moot Court Competition. Overlooking the New York City skyline
and with the view of the Statue of Liberty and all that she represents, we believe that New Jersey is the
perfect setting for us to talk about where weve been and where we are headed as Latinos both in this
country and in the legal profession. We hope the Conference combines history, legacy, and the promise of
great things to come. Together with Honorary Conference Chair Susan Blount, Senior Vice President and
General Counsel of Prudential Financial, we are honored to be your hosts and sincerely hope that you enjoy
the programs and events we have planned for your visit.
We encourage you to take advantage of our robust agenda that includes over 10 CLE panels with
subject matter experts from across the country. We also hope that you will join us for the Latina
Commission plenary breakfast session, the General Counsel Roundtable led by Susan Blount, and our
luncheon presentation featuring United States Attorney from various districts as they discuss issues of
importance to the Latino community. You will also enjoy our joint HBA-NJ / HNBA Womens Leadership
Conference, as well as our Gala celebration, which will feature remarks by New Jersey Governor Chris
Christie. For fun, plan to slip into your dancing shoes and hop onto one of our Salsa Shuttles that will
ferry you around some of Jersey Citys most sizzling Salsa locales such as Son Cubano, Sabor, and
Azucar. You can also visit our nightly hospitality suites at the Westin to network in a comfortable and
relaxed setting.
Among the many Conference highlights, we have planned an unforgettable reception at the historic Ellis
Island Immigration Museum. U.S. Senator Robert Menendez will deliver the keynote address. Ellis Island
represents many things, to many people, among them; it represents the struggles that underscore the
plight of many immigrant groups, including Latinos. Irrespective of how or why we all came to this

As President of the Hispanic Bar Association of New Jersey (HBA-NJ), I am honored to welcome you
to Jersey City, New Jersey for the HNBAs 2012 Midyear Corporate Counsel Conference and 17th Annual
Uvaldo Herrera National Moot Court Competition. New Jersey is a state that is home to a vibrant, diverse
and growing Hispanic population. As the States general Hispanic population has grown, so too has the
number of Hispanic lawyers, judges and law students who have decided to make New Jersey their professional home. For the last 32 years, the HBA-NJ has played an active role in advancing the dreams of young
Hispanic lawyers and helping protect the rights of the larger Hispanic community in New Jersey. Through
our advocacy, mentoring, networking, and community education initiatives, the HBA-NJ has stayed true
to its mission of being the voice of New Jerseys Hispanic legal community.

Welcome to the Garden State. It is with great honor and pride that we welcome all of you to our home the
State of New Jersey for the 2012 Midyear Corporate Counsel Conference celebrating the 40 years of the
Hispanic National Bar Association (HNBA). As Regional President for Region III - New Jersey, we thank you
for your support by saying presente here in New Jersey. A special thanks to our Sponsors that have committed their time and funding to supporting the goals of the HNBA.
With the leadership of the Conference Co-Chairs, Miguel Alexander Pozo and Nuris Portuondo, and the members of the HNBA Planning Committee, we have led a dynamic group of motivated members of the local affiliate, the Hispanic Bar Association of New Jersey (HBA-NJ), and HNBA members nationwide to put forth robust

By the same token, we welcome our Sponsors to network with our conference participants to maximize the partnership with the HNBA. Together, with
your participation and sponsorships, we can continue to promote diversity in the legal profession.
Here, in New Jersey, we continue to fulfill the mission of the HNBA at so many levels. In particular, we are
kicking off the Conference by speaking with the children of the Jersey City Public Schools to cultivate the
pipeline for the legal profession by encouraging their interest in education, exploring career opportunities in
the law, and serving as role models by sharing our individual experiences. This year, the HBA-NJ has joined
efforts with the HNBA to host its annual Womens Leadership Conference (WLC) on Saturday, March 31,
2012. The WLC will feature the following: (1) Using Your Latino Heritage To Develop Your Brand; (2) Latinas In
The House...And In The Senate; and (3) Latina Women in Corporate America. Continuing with our commitment to the youth, we have invited young Latinas from the local high schools to participate in this conference.
We encourage you to take advantage of the many programs that have been developed to further your professional accomplishments and forge relationships with leaders of Corporate America, while celebrating
the cultural diversity of our membership.

The HBA-NJ has enjoyed a long-standing, mutually beneficial relationship with the HNBA. We are proud
of that special relationship, proud to have been recognized as the HNBAs Affiliate of the Year in 2010, and
particularly proud that the HNBA selected New Jersey as the host state for this very important conference.
We will forever be grateful to the HNBA leadership, particularly President Benny Agosto, President-Elect
Peter Reyes, and Immediate Past President Diana Sen, for the opportunity to co-host this convention. We
have enthusiastically embraced the opportunity to help make this convention successful and memorable
for all of those who participate.
In addition to welcoming you to New Jersey, the HBA-NJ is excited to showcase its talented and hard
working members and help foster new relationships that will make us all stronger as Hispanic legal

Welcome to New Jersey.
As President of the New Jersey State Bar Association, it is my great honor and pleasure to welcome you
to the Garden State. We are so proud the Hispanic National Bar Association is holding its Midyear Corporate Counsel Conference and 17th Annual Uvaldo Herrera National Moot Court Competition in Jersey City.
I offer my congratulations to you on what is certain to be a vibrant and meaningful event examining issues
of importance to lawyers of diverse backgrounds and the benefits they can offer to the corporate world. The
insights from a roster of speakers such as Gov. Christopher Christie, Sen. Robert Menendez and Securities
and Exchange Commission Commissioner Troy A. Paredes, as well as the leaders of many major law firms
and corporations allow a unique opportunity to discuss these issues with some of the brightest legal minds.
On behalf of the states largest lawyers group, I wish to recognize the challenges facing and contributions
of people of diverse backgrounds. The New Jersey State Bar Association is dedicated to making solid
strides toward opening the doors of leadership in the legal profession to people of all backgrounds.
One of my goals has been to provide opportunities for people to access the leadership pipeline and
educate us about what can be done better from the inside out. We recently held the second annual
Diversity Summit, which allowed over 120 thought leaders from around the state to take part in a forum
to continue talking about the issues that matter, learning from each others experiences, and identifying
areas where we can make improvements and work together.
The state bar association believes these efforts represent real steps to ensuring the legal community
better reflects the rich diversity that is integral to our great states history and future success.
These are exciting and meaningful times in the legal profession and I look forward to an exciting
conference.

ETHICAL P IT FALLS FOR THE IN-HOUSE COUNSEL

In the practice of law conflicting responsibilities are often encountered. As a representative of clients, a
lawyer performs various functions, including that of adviser, advocate, negotiator, intermediary, evaluator,
and spokesperson, to name a few. Difficult ethical problems may arise from a conflict between a lawyers
responsibility to a client and the lawyers own sense of personal honor, including obligations to society and
the legal profession. This Panel of experts will discuss common mistakes and how to avoid them.

U VALD O H ER R ERA
IN MEMORIAM
J U LY 1 9, 1 9 5 5 - AU G U S T 2 1 , 2 0 1 1

Uvaldo Herrera was born in Pinos Altos, an isolated village in the desert of Durango,
Mexico. He came to the United States when he was 11 years old, speaking only
Spanish. He later mastered not only the English language, but became a lawyer and
leader in the legal profession and had positive impact on the lives of many law students, lawyers, and on the development of U.S. law. After growing up in the Chicago
area, Uvaldo graduated from the University of Illinois and the DePaul University
College of Law.
In 1998, he joined the corporate legal department of State Farm Insurance Company,
where he served in a variety of positions. Uvaldo gave of his time and talents throughout his life to a multitude of organizations. The HNBA is incredibly blessed that it was
one of the many organizations Uvaldo granted his time and efforts. Uvaldo served
with distinction on the Board of Governors of the Hispanic National Bar Association
for over a decade. He was elected HNBA Vice President of Programs and served as
the HNBAs General Counsel.
In recognition of his leadership, dedication, and service to law students and the
law, the Hispanic National Bar Association named its celebrated national moot
court competition, the Uvaldo Herrera National Moot Court Competition. The Hon.
Jimmie V. Reyna, an HNBA Past President and current Circuit Judge on the U.S.
Court of Appeals for the Federal Circuit, noted, With Uvaldos passing, we who had
the privilege of working with him have lost a dear friend, the legal profession has
lost a great leader, and America has lost a contributor whose positive influence will
endure beyond generations to come. Uvaldo was well known for his clever wit, calm
demeanor, and gentle and powerful inner strength. He is survived by his wife, their
daughter, Isabela, and his two sons, Brent and Bre.
