    FlatironSchoolHiringAgreement AsaHiringPartner,youagreetopayahiringcommissionequivalentto15%ofthestudent's firstyearbasesalary.We'vedecidedtostructureourprograminthiswayfortworeasons: 1. Chargingemployersaplacementfeeallowsustokeeptuitionaslowaspossible. 2. Educationtodayistooexpensiveandnotfocusedonrealresults.Bybasingourrevenue modelonjobplacement,wearealigningourinterestswiththoseofourstudents.Ifwe're notsuccessfulintrainingstudentsforjobs,weshouldn'tbefinanciallysuccessful,either. Lawyerspeak: 1. Parties:ThisagreementisbetweenTheFlatironSchool(we,us)andthe companyyourepresent(you). 2. Term:ThisAgreementiseffectiveFebruary14,2014andwillterminateFebruary14, 2015. 3. Services:TheFlatironSchooltrainsstudentsinvariousskillsrelatedtobuildingweb applications.Ifyouacceptthetermsofthisagreement,youwillhaveanopportunityto hireourstudentsthroughourplacementservice.

    4. Placementfee:IfyouhireanystudentwhohasparticipatedinaFlatironSchool programwithin120daysofcompletion,youwillpayus15%ofthatstudents firstyearbasesalarywithin30daysofthedaythatstudentstartsworkingforyou.Ifa studentwhohasparticipatedinaFlatironSchoolprogramapproachesyoudirectly within120daysofcompletion,youwillnotifyusinwritingwithin48hoursand,ifyou hirethatstudent,youwillpayusaccordingtotheaboveterms. 5. Guarantee:Ifastudentyouhavehiredresignsorisfiredwithinthefirst90daysof employmentwithyou,wewillgiveyouafullrefundonyourplacementfee.The FlatironSchoolmakesnoguaranteesregardingstudentsskillsorperformanceon thejob. 6. Disputeresolution: 1. AnydisputeinvolvinganamountwithinthejurisdictionoftheNewYorkCity SmallClaimsCourtandarisingoutofanydisputeorcontroversyrelatingto theinterpretation,construction,performanceorbreachofthisAgreement, mustbefiledintheSmallClaimsDivisionoftheSuperiorCourtofNewYork. 2. AnydisputeinvolvinganamountnotwithinthejurisdictionoftheNewYorkCity SmallClaimsCourtandarisingoutofanydisputeorcontroversyrelatingto theinterpretation,construction,performanceorbreachofthisAgreement, shallbesettledbybindingarbitration,inaccordancewiththethencurrent rulesoftheAmericanArbitrationAssociation.Thearbitratormaygrant injunctionsorotherreliefinsuchdisputeorcontroversy.Thedecisionofthe arbitratorshallbefinal,conclusiveandbindingonthepartiestothearbitration. Judgmentmaybeenteredonthearbitrator'sdecisioninanycourtof

    competentjurisdiction.Eachpartywillseparatelypayitsrespectivecounsel feesandexpenses,andeachpartyshallpayonehalfthecostsofarbitration. ThelocationofanyarbitrationshalltakeplaceinNewYork,NY. 7.Venue:ThevenueofthisAgreementisNewYork,NY. 8.Governinglaw:ThisAgreementwillbegovernedbythelawsoftheStateofNew York. 9.Entireagreement:ThisAgreementistheentireAgreementbetweenyouandThe FlatironSchool,andsupersedesanypriorAgreementsbetweenuswithrespectto thesubjectmatterofthisAgreement.
