SECTION 1 - GENERAL INFORMATION

The City of Dallas (City) is soliciting Statements of Qualification from professional


consultants interested in providing inspection services and technical monitoring and
evaluation of gas drilling activities in the City of Dallas.

SECTION 2 - HISTORY / BACKGROUND

On September 12, 2007, the Dallas City Council approved Ordinance No. 26920
amending Chapters 51 and 51A, “Dallas Development Code,” of the Dallas City Code.
The ordinance amended Sections 51-4.213, 51A-1.105, 51A-4.111, 51A-4.112, 51A-
4.113, 51A-4.114, 51A-4.115, 51A-4.116, 51A-4.117, 51A-4.121, 51A-4.122, 51A-4.123,
51A-4.124, 51A-4.125, 51A-4.126, 51A-4.127, and 51A-4.203; created a new Article XI
in chapter 51; created a new Article XII in Chapter 51A; created a new gas drilling and
production use; created regulations for gas drilling and production; provided for a
penalty not to exceed $2,000; provided a saving clause; provided a severability clause;
and provided an effective date.

Ordinance No. 26920 amended Section 51A-1.105, “Fees,” of Article I, “General


Provisions,” of Chapter 51A, “Dallas Development Code: Ordinance No. 19455, as
amended,” of the Dallas City Code by adding a new Subsection (u), “Fees for gas
drilling and production,” to read as follows:

“(u) Fees for gas drilling and production.


(1) The city may use a qualified third party to conduct any
inspections required by Article XII.”

Ordinance No. 26920 created “Article XII, Gas Drilling and Production” section to
Chapter 51A of Dallas Development Code of the Dallas City Code. The stated purpose
is intended to “protect the public health, safety, and welfare; minimize the impact of gas
drilling and production on surrounding property owners and mineral-rights owners;
protect the environment; and encourage the safe and orderly production of mineral
resources.” Section 51A-12.103 outlines the responsibilities of the gas inspector and
allows for the city to hire technical advisors concerning gas drilling and production
matters.

SECTION 3 – PROJECT DESCRIPTION


3.1 Gas Drilling Inspection - Services to include:
• Application Reviews – Review and make a recommendation to the building official
for approval or denial of gas well applications.
• Conduct all the required (annual minimum) well and site inspections for compliance
with Section 4.203 (3.2) and Article XII of Chapter 51A of Dallas City Code, gas well
permit and the SUP requirements.
o Selected company shall contact appropriate city department(s) and/or
state agency(s) for possible violation(s) of other city code provision(s)
(not included in the gas drilling ordinance) or state law(s). Company
shall document response and outcome of any investigation by city
department (s) and or state agency(s).
o Selected company shall recommend orders and/or citations for
violations of the gas drilling ordinance.
o Selected company shall recommend to the building official the
revocation or suspension of gas well permits for continued and/or
serious violations of the gas drilling ordinance.
o Selected company shall verify and document call(s) to the listed
emergency contact numbers on the informational signs and that the
phone number(s) and contact name(s) are valid.
• Prepare and submit site observation reports addressing all requirements of the code
to the city project manager.

3.2 Technical monitoring and evaluation – Services to include, as needed:


• Evaluation of safety plans and procedures.
• Monitoring and assessing dust and particulate, which could include, but not
limited to volatile organic compounds (“VOC”) and metals, conditions within
and adjacent to work/production site.
• Evaluation of drilling/production equipment and reports.
• Review and provide summaries of gas production volume reports, production
operating reports, market valuation reports and other documents provided to
the City to assist in the confirmation of Royalty payments.
• Prepare and submit technical reports addressing all requirements of the code
to the city project manager.

SECTION 4 - SCOPE OF SERVICES


4.1 Application Reviews – Review and make a recommendation to the building
official for approval or denial of gas well applications.
• Consultant shall review gas well permit applications for completeness and
compliance with Section 51A-12.105 (b) of the “Dallas Development Code” of
the Dallas City Code.

• Deliverables: Consultant shall return incomplete applications to the city’s


Building Official with a written explanation of the deficiencies within 30 days
after receiving the permit application from the city’s project manager.

If a permit application is determined to be complete, consultant shall


determine if the application meets the requirements of Section 51A-Chapter
XII of the “Dallas Development Code” of the Dallas City Code and the
conditions of the SUP. Consultant shall submit a written report
recommending (1) issuance, (2) issuance subject to written conditions if
compliance with the conditions eliminates the reason(s) for denial, or (3)
denial, with a full explanation of the reasons for denial of the permit to the
city’s Building Official within 30 days after receiving the permit application
from the city’s project manager.

4.2 Conduct all the required (annual minimum) well and site inspections for compliance
with Section 4.203 (3.2) and Article XII of Chapter 51A of Dallas City Code, gas well
permit and the SUP requirements.

• Consultant shall be available to perform well and site inspections as directed by


the city’s Building Official (annual minimum). Duties can include:
o Consultant shall contact appropriate city department(s) and/or state
agency(s) for possible violation(s) of other city code provision(s) (not
included in the gas drilling ordinance) or state law(s). Company shall
document response and outcome of any investigation by city department
(s) and or state agency(s).
o Consultant shall recommend orders and/or citations for violations of the
gas drilling ordinance.
o Consultant shall recommend to the building official the revocation or
suspension of gas well permits for continued and/or serious violations of
the gas drilling ordinance.
o Consultant shall verify and document call(s) to the listed emergency
contact numbers on the informational signs and that the phone number(s)
and contact name(s) are valid.

4.3 Technical monitoring and evaluation – Services to include, as needed:

Deliverables: Prepare and submit technical reports appropriate to the
testing/technical evaluation requested by the City. Laboratory reports/results
must be validated by the consultant or qualified sub-contractor. Drilling and
production reports shall be signed and sealed by a registered Texas professional
engineer or company.

SECTION 5 - SELECTION PROCESS

This RFQ is the first step in a two-step process for selecting a Firm/Team for the
Project. The RFQ provides information necessary to prepare and submit qualifications
for consideration and ranking by the City of Dallas (COD). Based on the published
evaluation criteria established for the project, each properly submitted Qualification
statement will be reviewed, evaluated and ranked by COD. Based on this ranking, the
COD will select the appropriate number, approximately five of top ranked firms to
respond to a separate Request for Proposals as part of the second step of the process.
In the second step of the process, Request for Proposals (RFP), respondents will be
asked to submit additional information, including project specific items for clarification
and amplification of their Statement of Qualifications. The selection committee will then
interview the respondents and will rank the firms in accordance with the published
criteria. The highest ranked firm will be asked to submit a fee proposal based on a
scope of work to be established for contract negotiations.
Acceptance of evaluation methodology: By submitting its Qualifications in response to
this RFQ, respondent accepts the evaluation process as outlined and acknowledges
and accepts that determination of the most qualified firm(s) offering the best value to the
City may require subjective judgments by the owner.

Public information: All information, documentation, and other materials submitted in


response to this solicitation are considered non-confidential and/or non-proprietary and
are subject to public disclosure under the Texas Public Information Act after the
solicitation is completed and contract executed with selected firm.
Firms associating with other firms in order to bring specific expertise and experience to
the project are encouraged. If you consider submitting as a joint venture, you must
have a history of project completions as a Joint Venture entity.

5.1 Selection Criteria


Evaluation Criteria Weighting
Experience: Show experience within the last 5 years that demonstrates the prime 25
firm's history and success with projects of similar scope and size, and/or clients as
the project described in this Scope of Services.
Availability: Prime firm and subconsultants must have adequate and experienced 15
current staff (including professionals registered in applicable fields, other
professionals, and technicians) to competently and efficiently perform the work.
Prime firm and subconsultants must show percent time each person will be
committed to this project. .
Approach: To select, manage and control sub-consultant resources, including 20
responsibility and ownership of deliverables, costs, and schedules. Describe the
team's organizational structure, their understanding of the project issues and their
approach to the project.
Staffing Plan: Demonstrate experience of the Project Engineer and Project 25
Principal, on similar projects to the project described in this solicitation. Project
Engineer and Project Principal must be employed by the prime firm and may be
the same individual. Project Engineer must be licensed as a professional
engineer in the State of Texas at the time of submittal.
Demonstrated inclusion and commitment to and understanding of the City’s 15
Business Inclusion and Development (BID) Plan in proposed team

5.2 Selection Procedure


Interested, qualified consultants shall submit Statements of Qualifications (SOQ) in
accordance with the requirements of this RFQ by the deadline indicated.
The City may elect to issue addenda to this RFQ. All addenda will be posted on the
City’s web site at the following URL: www.bids.dallascityhall.org
5.3 Pre-Submittal Conference

A Pre-submittal Conference will be held on November 4, 2010 from 2:00pm – 4:00pm at


_1500 Marilla _____in the conference room located at_4/E/N__. All potential
respondents are encouraged to attend.

Follow the instructions in the Official Advertisement and City of Dallas website,
www.bids.dallascityhall.org from which the RFQ Packet is downloaded for instructions
to address any questions you may have concerning the RFQ.

5.4 Questions and Clarifications

Submit questions and requests for clarifications regarding this RFQ in writing via email
to the contact person indicated below in Section 5.5. Please submit questions on or
before January 27, 2011 by 3:00 p.m.

5.5 Due Date/Time

Statements of Qualifications are due at 2:00 p.m., February 9, 2011. Eight (8) USB
Flash Drives each containing one (1) copy of the document in PDF format and one (1)
bound original hard copy enclosed in a sealed envelope or container and delivered to
the address indicated below. Please include a self addressed stamped envelope(s) if
the Flash Drives need to be returned.

5.6 Selection Outline

• The Selection Committee will consist of representatives from the City of Dallas
including Sustainable Development & Construction department staff.
• The City reserves the right to request additional information after submission of
the SOQ.
• The SOQs will be reviewed for compliance with the minimum qualifications and
published criteria as set forth in this RFQ. If the SOQ is found not in compliance
with these minimum requirements, the SOQ will be removed from further
consideration and the consultant informed of this action.
• The Selection Committee will rank SOQs according to the published Evaluation
Criteria listed in Section 5.1. Each consultant invited for oral presentation and
interview will be allowed a single session consisting of a 20-minute presentation
by the consultant followed by a 40-minute interview with the Selection
Committee. Only 3 individuals proposed as key personnel on the project shall
participate in the presentation and interview. The consultant’s proposed Project
Manager shall lead the presentation. Supplemental information provided at the
interview shall be limited to 8½ x 11 inch copies of slides or other materials used
in the presentation.

• The Selection Committee will rank the combined oral presentation/interview in


accordance with the Evaluation Criteria listed in Section 5.1, producing a final
numerical ranking. The committee will submit its rankings to City management
for approval. After management approval, the City will then proceed with
negotiating an agreement with the highest-ranked consultant. If the City and the
Consultant cannot reach agreement in the negotiation, the City will terminate
negotiation and, at its option, negotiate with the next-highest ranked Consultant.
• Upon completion of negotiations, City staff will recommend approval of the
Agreement to City Council.

SECTION 6 – STATEMENT OF QUALIFICATIONS (SOQ) REQUIREMENTS

6.1 Document

The SOQ shall be wholly contained in a single Adobe PDF file and delivered in Flash
Drive and one bound original.

Paper size shall be set at 8½ x 11 inch using a 12-point minimum font size for the text
and limited to thirty (30) pages. Covers, dividers, the Request for Contracting
Preference for Local and Small Businesses form, and resumes of key personnel will not
be included in the page count. Resumes shall be limited to one page per person.
Specialized graphics may be included on larger sheets, not to exceed a maximum of 11
x 17 inches. Any information that needs to be returned to the proposer should not be
submitted.

The SOQ shall include the following information in the order indicated:

• A Cover Letter to the city’s Building Official signed by an officer of the firm stating
general qualification, expertise and ability to perform the scope of services as
described in this RFQ. Include an introduction of the Project Team.
• Clearly identify the contracting entity.
• Qualifications/Expertise.
• Provide a description of the consultant team, including listing the prime
consulting firm or joint venture partners and the principal sub-consultant firms
that will be providing the following services (can be more than one team member
per item listed):

6.2 Basic Information

For the submitting Prime Consultant and each principal Sub-consultant, provide an
individual Firm Profile in outline form responding to each item below:

(1) Name of firm, address, telephone, and email and fax number.
(2) Total number of persons employed by the firm.
(3) Table of firm’s organizational structure listing at a minimum Presidents, Vice
Presidents, and Principals in the firm and their area of expertise and
responsibility. This may be limited to those officers within the direct span
of control proposed for this project.

• Include a brief summary of the firm’s staff professionals and technical profile,
including number of personnel by type, title, licenses, area of expertise and
positions. This may be limited to those officers within the direct span of
control proposed for this project.
• The firms’ role, responsibilities, and organizational relationship to the
consultant team.
• Description and chart of key personnel and their role on the project. Include
resume of all key personnel in an appendix.
• Professional registration numbers when such license is claimed.
• A brief narrative describing the qualifications of the firm and the key
personnel to provide the Scope of Services described in Section 4.

6.3 Experience

For the Prime Consultant and each of the Principal Sub-consultants:

• Provide information about previous experience relevant to the Selection Criteria in


Section 5 and the Scope of Services in Section 4 in which the Consultant was the
prime or provided key support for the relevant effort. Firms are also required to list
all relevant projects that the submitting office has worked on over the last five (5)
years. Include the following:
o Name, location and description of similar projects and/or oil/gas drilling
experience.
o Description of the firm’s involvement in similar projects/services and/or the
oil/gas industry.
o Name, address, phone number, and email address of client with name of
contact person.
o Firm’s history in performing the work required and bringing the projects
described in the scope of work within schedule and budget.
o Dates that services were provided.
o Describe the specific role that the Key Personnel served on the projects
submitted as experience.
o List of contracts/agreements to which your firm was a party that were
terminated by either party for convenience or default within the past five
(5) years, if any.
o List any litigation that now affects or may affect in the future consultant
firm’s ability to perform.

o List any contracts/agreements and/or affiliations to which the firm


was or is engaged with any gas/oil company, including type and
dates of services provided.

6.4 Staffing Plan Availability

• Provide chart listing key personnel and their time availability on a percentage
basis.
• Provide analysis quantifying project team’s (Consultant and first tier sub-
consultants) production capacity and capability.
• Description of ability to function within a matrix organization, including approach
and philosophy of firm.

6.5 Project Approach

• Describe your approach to select, manage and control sub-consultant resources.


• Describe your approach to assume responsibility and ownership of deliverables,
costs, and schedules.

6.6 Business Inclusion and Development Plan

The information shall be submitted with the proposal and shall include:
Submission of an affirmative action plan and/or policy. If your company does
not have an Affirmative Action Plan the Business Inclusion and Development
Staff can provide the Affirmative Action Requirements (BDPS-PRO-204) which
will serve as a template to be utilized for this criterion and the Ethnic Workforce
Composition Report (BDPS-FRM-204)
6.6.1 Submission of documentation showing the RFP/RFQ Contractor’s Affidavit
History of M/WBE Utilization Form (BDPS-FRM-205) on previous contracts on
the form provided.
6.6.2 Firm (s) Team make-up includes a significant number of diverse M/WBE firms in
meaningful roles on the project. Please submit the RFP/RFQ Contractor’s
Affidavit Type of Work by Prime and Subconsultant Form (BDPS-FRM-206)
(1) The name, address and telephone number of each M/WBE; (2) the
description of the work to be performed by each M/WBE; and (3) the
approximate dollar amount/percentage of the participation.

6.6.3 Evidence of acknowledgement of the City’s Business Inclusion and Development


(BID) Plan, signed Business Inclusion and Development Affidavit (BDPS-FRM-
203) that demonstrates intent to comply with the policy and evidence of M/WBE
inclusion to meet the BID goal for the project

It is the policy of the City of Dallas to involve Minority and Women-Owned Business
Enterprises to the greatest extent possible. In the Qualification Statement, the
consultant must commit to comply with the “Plan” for the use of Minority and Women-
Owned Business Enterprises. The City Council M/WBE race and gender-neutral goals
adopted on May 14, 1997 are noted in the City of Dallas Business Inclusion and
Development Plan (formerly known as the Good Faith Effort Plan). Additional details

Attachment A – Insurance

Current certificates of insurance illustrating minimum City of Dallas requirements


Commercial General Liability, Business Automobile Liability, Workers’ Compensation
and Professional Liability Insurance are required from firms that enter into a
professional services contract with the City of Dallas. This information is being provided
for informational purposes only. Insurance coverage and limits will be determined and
an actual insurance attachment prepared based on the proposal of services submitted
by the chosen professional services provider. Projects that are conceptual, feasibility,
development, master plans, etc. resulting in no construction or no construction oversight
require Professional Liability with at least $250,000 limit per claim, $500,000 aggregate
limit. Typically, projects that involve development or preparation of system
specifications, diagrams, schematics, etc. or result in construction or construction
oversight require Professional Liability with at least $1,000,000 limit per claim,
$1,000,000 aggregate limit. Please provide evidence or declaration indicating the types
