PREAMBLE WE,themembersofGreenTeamPilipinasInternationalInc.,advocatetheprinciplesofDemocracy, Good Governance and Ethical Leadership, Humanism, Environmentalism, Multiculturalism, Self Determination, Equal Protection of Law, and Subsidiarity as strong foundations by which our institutionsarebuilt.Webelieveingenuinepeopleempowermentthatisfreefromthedictatesof patronagepolitics,moneyandviolenceasameanstoachieveourcommonaspirationsofabetter country characterized by vibrant green communities lived by wellinformed and economically empowered citizenry who enjoy freedom of expression and belief and nonbelief without fear of persecutionandviolence,andwhosharethecommondesiretoreachoutandimprovethelotofthe leastadvantagedmembersofthesociety. We pledge to uphold the rule of law, the spirit of volunteerism, stewardship to nature and shall endeavorourselvestomaintainourcommunitieswithdignity,whosepeopletakeprideintheirrich culture and heritage, enriched by the failures and victories of our heroes past and present whose sacrifices shall inspire us to contribute in the collective undertaking of bringing about sustainable economicdevelopmentandjustandlastingpeacetoallpartsofthecountry. ArticleI NAMEOFORGANIZATION,SYMBOLS,ANDPLACEOFBUSINESS Section 1. Name. The full, official, registered name of the organization under the Securities and Exchange Commission (SEC) shall be GREEN TEAM PILIPINAS INTERNATIONAL INC. However, for purposesofbrevity,thenameGreenTeamPilipinas(GTP)and/oritsabbreviatedformmaybeused alternately. Section 2. Colors. The official color of the Green Team Pilipinas is green, rendered in eight (8) differenthues/shades. Section3.Symbol.TheofficialsymbolorsealoftheGreenTeamPilipinasdepictsagroupofmen huddling,suggestingsharingofideasandcooperation. Section 4. Place of Business. The registered official address of the Green Team Pilipinas, unless otherwise amended, is at W2502D Philippine Stock Exchange Center, Exchange Road, Ortigas Center,PasigCity.However,theorganizationmaysetup,operateandrunanotherofficeorplaceof businessanywhereinthePhilippinesprovideditiswithinitslegalmandateandfinancialcapacity. ArticleII VISION,MISSIONANDNATUREOFTHEORGANIZATION Section1.VisionandMission.GreenTeamPilipinasenvisionsaPhilippineswhereitspeoplelivein dignity accorded by vibrant and progressive green communities and reformed social and political institutions, where they have equal access to economic opportunities, and where they freely and activelyparticipateinthedemocraticprocessesandintheprofessionoftheirpoliticalbeliefs.

Emboldenedbythechallengeofreformingtheailingsocialandpoliticalinstitutions,theGreenTeam Pilipinasshalldedicateitsmissiontotheestablishment,development,andfurtherstrengtheningof reliable and sustainable support structures through its chapters in advancing its advocacies and in offeringviableandsustainablesolutionstoissuesandproblemsconfrontingPhilippineenvironment, education,andeconomy. Section2.NatureoftheOrganization.GreenTeamPilipinasisanindependent,professional,issues based, advocacydriven, and reformoriented sociocivic and political organization with strong nationalpresence,advancingthecausesonenvironment,educationandeconomy. a. Its membership base is drawn from among reformoriented individuals from the various socialsectorsandstrata. b. Itengagesinmultisectoralandinstitutionalalliancebuildingandmultistakeholderlinkaging in addressing problems and issues within the domain of its basic reform agenda on environment,educationandeconomy. c. Its leadership and the general membership maintain an open line of communication to ensure a sound, working internal democracy marked by transparency, integrity, and good governance. d. Itsleadershipmakesuseofsoundjudgmentaidedbyscience,reliableresearchandstatistics inallitsdecisionmakingprocessesandinthecraftingofprograms,policiesandadvocacies. ArticleIII DECLARATIONOFPRINCIPLES,OBJECTIVES,ANDPOLICIES Section1.Principles.GreenTeamPilipinasadherestothefollowingbasicprinciples: a. DEMOCRACY: as enshrined in the Constitution, upholding the right of every Filipino to full participationinpoliticialgovernance,respectingdemocratic,politicalandculturalpluralism b. GOODGOVERNANCEANDLEADERSHIP:theconductofpublicorprivateservicedefinedby utmost integrity, transparency, people participation, accountability, effectiveness and efficiency. c. HUMANISM: the accordance of full dignity of human beings by all social units, institutions and instrumentalities above and at the end of every discourse, decision, and legislation regardlessofethnicity,race,religion,belief,andsexualorientation. d. ENVIRONMENTALISM: the sharing of commitment and common global interest in the preservation, conservation and protection of the environment to maintain ecological balanceandthecraftingofandinfluenceinprograms,policies,andlegislationstowardthis endtoattaingenuine,sustainableandintegrativedevelopment. e. MULTICULTURALISM:theaccordanceofequalrightsamongpeoplesofdifferenttribesand ethnicities, the preservation of indigenous cultural communities and minorities, their languages, traditions and practices, and the promotion and crafting of reform policies and legislations towards the promotion and protection of the diversity and cultural rights of thesepeoples. f. SELFDETERMINATION: the right of the Filipino people and the Philippine state to choose freelyinademocraticprocessthekindofsovereigntyandpoliticalidentityorstatuswithout externalinfluenceand/orinterference,andworkingwithinitsallowablespaceandinfluence toupholdssuchprinciple. g. EQUAL PROTECTION OF THE LAW: every Filipino regardless of faith and even nonfaith, ethnicity,socialandeconomiccircumstances,genderandsexualorientationisaccordedthis basic right and all social institutions and instrumentalities, including private organizations shouldworktogethertowardsthepromotion,maintenanceandprotectionofthisright. h. SUBSIDIARITY:theviabilityofregionalandlocalempowermentinpoliticalgovernanceandin

the management and administration of local affairs, with full support and welldefined supportstructureandmechanismaccordedbythecentralornationalgovernment. Section 2. General Objective. Green Team Pilipinas shall endeavor to advance a unified and consolidated initiative on determined public interests, anchored on ideas of constitutional and institutionalreform,capacitybuilding,andequityinoursocietalsystems.Itshallendeavortobuild itself into a strong, independent professional sociocivic and political organization capable of operating and translating its vision into specific programmatic action agenda to influence public policytowardsinstitutionalandpoliticalreforms. Section3.OrganizationalObjectives.Tocarryoutthegeneralobjectives,theGreenTeamPilipinas shallendeavorto: a. expand membership and operations by organizing municipal, city, provincial and regional chapters that will pursue the vision of the organization with autonomy to translate such vision into programmatic and actionable development plan for efficient and effective implementationintheappropriatelevelorareaofoperation; b. raiseawarenessandincreasecivicconsciousnessonsocialissuespertinenttotheadvocacies thattheorganizationpromotebyconductingfocusedgroupdiscussions,publicforumsand consultations, civic projects and outreach activities and encouraging multisectoral participation to sufficiently address common concerns and arrive at a consensus for a unifiedandconsolidatedapproachinofferingviablesolutionstosuchconcerns; c. influencepublicpolicythroughorganizedparticipatorystakeholderanalysisgearedtowards strengtheningcitizenparticipationandincreasedaccountabilityandresponsibilitytosociety; d. holdpublicforumsandroundtablediscussionsoncorereformissuesthataffectthepolitical andeconomiclifeofthestateanditspeopleasameanstoattractmediaattentiontosolicit publicsupportforitsadvocaciesandpertinentprograms; e. link, network, cooperate, collaborate and build strategic and tactical alliances and partnerships with reformoriented organizations, public and private institutions, political partiesandinstitutesandindividualsbasedlocallyandabroadinthepromotionofitscore and extended advocacies and in the translation of these advocacies into specific programmaticandactionableprogramplanforimplementation; f. encourage and promote the culture of professionalism among its members and associates within and outside of the organization; active citizens participation in national and local development initiatives and undertakings; and transparency, accountability and responsibility in the conduct of its internal and external affairs and decisionmaking processesbystrictadherencetotheprinciplesofgoodgovernanceandethicalleadershipas itpromotesandmaintainsaworkinginternaldemocracy. g. design,install,andmaintainasystemoffinancialselfreliance; h. design, manage, develop and institutionalize various anchor and special/seasonal self sustaining programs and civic initiatives that promote the organization and its advocacies andenhanceitspositivepublicimage; i. design, produce and institutionalize a membership orientation program and pertinent resource materials and collaterals to orient members on the philosophy, principles and advocaciesoftheorganization; j. design, manage and develop a political development and leadership training program to preparequalifiedmemberstoassumeleadershipandmanagementroleswithinandoutside of the organization by making resources available and opportunities equally accessible for growthandselfrealization; k. enter into agreements and marketing arrangements with public and private corporations andinstitutionsthatmayofferspecificandlimited,timeboundprivilegesforitsmembersas apublicrelationsstrategy;

acquire, maintain and dispose of properties, funds and other resources necessary to keep the organization in operation and to perform other acts secondary or incidental to the primarypurposeoftheorganization.

Section4.BasicPolicies.ThebasicpoliciesoftheGreenTeamPilipinasareasfollows: a. Leadership positions at all levels and across chapters of the Organization are open to qualifiedregularandduespayingmembersofgoodstanding. b. Subjecttothelimitedresourcesoftheorganization,memberswhoexpressdesiretoenter into elective politics at any given local and/or national elections may obtain the individual member or members or the collective support of the organization, provided that the candidate/sshallpromotetheadvocaciesandhelpenhancetheimageoftheorganization. c. The organization may enter into a coalition of political parties and movements that manifestsfullsupporttoitscoreadvocaciesandmaynominateaqualifiedregularanddues payingmemberasanelectivecandidateundersuchcoalitionsubjecttotheapprovalofits highestpolicymakingandgoverningbody. ArticleIV MEMBERSHIP There are two Membership tracks to Green Team Pilipinas: (1) Regular Membership and (2) AssociateMembership. Section 1. Regular Membership. Membership to the Green Team Pilipinas is a voluntary act, the admissionofwhicharegovernedbythefollowingbasicqualifications: a. MembershiptoGTPisopentoallnaturalbornandnaturalizedFilipinocitizenswhoareof legal age, residing within the Philippines or abroad, a registered voter, and of good public reputationwithnocriminalorderogatoryrecord. b. Applicants for membership shall demonstrate support of and willingness to promote the coreadvocacies,andsubscribeprinciplesofGTPasenshrinedinitsstatutes. c. Membership application has to be supported by two recommendations from regular GTP membersoranendorsementofatleasttwocharacterreferenceswithnobloodrelationsto theapplicant. d. Applications must be accompanied by a full resume or curriculum vitae of the applicant, detailinghisproefessionalexperience,expertise,qualificationsandcompetenciesthatmay beusefulandbeneficialtotheorganization. e. Membership application is on an individual basis. No juridical or corporate membership is allowed. f. Applications for membership can only be reviewed and acted upon by the Membership Committeeuponthefavorableendorsementofthechapterwheretheapplicationisfiled. g. The authority to approve or deny membership application rests solely with the National ExecutiveCommittee(NEC). h. The NEC may approve a membership application in a resolution in regular meeting or in a special meeting called for that purpose, upon favorable endorsement by the Membership Committee. i. The NEC may deny a membership application in a resolution in regular meeting or in a special meeting called for that purpose for valid reasons regardless of the favorable endorsementoftheMembershipCommittee. j. Appealsfordeniedapplicationsshallbedonebytheapplicantinwriting,addressedtothe NECthroughtheMembershipCommittee. k. Deniedapplicationsshallbeaccordedamaximumofthreeappealsforinclusion,following

the process as prescribed in paragraph j, Section 1 hereof, provided the grounds or arguments used in the succeeding attempts are not substantially the same as the first or secondattempts. Membership applications will be processed only upon payment of a onetime registration feeofOneThousandPesos(PhP1,000).Applicantsdeclinedadmissionshallberefundedof theirregistrationfee Regular membership status can only be granted once the applicant has completed the MembershipOrientationProgram(MOP)andaftertheapplicantshallhavesworntheOath ofMembership. TheconductoftheMOPandtheadministrationofOathofMembershipmaybedonejointly orseparately,theconductofwhichshouldtakeplacenotlaterthanthirty(30)daysapart.In the event of noncompliance to this provision, the applicant shall, in writing, explain justifiablytoNECthecircumstancesthatwarrantthenoncompliance. Refusal for take the Oath of Membership at once regardless of reasons shall warrant the nullity of the application, and shall automatically disqualify the applicant from further seekingmembershipintheorganization. Upon granting of full membership status, members shall enjoy all the rights and privileges accordedtofullandduespayingmembers,includingtherighttovoteandbevoteduponin elections.

Section2.Disqualification.Theforegoingprovisionsaresufficientvalidgroundsfordisqualification ofmembersoftheorganization: a. Commission of any act contrary to the basic rules and principles of the Organization pursuanttoArticleXIIIofthisConstitutionandBylaw. b. Membership in any organization whose interests are contrary, inimical and/or detrimental totheinterestsofGreenTeamPilipinas. Section 3. Rights and Privileges. Every Party Member in good standing shall have the following rights: a. Eachregular,duespaying,andgoodstandingmemberhastherighttonominatecandidates toanyelectivepositionintheorganization,voteandbevotedasanofficer,providedthat he/shehasbeenamemberofgoodstandingforatleastsix(6)monthsbeforeanelection. b. Eachmemberhastherighttodemandfromtheofficersaccountabilityonfinancesandother matters for the sake of integrity and transparency, including access to financial records of theorganizationasmaybewarranted. c. Each member shall enjoy equal access to facilities and equipment of the organization, including GTP copyrighted materials, provided all existing copyright infringement laws and regulationsarefullyadheredto. d. Each member or chapter shall enjoy the right to determine activities based on their capacities,includingtheircapacitytofundsuchactivities,providedthattheseactivitiesfall withintheambitandamongtheprioritiesofGTP. e. Each member is entitled to whatever benefits that GTP in the future may accord its memberswithoutdiscriminationastohisorhergender,age,ethnicity,andreligion. f. Each member is entitled to due process and fair arbitration in cases of violation of any, some, or all of the provisions of the GTP rules, regulations, duties, and responsibilities wherebyheorshefacesappropriatedisciplinaryactionfor. g. EachmemberhastherighttobefullyinformedaboutactivitiesofGTP. h. Eachmemberhastherighttoparticipateintheactivitiesofachapterwherehe/shebelongs. i. Each member has the right to express his/her opinions and to offer suggestions, in the proper forum in a manner and means appropriate, with the end on view of promoting interestandcontributingtothedevelopmentandwelfareofGTPanditsmembers.

Eachmemberhastherighttoairhis/hergrievance,fileanycomplaintagainstanyofficeror memberofGTPinthepropervenue. Section 4. Duties and Responsibilities. Every Party Member shall have the following duties and obligations: a. Each member shall abide by Constitution and ByLaws, principles and advocacies of the organization. b. Each member shall comply with the dulypromulgated rules, regulations, guidelines, and decisionsrenderedbytheorganization. c. Each member shall pay in full and on time all membership fees and dues as assessed and mandatedbytheorganizationanddeterminedbyeachchapter. d. Eachmembershallactivelyparticipateinallchapteractivitiesandundertakings. e. Eachmembershallcontributeinanywayandinanymannerheorshecantothepromotion andadvancementoftheprinciples,values,andadvocacies,aswellastraditionsthattheGTP asanorganizationcherishesandhassworntouphold. f. Each member shall respect the cultural, ethnic, linguistic and religious diversity that exists among members and chapters and shall work towards tolerance and harmonious coexistenceamongthemselvesamidstallthesedifferences. g. Each member shall work to advance the interests and promote and enhance a positive image through effective public relations strategies, and protect the integrity of the Organization and shall not in any manner or by any means engage in activities that are inimicaltotheorganizationanditsmembers. h. Eachmembershallsweartosafeguardtheorganizationsconfidentiality. i. Eachmembershallkeephimself/herselfinformedoftheorganizationsactivities,especially inthechapterwherethememberbelongs. j. Eachmembershallendeavorhimself/herselftorecruitmemberstoexpandandstrengthen furthertheorganization. k. Eachmembershallassistfellowmemberwhoareinneedinawaytheycan. l. Itisadutyofallmemberstoregisterandvoteinlocalandnationalelections. Section5.DefinitionofMemberinGoodStanding.Amemberingoodstandingisonewho a. is not delinquent in the payment of his/her membership fees and dues imposed by the Organization; b. isnotundersuspensionforviolationofanyand/orallprovisionsinSection2ofArtcleXIIIof thisConstitutionandBylaws. Section 6. Termination and Restitution of Membership. Membership in the Party shall be terminatedby: a. voluntaryresignation b. expulsion c. removalfromofficeinthecaseofelectedofficers d. death Section7.Restitution.Restitutionofmembershipmaybegrantedonacasetocasebasis,subjectto the approval of the National Council and pursuant to Section 2, Par. A, (v) of Article VIII of this ConstitutionandBylaws. Section 8. Associate Membership. Associate members do not have voting rights with limited participation to Organizational meetings. They are granted the same access to organizational activities, except voting, that promote the principles, core advocacies and programs of the Organization.Theirannualduesaretobedeterminedbytherespectivechapterswheretheybelong.

ArticleV FINANCE Section1.TheEstablishmentofaReliableandEfficientFinancialSystem.Asadulyregisteredlegal organization, Green Team Pilipinas shall endeavor itself to establish a working and selfreliant financial and accounting system and administration to earn, manage, and dispose of funds accordinglyandinviewoftheorganizationsstatedorganizationalgoalsandobjectives. Section2.PermanentFinanceCommittee.Theorganizationshallcreateapermanentcommitteeon finance,alsoknownasfinancecommittee,anddefineitsfunctions,powers,andresponsibilities. Section3.Powers,Functions,andAccountabilities.TheFinanceCommitteeshall: a. have the control of the financial flow of the organization, ensuring a healthy balance betweenrisksandexposures,incomes,andreceivables. a. review all activity proposals with funding requirements to determine capacity and availabilityofresourcesandidentifyshortandlongtermcapitalrequirementsasabasisfor identifyingstrategiestoensurefinancialmobilityandstability b. proposeandrecommendmeasuresandstrategies,aswellsuchformulateclearandeffective financialguidelinesinorganizationalexpenditurestooptimizethelimitedfinancialresources oftheorganization; c. exerciseoversightfunctionsofthemarketingprogramoftheorganization; d. assistthenationalandlocalbodiessuchastheNationalCouncil,NationalExecutiveandlocal chaptersintheplanningandallocationofresourcesoverareasonableoperatingperiodasa basisforcontrollingandmonitoringresults; e. haveagoodgraspofthefuturefinancialneedsoftheorganizationanddesign,develop,and implement a sound, workable financial plan for the organization, defining targets and calculatingrisksforbettermanagementappreciation,reviewandevaluation; f. performsoundfinancialprojectionsvisvistheanticipatedneedforfundsforthevarious undertakingsoftheorganization; g. bring in the necessary funds and other financial resources to maintain a healthy balance sheetandsolidifythefinancialpositionoftheorganizationbyinitiatingresourcegenerating programsandactivities; h. link,network,buildalliancesandformstrategicpartnershipswithpublicandprivatefunding organizations to explore possible arrangements and seek financial assistance to the programsandadvocaciesoftheorganization; i. ensureavailabilityoffundsforthecontinuousoperationoftheorganization; j. prepare accurate, complete and timely audited financial statements in strict adherence to the generally accepted accounting principles (GAAP) in compliance with rules of the regulatoryagenciesofthegovernment; k. exerciseprudence,honesty,transparency,andintegrityintheperformanceofitsdutiesin adherencetotheprinciplesofgoodgovernanceandethicalleadership; l. makeavailabletoofficersandmembersallfinancialrecordsanddealingsoftheorganization atareasonabletimeandvenue; m. itistheresponsibilityofthechairmanoftheFinanceCommitteetoensurethatallpowers, functions and responsibilities of the Committee are satisfactorily performed and exercised andthatallpoliciesarefullyenforcedwithoutfavororbiastooragainstaparticularpartyor memberoftheorganization. Section4.FinancialPoliciesintheRegularConductofBusiness a. Allfundsshouldbeusedproperlyandlawfullyandonlyfordulyapprovedofficialactivities asdefinedandinaccordancewiththisConstitutionandByLaws.

b. Allexpendituresandbudgetaryallocationsshallfallwithintheallowableitemsasdefinedin thisConstitutionandBylawsdulyapprovedandcertifiedbytheNationalCouncil. c. Allexpendituresandbudgetaryallocationsshallhaveabasisintheformofactivity/budget proposalsandresolution/sofapprovalrenderedbytheNationalExecutiveCommitteeina regularorspecialmeetingwithaquorum. d. All budgetary allocations and purchases shall be fully documented for audit and inventory purposes,causingpayeesandrecipientsofallocationsandpaymentstheissuanceofofficial receiptsandvouchersasproofofpayment/purchase. e. All disbursements shall be done or paid using the official checking account of the organizationbearingthesignaturesoftheauthorizedsignatories. f. Official documents for disbursements such as checks and check and cash and petty cash vouchersshallbearthesignatureofthedulyauthorizedsignatories. g. Allfinancialtransactionsshallbeaccountedforaccuratelyandproperlyandthereshouldbe noundisclosedandunrecordedfundsorassetstobemaintainedforanypurpose. h. Except for occasions and instances where prior approval is deemed impossible and/or impractical,nopaymentorexpenseshallbereimbursedwithoutthepriorapprovalbythe authorizedofficer/softheorganization. i. All cash or check payments shall be deposited directly to the official account of the organization. j. The organization maintains a policy of not dealing with middlemen in the course of its financialtransactions,andtherebyprohibitspayingthemwithfacilitationfees. k. Beyond honest recommendation, members and officers are prohibited from lobbying, curryingfavor,oractingasfacilitator,agent,orbrokeronbehalfofthirdpartyentitiesdoing officialbusinesswiththeorganization. l. Financialdataforsubmissiontodonorsandpartners,regulatorybodiesofthegovernment, membersandofficersoftheorganizationmustbeaccurate,completeanduptodate. m. It is the responsibility of the Chairman of the Finance Committee to ensure that all disbursements have gone through the proper procedures as expressly stated in this ConstitutionandBylaws. Section5.InternalFinances,Advances,EmergencyDisbursements,andRefunds a. Personal loans or advances are not allowed under any circumstances other than rent or traveladvances,andshouldbeaccountedforandliquidatedwithin15dayscompletewith the necessary supporting documents and official receipts. A written explanation shall be requiredforliquidationsaftertheprescribedperiod. b. The organization through the Finance Committee may allow salary or compensation advances among its paid staff, provided the amount be paid within the thirty days upon disbursementandtheamountbeingadvancedshallnotbehigherthantheamountofafull monthsalaryorcompensationofthesaidpaidstaff. c. Exceptduringemergencyorpressingnecessity,noofficerormemberisallowedtomakea personaladvancepaymenteventoanallowedandapprovedpurchaseexpenseonbehalfof theorganization,therebydisallowingrefundforsuchanexpense. d. Members/officers should submit the original documents such as official receipts and vouchers in claiming refund at the Finance Committee, subject to the approval after a reviewbytheCommitteeChairman. e. Refundsmaybefullorpartialdependingontheeligibilityoftheexpensesincurred. Section6.SpecialDisbursement a. Disbursement procedures other than what are defined and stated in this Constitution and BylawsmaybeundertakenbytheBoardofTrustees,providedthatanyprovisionshallnot becontrarytoanyoftheexistingprovisionshereof.

Section7.ExternalBorrowing.Theorganizationmayborrowfundsfromexternalsourcesinpursuit ofitsgoalsbymeansofaCouncilResolutionapprovingsuchborrowing,signedbytwothirdsofthe membersoftheNationalCouncil. Section8.ListofApprovedandAllowableExpense(Official) a. Officeequipmentandsupplies b. Rentalsandpaymentsofequipmentandutilities c. Staffsalaries,fees,honoraria d. Official activity costs such as purchase of medicines for outreach, food for volunteers, gasoline,etc. e. Paymentsofpermitstoregulatoryagenciesofthegovernment f. Accreditationfees,wherefeasibleandapplicable g. Officialrepresentationandtravelallowances h. Gratuities,gifts,andbusinessentertainment i. Donationstoeligiblecharitableinstitutions j. Membershiptraininganddevelopmentprograms k. Officialplanningactivities l. Incidentalcostschargedintheperformanceofofficialdutiesandfunctions Section 9. Fundraising Proceeds. The organization shall undertake fundraising programs and activitiestosupportitsadvocacies. a. Each chapter is encouraged to be selfreliant by engaging in any fundraising activity that promotes the organization and its advocacies, principles and values, provided that such activity is lawful and does not in any manner compromise the integrity and image of the organization. b. Thechapterundertakingfundraisingshallkeep100%oftheproceedsfromsuchactivity. Section10.PoliciesonDonations Alldonationsintheformofcashmustbedeposited100%toapprovedGTPbankaccount a. Monetarydonationstotheorganizationintheformofcheckorcashmadebyanonymous donorsshallbeacceptable,howeverisshallbefullydeclaredanddocumented,andshallbe treatedasspecialfundsforunprogrammedexpense. b. Regular donations are subject to the usual accounting and documentation procedure, and whosedonorsshallbefullyrecognized. c. Unlessspecified,allmonetarydonationsintheformofcashandcheckshallgotothecentral coffersoftheorganization. d. Donationstospecificchapters,whetherinmonetaryorinotherform,shallgotothecoffers and/oraccountofthesaidchapter,providedthatthesaidchapterdeclaresuchdonationsto the central treasury for accounting and recording purposes. Provided further, that the proceedsofsuchdonationshallbeusedsolelyfortheofficialundertakingsandactivitiesof thechapterasprescribedinthisConstitutionandBylawsnotforthepersonalconsumption ofsomeorallofthemembersofthesaidchapter. e. Incasesofpropertydonationstoachapterthatdoesnothavethecapacitytooperateand maintainsuchdonations,thecentraltreasurymayreceivethedonationandutilizethesame for the official undertakings of the organization, provided that the chapter for which the donationwasmadeshallexecuteawaivertosuchdonations.However,subjecttofeasibility and availability, and after executing a waiver of donation, the chapter for which the donationwasmademayavailorusethedonatedpropertyforofficialchapterundertakings andactivities.

ArticleVI PAYMENTS,FEESANDDUES Section 1. Onetime Enrolment Fee. The organization shall set a onetime joining fee of One Thousand Pesos (P1,000.00) to those applying for membership in the organization. This amount coversthecostoftheproductionofmembershipIDcardandtheGreenBookcontainingthestatutes andConstitutionandBylawsoftheorganization. Section2.AnnualDues.TheNationalCouncilshallsetaminimumamountforannualmembership dues,takingintoconsiderationtheeconomicrealitiesofthedifferentregionswherelocalchapters operate.Belowistheprescribedminimumannualmembershipdues: a. AminimumofP500.00peryearformembersofchaptersintheNationalCapitalRegion. b. AminimumofP300peryearformembersofcitychaptersoutsidetheNCR. c. AminimumofP200peryearformembersofmunicipalchapters. d. Membership dues for provincial and regional chapters shall be determined once these chaptershavebeenconstituted. Section2.AllocationofAnnualMembershipDues.Membershipduesshallbeallocatedasfollows: a. Eightypercent(80%)goestothelocalchapter. b. Twenty percent (20%) goes to the National Executive Committee, through the central coffers. c. The eighty percent (80%) share of the local chapter shall be allocated to the membership recruitment,traininganddevelopmentfund. Section 3. Special and Other Fees. Special fees and assessments may be imposed by the National ExecutiveCommitteeonmembersinconsultationwiththechapters. Section4.ModeofPayment. a. All membership application fees, annual dues and other fees shall be deposited to the officialaccountoftherespectivechapterwhereanapplicantwishestobelon,orthroughthe officialaccountofthecentralcoffersinthecaseofchaptersthatdonothaveyetanofficial bankaccountbutwithremittancearrangementwiththecentraltreasury. b. Oncertainoccasionsandconditions,aninstallmentpaymentoftheonetimejoiningfeecan beallowed. c. It is the duty of an applicant to keep his/her record or proof of payment. He/she may be required to present those when he claims his/her membership ID, and other official documentsissuedbytheorganization. ArticleVII CHAPTERS Section1.BasicChapterFormationandAccreditation.Thefollowingarebasicchapterguidelines: a. Atleasttwenty(20)duespayingregularmembersshallbeorganized,withacompletesetof officersasprescribedtoformabasicchapterineithercityormunicipality. b. Upon organization, and after paying fully the membership fees, and after undergoing an orientation,thechaptershalladviseinwritingtheNationalCouncil(NC)tostartthechapter accreditationprocess,whichconsistsofareviewbytheNationalExecutiveCommittee(NEC) onthesatisfactorycompliancetotherequirementsforchapteraccreditation. c. Upon satisfactory compliance, the National Executive Committee shall recommend to the NationalCouncilthegrantingoftheaccreditation.

d. Theaccreditationprocessshallonlycommenceuponfullpaymentofall20membersoftheir onetimemembershipjoiningfees. e. Only the NC has the power to grant chapter accreditation status by virtue of a resolution signedbytwothirdsofallmembers. f. The National Council has the sole authority to deny, hold in abeyance, and revoke accreditationofachapteronvalidgrounds. g. Deniedchapterapplicationscanbeappealeduptoamaximumofthreeappeals. Section 2. Secondary Chapters. Secondary chapters are a federation of organized and fully functioningPrimaryChapterscomposedofMunicipalChapterscomprisingaprovinciallevelchapter. Secondarychaptersshallbeformedunderthefollowingcriteria: a. Fiftypercentone(51%)ofmunicipalitiesinaprovincehaveorganizedandfullyfunctioning municipalchapters. b. Acombinedfifty(50)regular,fullypaidandduespayingmembersofgoodstanding. Section3.CityChapters.CityChapterssharethenatureandcharacterofSecondaryChapters.City Chaptersshallbeformedunderthefollowingcriteria: a. Fiftypercentone(51%)ofbarangaysinacityhaveorganizedandfullyfunctioningmunicipal chapters. b. Acombinedfifty(50)regular,fullypaidandduespayingmembersofgoodstanding. Section4.TertiaryorRegionalChapters.RegionalChaptersarecomposedoffederated,organized andfullyfunctioningprovincialchapters.RegionalChaptersshallbeorganizedunderthefollowing criteria: a. Fifty percent one (51%) of provinces in a region have organized and fully functioning provincialchapters. b. Acombinedonehundred(100)regular,fullypaid,duespayingmembersofgoodstanding. Section5.LocalChapterOfficers.Thefollowingpositionsshallbefilledupinthemunicipalandcity chapters: i. ChapterPresident ii. ChapterVicePresident iii. Secretary iv. Treasurer v. MembershipOfficer vi. FinanceOfficer vii. Programs,Policies,andAdvocaciesOfficer viii. OperationsOfficer ix. PublicAffairsOfficer x. ArbitrationOfficer Section6.ChapterRolesandFunctions.Themunicipalandcitychaptersshall: a. serveastheprimarycollectiveoftheorganizationwhereitsprogramsandadvocaciesand variousreformorientedactivitiesarecarriedout; b. be the basic repository of membership records, and thus shall implement a system to managesuchrecords; c. carry out the goals and objectives of the organization by performing collectively and in an organizedmannertherolesandfunctionsofthemembersandthecommitteesasdefinedin thisConstitutionandBylaws; d. design, develop and implement localized programs and activities based on the core advocaciesandinviewoftheorganizationalgoalsandobjectives;

e. promotethecultureofvolunteerisminthecontextofcollectiveandproactiveresponsein the design, development and implementation of chapterbased and chapterspecific programs;and f. endeavor to create and establish its own unique, local identity or color in the spirit of multiculturalism. Section7.ChapterDutiesandResponsibilities.Itistheresponsibilityofeachchapterto: a. manage, supervise and direct its development and expansion in view of the goals and objectives, guided by the principles, and anchored on the core advocacies of the organization. b. performinacollectiveandorganizedmannerthedutiesandresponsibilitiesofthemembers andcommitteesoftheorganizationasdefinedinthisConstitutionandBylaws; c. determine their activities to be chapterspecific with the end in view of attaining the organization goals and objectives, anchored on the core advocacies and guided by the principlesoftheGreenTeamPilipinas; d. consultwithnationalbodiessuchastheNationalExecutiveCommittee,theNationalCouncil and the National Secretariat in the design, planning, development and implementation of their chapterbased and chapterspecific activities in accordance with the organizational principles,goalsandobjectivesandcoreadvocacies; e. submitacvivityandinternalreports,onaregularbasisorasoftenasnecessitywarrantsit,to the National Secretariat in the absence of the middle channels such as the provincial and regionalchapters. ArticleVIII NATIONALORGANSANDFORMATIONS Section1.TheNationalAssembly.TheNationalAssemblyshallbethehighestgoverningandpolicy makingbodyoftheOrganization. a. Powers.TheNationalAssemblyshallhavethefollowingexclusivepowersto: i. electthenationalofficersoftheOrganization,comprisingthefollowing: 1. NationalChair 2. NationalViceChair 3. NationalPresident 4. NationalVicePresidentforMembership 5. NationalVicePresidentforFinance 6. NationalVicePresidentforProgramsandAdvocacies 7. NationalVicePresidentLegalandPublicAffairs 8. NationalTreasurer 9. NationalAuditor 10. NationalArbiter 11. NationalOmbudsman 12. NationalSecretaryGeneral ii. ratifyandamendtheConstitutionandBylawsoftheOrganization; iii. amendandrevisetheOrganizationsNationalActionAgenda;and iv. act on the recommendations submitted to it by the National Council and National ExecutiveCommittee. b. Delegation.RepresentationtotheNationalAssemblyisproportionaltothemembershipof localchaptersandnationalbodiesandorganformations,andshallconsistofthefollowing: i. RepresentativesfromtheMunicipal,City,Provincial,andRegionalChapters ii. MembersoftheNationalCouncil

iii. MembersoftheNationalExecutiveCommittee iv. MembersoftheNationalSecretariat v. MembersoftheNationalAdvisoryCouncil c. RegularAssembly.TheRegularNationalAssemblyshallconveneonceayear. d. SpecialAssembly.ASpecialAssemblymaybeconveneduponthepetitionofatleast2/3of alltheMembersoftheNationalCouncilorbya3/4ofthegeneralregularmembership. Section2.TheNationalCouncil.TheNationalCouncilshallbethegoverningandpolicymakingbody oftheOrganizatoninbetweennationalassemblies. a. Powers.TheNationalCouncilshallhavethefollowingexclusivepowersto: i. select and appoint at least three (3) members to the permanent National Committees, comprising the committees on Membership, Finance, Programs and Advocacies,andLegalandPublicAffairs; ii. formulatetheOrganizationsofficialstandonnationalorregionalissues/concerns; iii. approvetheOrganizationsNationalActionAgenda,theNationalStrategicPlan,and review anyproposal for amendments/revisions to the Organizations Constitution andBylawsbeforesubmissiontotheNationalAssemblyforratification; iv. to promulgate the Bylaws, rules and regulations and formulate policies and guidelinesoftheOrganizationwhennecessitywarrants; v. to act on recommendations submitted to it by the National Executive Committee, includingmembershiprestitutionforvalidreasons; vi. to create a Commission on Elections (COMELEC) to oversee the conduct of its internaldemocraticexercise; vii. tocreatecommittees,specialbodiesandformationswhennecessary; viii. toresolvewithfinalityallelectoralprotestsdowntothemunicipalchapterlevel; ix. topromulgateitsowninternalrulesandregulationstofurtherstrengthenthesame. b. Composition.TheNationalCouncilshallbecomposedofthefollowing: i. NationalChair ii. NationalPresident iii. NationalSecretaryGeneral iv. NationalOmbudsman v. One(1)representativefromeachoftheLocalChapter vi. One (1) representative from each of the following groups within the Organization: (a)women,(b)youngprofessionals,(c)seniorcitizens,(d)businessandfinance,(e) legal profession, (f) academe, (g) public service [elective], (h) government service [appointive,(i)media,(j)religious vii. ChairEmeritus c. MannerofElection i. ExceptforLocalChapterRepresentatives,allmembersoftheNationalCouncilshall be elected by a plurality vote of all the voting members of the National Assembly fromnominationsmadebyanyMemberoftheOrganizationingoodstanding. ii. LocalChapterRepresentativesshallbeelectedbytheirrespectivechapters. iii. TheChairEmeritusshallbechosenbyacclamationbytheNationalCouncil. d. Meetings. The National Council shall convene within 30 days after the National Assembly andeverythree(3)monthsthereafter. e. Vacancies.IncasesofvacanciesintheNationalCouncil,theCouncilshallfillsuchvacancies inthefollowingmanner: i. VacanciesamongChapterRepresentativesshallbefilledfromamongthenominees fromtheareasconcerned. ii. Vacancies in the National Executive Committee shall be elected from among the MembersoftheNationalCouncil.

Section3.TheNationalExecutiveCommittee a. Powers.TheNationalExecutiveCommitteeshallhavethefollowingpowersto: i. appointthefollowingofficersintheNationalSecretariat ii. approvetheprogramandagendaforallmeetingsoftheNationalCongressandthe NationalCouncil; iii. approveallfeesandannualduestobeimposedonmembersoftheOrganization; iv. ensuretheprovisionoftheoperationalneedsoftheOrganization;and v. ensure the implementation of the Organizations plans, programs and policies in accordance to its goals and objectives anchored on its principles and core advocacies. b. Composition.TheNationalExecutiveCommitteeshallbecomposedofthefollowing: i. NationalPresident ii. NationalVicePresidentforMembership iii. NationalVicePresidentforFinance iv. NationalVicePresidentforProgramsandPolicies v. NationalVicePresidentforLegalandPublicAffairs vi. TheNationalSecretaryGeneral vii. NationalTreasurer viii. NationalAuditor ix. NationalArbiter Section4.TheNationalAdvisoryCouncil.TheOrganizationshallutilizethetechnicalexpertiseofits seniormembers,associatesandfriendscomingfromthedifferentsectorsandinstitutionswhoshall contributetotheachievementoftheOrganizationalgoalsandobjectives. a. Role of the National Advisory Council. The National Advisory Council shall be the technical assistance arm and consultative body of the National Council and the NationalExecutive CommitteeonmanagementandstrategicoperationalconcernsoftheOrganization. b. Composition,NominationandElection.TheNationalAdvisoryCouncilmaybecomposedof as many members from the different sectors and professions nominated and approved by theNationalCouncil. c. TheNationalAdvisoryCouncilshallbepresidedbytheChairEmeritus. Section5.OtherCommitteesandFormations.TheNationalCouncilmaycreateotherpermanentor ad hoc committees and formations that shall address specific sectoral and national issues and concernspertinenttothecoreadvocaciesoftheOrganization.Thismayincludeformalpartnerships andallianceswithelectedlocalornationalofficialsofthegovernment,politicalpartiesandinstitutes andothersimilarbodies. ArticleIX NATIONALEXECUTIVEOFFICERS Section1.TheNationalChair.TheNationalChairshall: a. betheheadandpresidingofficeroftheNationalCouncil. b. serveasaCoPresidingofficeroftheNationalAssembly. c. alsobetheprimaryspokespersonoftheOrganization. d. together with the National President, be the official representative of the Organization to relevantlocalandinternationalconferences,forums,discussions,dialogues,assembliesand similaractivities.

Section2.TheNationalViceChair.TheNationalViceChairshall: a. assume the responsibilities of the National Chair in the case of the latters incapacity, resignation,removalfromofficeordeath. b. presideoverorheadaregularorpermanentcommitteeandshallperformotherfunctions asrequiredbytheNationalCouncil. Section3.TheNationalPresident.TheNationalPresidentshall: a. together with the National Chair, be the official representative of the Organization to relevantlocalandinternationalconferences,forums,discussions,dialogues,assembliesand similaractivities. b. assumeoversightresponsibilityoftheOrganizationsoperations. c. bethePresidingOfficeroftheNationalExecutiveCommitteeandCoPresidingOfficerofthe NationalAssembly. d. actasthechiefexecutiveofficeroftheOrganizationwhodirectstheimplementationofits plansandprograms,policiesandadvocacies,andmanageandsuperviseitsoperations. e. exercise the authority to disburse funds for the annual general budget approved by the National Executive Committee and other disbursements necessary in the operation and maintenanceoftheOrganization. Section 4. The National VicePresidents. There shall be four (4) National Vice Presidents for Membership,namely:NationalVicePresidentforMembership,NationalVicePresidentforFinance, NationalVicePresidentProgramsandAdvocacies,andNationalVicePresidentforLegalandPublic Affairs. The National VicePresidents shall perform specific functions and shared tasks. When the National President is incapacitated, resigned, removed from office or in the case of death, the NationalCouncilshallappointfromamongthefourNationalVicePresidentsasanInterimPresident whoshallservetheremainderofthetermoftheNationalPresidentincaseofthelattersincapacity, resignation, removal from office or death. All these four (4) vice presidents shall preside over or headaregularorpermanentcommitteeandshallperformsuchotherfunctionsasmayberequired ofthembytheNationalChairortheNationalExecutiveCommittee. a. TheVicePresidentforMembershipshall: i. assumetheprimaryresponsibilityofexpandingthemembershipbasebyrecruiting memberstotheOrganization; ii. design, develop, and implement, upon approval by the National Executive Committee,anOrganizationwidemembershiprecruitment; iii. design and develop a membership orientation and training and development programsforthemembersoftheOrganization,togetherwiththeVicePresidentfor ProgramsandPolicies; iv. workwithlocalchaptersonmembershipexpansion,educationanddevelopment; v. ensure the full implementation of membership policies of the Organization as providedforinArticleIVofthisConstitutionandBylaws;and vi. perform other duties and responsibilities as may be required by the National ExecutiveCommittee. b. TheVicePresidentforFinanceshall: i. bethechieffundraiseroftheOrganization; ii. ensure the full implementation of the finalcial policies of the Organization as providedforinArticleVofthisConstitutionandBylaws;and iii. perform other duties and responsibilities as may be required by the National ExecutiveCommittee. c. TheVicePresidentforProgramsandAdvocaciesshall: i. assumetheprimaryresponsibilityinthepromotionandfurtherdevelopmentofthe Organizationscoreadvocaciestoattainitsvision,goalsandobjectives;

ii. provide content, substance and specific action plans to the core advocacies of the Organization; iii. design, develop and implement, upon approval by the National Executive Committee,acomprehensiveOrganizationwideStrategicProgramsandAdvocacies ActionPlan; iv. reviewallprogramandprojectproposalstoensurethatcontents,message,andthe objectivesofsuchproposalsareinfullalignmentwiththeOrganizationalprinciples, purposes,goalsandobjectivesandpriorities,togetherwiththethree(3)othervice presidents; v. perform other duties and responsibilities as may be required by the National ExecutiveCommittee d. TheVicePresidentforLegalandPublicAffairsshall: i. be primarily responsible for the design, development and implementation, upon approval of the National Executive Committee, of the Organizations Strategic CommunicationsPlan ii. designanddevelopcommunicationstrategiestopromotethecoreadvocaciesand enhancetheimageoftheOrganization; iii. engageandutilizealltheavailablemediaandsocialnetworksontheInternetinthe promotion and projection of the principles, core advocacies and an image of integrityoftheOrganization; iv. ensure that all official communication materials emanating from the Organization, especially those intended for public consumption, shall be free of any libelous, derogatory, defamatory, racist, and genderinsensitive statement/s or any other type or form of offensive statement or element that warrant censure or legal sanctionfortheOrganization; v. articulatethevision,mission,goalsandobjectives,principlesandcoreadvocaciesof theOrganizationinallitscommunicationprogramsandcollaterals;and vi. perform other duties and responsibilities as may be required by the National ExecutiveCommittee. Section5.TheNationalTreasurer.TheNationalTreasurershall: a. haveprimarycustodialresponsibilityofalltheOrganizationsfundsandotherresources. b. ensurepromptandpropercollectionofalldues,paymentsandotherreceivablesinfavorof theOrganization. c. certifytoavailabilityoffunds,disbursesuchfundsinamannerandsystemapprovedbythe National Executive Committee and based on the financial policies in this Constitution and Bylaws. d. maintain an accurate financial report and records of the Organization and submit these to theNationalExecutiveCommittee. e. assisttheNationalPresidentinthePreparationoftheannualbudgetoftheOrganizationfor theapprovaloftheNationalExecutiveCommittee. Section6.TheNationalAuditor.TheNationalAuditorshall: a. havethepowerstoreviewandauditallthefinancialtransactionsoftheOrganization. b. reporttotheNationalExecutiveCommitteehis/herfindingsonthemannerandprocedure by which all the financial transactions were undertaken by the authorized officers of the organization. Section7.TheNationalArbiter.TheNationalArbitershall: a. be the chief mediations and reconciliation officer for all disputes within the Organization involvingindividuals,committeesandchapters.

b. recommend the formation of special body, task force, or committee to the National ExecutiveCommitteetoaddresssuchdisputes c. submit his/her findings and recommendations to the National Council for appropriate action. Section8.TheNationalOmbudsman.TheNationalOmbudsmanshall: a. be the chief implementer of the Code of Conduct and Discipline expected of all members andofficersoftheOrganization. b. bethechiefinvestigatorandprosecutorofcasesfiledbyanymemberorofficeragainstany memberorofficeroftheOrganization. c. initiate investigations, processes and procedures for the prosecution and disciplinary proceedings of cases on performance, responsibilities, functions, and official conduct membersandelectedofficersoftheOrganization. d. recommendtoNationalExecutiveCommitteethecreationofspecialbodiesorcommittees tohandleinvestigationsandprocessesofsuchcases. e. submit his/her findings and recommendation to the National Executive Committee for appropriateaction. Section8.TheNationalSecretaryGeneral.TheNationalSecretaryGeneralshall: a. bechiefadministrativeofficeroftheOrganizationinchargeofthedaytodayoperationsof theOrganization. b. implementthedirectivesoftheNationalExecutiveCommittee. c. EnsurethesafetyandaccessibilityoftheOrganizationsrecordsanddocumentsforofficial purposes. d. assist the National President in the management and oversight of the Organizations operations, including resource generation and allocation, research and development, recruitment,liaison,documentation,communications,andpublications. e. coordinate the activities of the Organization in its various chapters for information and publicationpurposes. f. prepare the agenda, minutes and program for all meetings of the National Assembly, the NationalCouncil,andtheNationalExecutiveCommittee. g. establish and maintain the National Secretariat and preside over all meetings of the same and hire or cause the hiring of qualified staff and/or volunteer to assist him/her in the performanceofhisfunctions,dutiesandresponsibilities. h. Perform other functions, duties and responsibilities required of him/her by the National ExecutiveCommittee. ArticleX THENATIONALSECRETARIAT Section 1. Functions. The National Secretariat shall be the chief administrative, coordination and operationsarmoftheOrganization,ensuringtheefficientandeffectiveperformanceofalloperating committeesandnationalorgansoftheOrganization. Section 2. Local Secretariats. Secretariats in local chapters may be established and maintained by theNationalSecretariatorbythelocalchaptersasresourcesandnecessitiesmayrequire.

ArticleXI MEETINGS Section 1. Regular Meetings. A regular meeting shall be held by each unit, committee or body, including all chapters in the Organization to discuss its business, plans and activities, the date and venueofwhichshallbeagreedandapprovedbythesimplemajorityofthesame. Section2.Quorom.AsimplemajorityofallitsMembersshallconstituteaquorumforameetingof anyunit,committeeorbodyintheOrganization. Section3.Decisions.Nodecisionofanyunit,committeeorbodyshallbevalidandbindingifarrived atintheabsenceofaquorum. Section4.Motions.UnlessotherwiseprovidedforinthisConstitution,asimplemajorityvoteofthe memberspresent shall sufficeto approveanymotionduring ameetingbyanyunit, committeeor body. Section 5. Special Meetings. Special Meetings may be held only upon a written notice to all Membersconcernedatleastfive(5)daysbeforethedateofthesaidmeeting. ArticleXII ELECTIONANDSELECTION Section1.ElectionofOfficers.AllofficersoftheOrganizationshallbeelectedbypluralityofvotesof therespectivebody,unitorchapter. Section2.DateofElection.ElectionsforNationalpositionsshallbeheldonthe26thofAugustevery year.Electionsinthelocalchaptersmaybeheldearlierthantheelectionsforthenationalpositions. Section 3. Terms of Office. All elected officers shall serve the Organization for one year, unless otherwiseprovidedforinthisConstitutionandBylaws. Section4.LimitationonElectivePosts.Nomembermayholdormaybevotedtomorethanone(1) electivepostwithintheOrganization.InthecaseofchapterrepresentationtotheNationalCouncil and National Assembly, the local chapters mere nominate their representatives to such national bodies. Section 5. Participation to Elective Politics. It is the policy of the Organization not to participate directly in elective politics by fielding a candidate from among its members, nor it shall allow any member to recruit from among its ranks for membership to any of the existing political parties registeredwiththeCommissiononElections(COMELEC)ofthePhilippines. ArticleXIII DISCIPLINEANDINTERNALDEMOCRACY Section1.CodeofDiscipline.TheOrganization,throughtheOmbudsman,shallformulateaCodeof Discipline prescribing all procedures and guidelines pertinent to arbitration and discipline and implementtheseuponapprovalbytheNationalCouncil.

Section2.GroundsforDisciplinaryAction.Disciplinaryproceedingsmaybeinitiatedbyanyofficer ormemberagainstanyofficerormemberbyfilingcomplainstonanyofthefollowinggrounds: gross violation of the Constitution and Bylaws, policies,rules and regulations, or decisions of the Organization: a. grossviolationoftheConstituionandBylawsoftheOrganization b. malversationoftheOrganizationsfunds; c. misrepresentationoftheOrganization; d. failure in the performance of official duties, which includes attendances to regular and specialmeetings; e. nonpaymentofdues,feesorassessments; f. grossmisconduct; g. abuseofauthority; h. violence and/or discrimination in any form against any member, on the basis of gender, belieforonnonbelief,ethnicity,andculture;and i. anyactinimicaltotheinterestsoftheParty Section3.SanctionsandPenalties.Thefollowingsanctions/penaltiesshallbemetedonanyofficer ormemberifhe/isproveninviolationofArticleXIII,Section2ofthisConstitutionandBylaws: a. Suspension b. Fine c. Expulsion d. Removalfromoffice Section4.Additionaland/orOtherSanctions.Thefollowingadditionalsanctionsmayalsobemeted ontheerringofficerormembers: a. Reprimand b. Censure Section 5. Decision. Unless overturned by the National Council, the decision of the National ExecutiveCommitteeshallbefinal. Section6.RulesofArbitration.TheNationalArbitershallformulateRulesofArbitrationprescribing allprinciples,procedures,andguidelinespertinenttothearbitrationofinternaldisputeswithinthe Organization. ArticleXIV AMENDMENTSANDIMPLEMENTINGRULESANDREGULATIONS Section1.AmendmentsandRevisions. a. Proposal. Amendments and revisions to this Constitution and Bylaws may be proposed in writingtotheNationalCouncilbyanyMemberingoodstanding. b. Approval.IfapprovedbytheNationalCouncil,afterduedeliberations,byatwothirds(2/3) majorityvoteofallitsMembers,suchamendmentandrevisionproposalshallbesubmitted totheNationalAssemblyforratification. c. Amendments and revisions. Proposed amendments and revisions shall be ratified by the NationalAssemblybyatwothirds(2/3)majorityvoteofallitsMembers. Section2.BylawsandImplementingRulesandRegulations.Upontheadoptionofamendmentsor revision of this Constitution and Bylaws, the National Council shall convene to formulate the ImplementingRulesandRegulations.

ArticleXV EFFECTIVITY ThisConstitutionandByLawsshalltakeeffectimmediatelyuponitsapprovalandratificationbythe appropriatebodyoftheOrganization,totheprovisionsofArticleXIVofthisConstitutionsandBy Laws.
