Table Introductions involved the attending Rotarians and One guest introduced by Mitch Brown Eric Mayer with DOJ. The Anniversary and
Birthdays of members were introduced for month of June.
President Amy asked the Evaluation Team Presentation of Monday Club to begin. David Pittman described the text of the presentation while
Sunrise Member Bill Short operated the Presenter. Pittman recognized the volunteer efforts of the Evaluation Team as exceptionally and com-
mented both clubs were well served by these member efforts.
Bill Short, Harrel Wilson, Perry Reniff, Rod Ritchie, Dee Fairbanks an Pittman were core team members. Great assistance was provided by
Dick Waugh, Amy Jernigan, Howard Sands, Lori Rogers, Jack Taylor an others.
Mr. Pittman described the following text in detail for membership to absorb as Bill Short operated the slides. Please review the text for your
consideration and scheduled vote for the next regular meeting.
ROTARY AND THE MONDAY CLUB
WHY ARE THEY GIVING US THE BUILDING?
The Monday Club womens group is aging and. They worry that their club
might not last forever. They reached out to Rotary because of its good reputa-
tion.
WHAT IS THE TAKEOVER COST?
There is no mortgage. The building is paid for. There is no dollar cost to Ro-
tary. However, for the womens club giving us the building, Rotary will prom-
ise the womens group certain things in exchange. The promises are binding
because they are legal consideration for a contract, that which is bargained
for in exchange. They are:
1. To maintain the structure.
2. To maintain its identity as The Monday Club, although we can add: The
Home of Rotary in Oroville.
3. Permit the womens club to use it for their regular Monday meetings.
4. Permit the womens club to use it for their own fundraiser events, up to two events per quarter (three months), but these events are not rentals.
Rotary will have the right to market rentals.
5. The new governing board will keep a master calendar protecting the regular club meeting dates of all three clubs, and all three clubs will
have equal access to calendaring other dates on a frst come, frst served basis. Ample time will be recognized for set up and clean up of various
events.
6. We will invite a member of the womens group to sit on the governing board.
CAN WEAFFORD THE MAINTENANCE?
The building has paid for itself for more than 80 years with rentals managed by the womens club. It is an attractive, mid- sized facility for par-
ties, weddings, receptions, and other events, including stage productions. It seats a little more than 100 persons in dinner style and about twice
that in theater seating. It will continue to pay for itself if we do nothing more than continue what has been done. Certain improvements and more
aggressivemarketing can actually produce more revenue.
WHAT ARE THE NUMBERS?
We have examined income and expense records of the womens group. The overallaverage cost of maintaining the building is approximately
$900 to $1,000 per month. Their overall rental revenue is about the same, with seasonal differences and occasional donated items from the ladies,
like toilet paper, soap and towels. One rental this summer will generate approximately $2,500 more revenue than cost. Part of the monthly cost
average is property tax. Once recognized by the county, the non- proft status of the property would eliminate property tax. The womens group
was incorporated as a non- proft in 1911, had apparently never applied for non- proft tax status, but for more than 80 years, maintained the build-
ing with rental income.
WHO WILL BE THE NEW OWNER/MANAGER?
The two Oroville Rotary Clubs will form a new, joint 501(c)(3) not- for- proft Foundation. Each club will select three members to serve as Trust-

ees. The goal is to have equal representation without reference to membership
differences. Those six Trustees will be joined by a seventh from the womens
group if they chose to have a voting member on the board. The new Founda-
tion will own and maintain the building. The Foundation will be independent
from the two Rotary Clubs. The Foundation Board will control the building
use, have its own bylaws and procedures, and have its own bank accounts, as
necessary for a non- proft. Rental income will remain with the Foundation un-
less at some point the Foundation Board votes to refund seed money, although
theremay be restrictions on moving funds from a non- proft.
IS THERE NEED FOR STARTUP FUNDS?
We will detail needs later. The fact- fnding committee is aware that certain
repairs and or improvements are indicated and that both Rotary Clubs have
substantial Certifcates of Deposit generatingsmall amounts of interest that
have been renewed annually for several years. The committee is aware that
RotaryInternational prefers that clubs not keep large sums of cash. The com-
mittee recommends that each of the two clubs donate $10,000 as startup or
seed money for the new Foundation. That amount will more thancover any
repairs and it is not critical for taking ownership of the building. If a club
needs more time to debate the amount, we ask that we proceed frst on the question of taking ownership and later on the seed money.
WHAT WILL BE THE BIGGEST CHALLENGE?
Marketing the facility and managing rentals will be the largest task for the Board. Personnel must be available to establish a master calendar,
answer inquiries, show the facility to prospective users, make rental agreements, collect deposits, police the use of the facility, inspect cleanups,
settle disputes, and make refunds. The ladies have done this well and have hired people from time to time as funds allowed.
IS THE BUILDING SOUND?
Built in 1931, the theater style building is actually in very good shape for its age. With fnancialsupport from both clubs,the fact- fndingcommittee
has three members from each club, including two contractors. We made numerous on- site visits and conducted formal inspections with the City
of Oroville and four separate professional inspectors. No urgent or major repairs were identifed, but there are some minor concerns, like dripping
faucets, two leaks in the roof that need patching before winter, some associated dry rot, some termites, and some brick degradation. Experts tell us
these are not urgent or expensive. The brick repair is considered cosmetic, sealing or replacing a few bricks. The largest repair indicated, should
the new board elect to do more than patching the roof, is replacing a portion of the roof for about $7,000.
IS THE KITCHEN UP TO DATE?
No. The ladies currently allow it to be used only for warming and serving food, not preparing food, other than their own. Current fre and health
standards require some very expensive upgrades, including several thousand dollars for a fre suppression unit over the stove. The warming
only limitation has been acceptable to all recent renters, who arrange for private food catering. Owners can prepare their own food in the kitchen,
however for the Rotary Clubs, cooking includes KP and the committee foresees the need for catering. Typical catering cost should be in the range
of $10 per person, which is at or near the cost we currently pay for meals.
WILL CHANGE OF OWNERSHIP TRIGGER ADA UPDATES?
The City of Oroville inspected the facility and said no, there will be no ADA improvements required. The committee found, however, that if
ADA issues did arise, there are quick and easy fxes. For entry improvement, we initially looked at a sloping ramp curving from the east side of
the front porch around the large rocks to the parking level. This would be costly, would degrade the pleasant entryway environment, and is not
necessary. We found that the gate leading onto the back patio is 36- inches wide. A new ramp with a 12:1 slope below the middle door from the
patio to the main hall would provide wheelchair entry much cheaper. The current womens restroom is ADA compliant and can become wheel-
chair accessible simply by removing or widening a hallway doorway leading from the main entry room.
CAN PARKING BE IMPROVED?
Several things are already taking shape and some additional improvements canbe made without great cost. The Veterans Memorial Park is
building a new parkinglot east of the Veterans Memorial Hall directly across Montgomery Street. The City has agreed to consider an elevated
crosswalk just west of the Monday Club driveway to help make the new parking lot easier and safer to use. Should this happen, we could cut a
new walkway with steps directly above the crosswalk. We have contacted the adjacent landowner to the south and have permission to clear and
use his land for parking between our boundary line, roughly evenwith the existing asphalt, and the sloping embankment about 35 feet way. He
has also given us permission to fll a gulch between the two properties behind our southwest corner. The committee sees this as an opportunity to
avoid future kitchen closures by having a permanent home, to preserve an historic landmark, to help a struggling service club, to offer meeting
space to other service clubs, to create a positive Rotary image downtown, and to link with the Veterans/ Nature Center/Feather River triad.
