Confidentiality Agreement
Confidentiality- I agree any and all information furnished to me by R4S is confidential and is not to be disclosed to any other person or party except in confidence with my legal team, accountant or lender. Conduct- I may drive by the Property as a customer only during business hours. I agree to be discreet and act as a customer; I agree not to talk to owner, employees, customers, landlord or suppliers about the business being for sale or for lease. Prospect shall be fully responsible for any breach of this Agreement by Prospect, Prospects agents, representatives or employees. If I have any further interest in purchasing or leasing the property and or want additional information, I agree to contact the Broker to make all arrangements. Information- All information and documents provided to Prospect concerning business is property of Seller and must be returned immediately upon request of Broker. Any and all representations made by Broker or disclosed to Prospect are those of the Seller and Prospect understands that they must be independently verified by Prospect. Procuring Cause- Prospect hereby recognizes Broker as the procuring cause and agrees for period of (2) years from the date of this Agreement not to deal directly with the Business Listing Seller without written consent of Broker. In the event Prospect violates this agreement, Prospect shall be liable for any and all damages Broker may suffer. Warrantees- Prospect represents and warrants that it does not represent a third party, competitor of the business, nor is Prospect an employee of a competitor.
