Resolution of the Directors

Declaration of Stock Dividend

Resolved That:
A stock dividend is hereby declared and payable to all holders of shares in
the capital of the Corporation as of pursuant to which the Corporation will
issue an aggregate of representing on each of the outstanding shares
held by such shareholder as of that date.

The undersigned, being all of the directors of the Corporation hereby sign the foregoing
resolution.
