Upon consideration of the application (the "Application")2 of

Millsftam Energy, LLC.

("Millstream'), consultant to Pacific Energy Resources Ltd. and Pacific Energy Alaska
Operating, two of the above-captioned debtors and debtors in possession (collectively, the

"Debtors") for payment of Sales Transaction Fees; and adequate notice of the hearing to consider
the Application having been given; and after due deliberation, and sufficient cause appearing
