    ANNUAL RESOLUTIONS OF THE SOLE DIRECTOR

    OF

    BROADCASTING LIMITED

    APPROVAL OF FINANCIAL STATEMENTS RESOLVED: That the Financial Statements of the Corporation, for the fiscal year ended the 31st day of December, 2001, be and the same are hereby approved and adopted, such approval to be evidenced by the signature of the Director at the foot of the Balance Sheet forming part of such Financial Statements.

    APPROVAL OF ACCOUNTANT'S REMUNERATION RESOLVED: That the fees disbursed to the Accountant, of the Corporation, as reflected in the Financial Statements of the Corporation, for the year ended the 31st day of December, 2001, be and the same are hereby approved and fixed as their fee.

    THE FOREGOING RESOLUTIONS are hereby passed by the sole Director of the Corporation, pursuant to the Business Corporations Act (Ontario), this 7th day of May, 2002, as evidenced by such Director=s signature hereto.
