    Disclosure under clause 53 Listing Agreement

    HCL Technologies Limited has entered into media service agreements with following two Advertising agencies,viz, i. Agreement with Six Degrees PR Consultants Private Limited, for providing consultancy and operational support in terms of handling the public relations and media communications of the Company. Agreement with DRAFT FCB ULKA Advertising Private Limited for advertising campaigns of the Company.

    ii.

    Further, we would like to inform you that a) Neither of the above companies/ their associates have any shareholding in our company. b) Neither of the above agreements contain any clause, by virtue of which, any of the above mentioned companies can appoint any nominee Director s on the Board of the Company, management control or potential conflict of interest arising out of such agreements. c) The Company has not entered into any other back to back treaties / contracts / agreements / MoUs or similar instruments with the above media companies and/or their associates for the purpose of advertising, publicity etc
