Dear Tulsi:

OBEC is very excited to be adding Litus, LLC to our team for the design of the
Bundle 3 design enhancements. Enclosed you will find a subconsultant agreement
as well as the scope of work, schedule, Design Enhancement Matrix, and Bundle
Map, all as attachments to the contract. Please sign both subconsultant
agreements, retain one copy with attachments, and return the agreement stamped
"Copy" to Stephen Cooper at our Eugene office.

There are a few points we want to highlight as follows:

1) The scope of work is basically the same scope that was included in the RFS
(including Addendum #1) with a few phrases added for additional emphasis.
2) The contract is set up to be lump sum with monthly progress payments,
which will be based on the percentage of work completed in a given month. It
will be important to submit invoices to OBEC by the 10th of each month
following the month being invoiced to assure we get it into the monthly billing
cycle to ODOT.
3) As you may recall, the RFS indicated that the Phase Two work would not be
guaranteed but would be dependent on the outcome of Phase One. For this
reason the contract is set up to provide for both Phase One and Phase Two
work; however, the Phase Two scope of work is identified as a Contingency Task
that will only be released upon written authorization from OBEC.

I will be on vacation next week, returning on Monday, October 12. In the


meantime, please contact Stephen Cooper, OBEC Contract Administrator
(541.683.6090), with any questions related to this agreement, and contact Don
Kahle (541.424.2424) with any questions related to the design enhancement
process.

I want to congratulation your team again on your success at being chosen as an


ADT for WRB, and we very much look forward to integrating your energy and efforts
into the project.
