LA_NW_E.TXT SEIKOEPSONCORPORATION SOFTWARELICENSEAGREEMENT IMPORTANT!READTHISSOFTWARELICENSEAGREEMENTCAREFULLY.Thecomputersoftware product,fontware,typefacesand/ordata,includinganyaccompanyingexplanatory writtenmaterials(the"Software")shouldonlybeinstalledorusedbythe Licensee("you")ontheconditionyouagreewithSEIKOEPSONCORPORATION("EPSON") tothetermsandconditionssetforthinthisAgreement.Byinstallingorusing theSoftware,youarerepresentingtoagreeallthetermsandconditionssetforth inthisAgreement.YoushouldreadthisAgreementcarefullybeforeinstallingor usingtheSoftware.Ifyoudonotagreewiththetermsandconditionsofthis Agreement,youarenotpermittedtoinstallorusetheSoftware. 1. License.EPSONanditssuppliersgrantyouapersonal,nonexclusive, royaltyfree,nonsublicensablelimitedlicensetoinstallandusetheSoftwareon anysinglecomputerorcomputersthatyouintendtousedirectlyorvianetwork.

Youmayallowotherusersofthecomputersconnectedtothenetworktousethe Software,providedthatyou(a)ensurethatallsuchusersagreeandareboundby thetermsandconditionsofthisAgreement,(b)ensurethatallsuchusersusethe Softwareonlyinconjunctionwiththecomputersandinrelationtothenetworkof whichtheyformpart,and(c)indemnifyandkeepwholeEPSONanditssuppliers againstalldamages,losses,costs,expensesandliabilitieswhichEPSONorits suppliersmayincurasaconsequenceofsuchusersfailingtoobserveandperform thetermsandconditionsofthisAgreement.Youmayalsomakecopiesofthe Softwareasnecessaryforbackupandarchivalpurposes,providedthatthe copyrightnoticeisreproducedinitsentiretyonthebackupcopy.Theterm "Software"shallincludethesoftwarecomponents,media,allcopiesmadebyyou andanyupgrades,modifiedversions,updates,additionsandcopiesoftheSoftware licensedtoyoubyEPSONoritssuppliers.EPSONanditssuppliersreserveall rightsnotgrantedherein. 2. OtherRightsandLimitations.Youagreenottomodify,adaptortranslate theSoftware.Youalsoagreenottoattempttoreverseengineer,decompile, disassembleorotherwiseattempttodiscoverthesourcecodeoftheSoftware.You maynotshare,rent,lease,encumber,sublicenseorlendtheSoftware.Youmay, however,transferallyourrightstousetheSoftwaretoanotherpersonorlegal entityprovidedthatyoutransferthisAgreement,theSoftware,includingall copies,updatesandpriorversions,tosuchpersonorentity,andthatyouretain nocopies,includingcopiesstoredonacomputer.Somestatesorjurisdictions, however,donotallowtherestrictionorlimitationontransferoftheSoftware, sotheabovelimitationsmaynotapplytoyou. 3. Ownership.Title,ownershiprights,andintellectualpropertyrightsin andtotheSoftwareandanycopiesthereofshallremainwithEPSONorits suppliers.Thereisnotransfertoyouofanytitletoorownershipofthe SoftwareandthisLicenseshallnotbeconstruedasasaleofanyrightsinthe Software.TheSoftwareisprotectedbyJapaneseCopyrightLawandinternational copyrighttreaties,aswellasotherintellectualpropertylawsandtreaties. ProtectionandSecurity.Youagreetouseyourbesteffortsandtakeall reasonablestepstosafeguardtheSoftwaretoensurethatnounauthorizedperson hasaccesstothemandthatnounauthorizedcopy,publication,disclosureor distributionofanyoftheSoftwareismade.YouacknowledgethattheSoftware containsvaluable,confidentialinformationandtradesecrets,thatunauthorized useandcopyingareharmfultoEPSONanditssuppliers,andthatyouhavea confidentialityobligationastosuchvaluableinformationandtradesecrets. 5. LimitedWarranty.IncaseofthatyouobtainedtheSoftwarebymediafrom EPSONoradealer,EPSONwarrantsthatthemediaonwhichtheSoftwareisrecorded willbefreefromdefectsinworkmanshipandmaterialsundernormalusefora periodof90daysfromthedateofdeliverytoyou.Ifthemediaisreturnedto EPSONorthedealerfromwhichthemediawasobtainedwithin90daysofthedate ofdeliverytoyou,andifEPSONdeterminesthemediatobedefectiveandprovided themediawasnotsubjecttomisuse,abuse,misapplicationoruseindefective equipment,EPSONwillreplacethemedia,uponyourreturntoEPSONofthe Software,includingallcopiesofanyportionsthereof.ALLIMPLIEDWARRANTIESON THEMEDIA,INCLUDINGIMPLIEDWARRANTIESOFMERCHANTABILITYANDFITNESSFORA PARTICULARPURPOSE,ARELIMITEDTOTHEDURATIONOFTHEEXPRESSWARRANTYSETFORTH ABOVE. YouacknowledgeandagreethattheuseoftheSoftwareisatyoursole risk.THESOFTWAREISPROVIDED"ASIS"ANDWITHOUTANYWARRANTYOFANYKIND. EPSONANDITSSUPPLIERSDONOTANDCANNOTWARRANTTHEPERFORMANCEORRESULTSYOU MAYOBTAINBYUSINGTHESOFTWARE.THEFOREGOINGSTATESTHESOLEANDEXCLUSIVE REMEDIESFOREPSON'SANDITSSUPPLIERS'BREACHOFWARRANTY.EXCEPTFORTHE FOREGOINGLIMITEDWARRANTY,EPSONANDITSSUPPLIERSMAKENOWARRANTIES,EXPRESSOR IMPLIED,ASTONONINFRINGEMENT,MERCHANTABILITYORFITNESSFORANYPARTICULAR PURPOSE.Somestatesorjurisdictionsdonotallowtheexclusionofimplied warrantiesorlimitationsonhowlonganimpliedwarrantymaylast,sotheabove limitationsmaynotapplytoyou.Thiswarrantygivesyouspecificlegalrights. Youmayhaveotherrightswhichvaryfromstatetostateorjurisdictionto jurisdiction. INNOEVENTWILLEPSONORITSSUPPLIERSBELIABLETOYOU,WHETHERARISING UNDERCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,BREACHORWARRANTY, MISREPRESENTATIONOROTHERWISE,FORANYDIRECT,CONSEQUENTIAL,INCIDENTALOR SPECIALDAMAGES,INCLUDINGANYLOSTPROFITSORLOSTSAVINGS,EVENIFEPSON,ITS SUPPLIERSORANYREPRESENTATIVEHASBEENADVISEDOFTHEPOSSIBILITYOFSUCH DAMAGES,ORFORANYCLAIMBYANYTHIRDPARTY.Somestatesorjurisdictions, however,donotallowtheexclusionorlimitationofincidental,consequentialor specialdamages,sotheabovelimitationsmaynotapplytoyou. 6. LA_NW_E.TXT Agreementshallautomaticallyterminateuponfailurebyyoutocomplywithits terms.YoumayalsoterminatethisAgreementatanytimebyuninstallingand destroyingtheSoftwareandallcopiesthereof. 7. ExportRestriction.Youagreenottotransfer,exportorreexportthe SoftwareandanydataorinformationwhichyouobtainedfromEPSONorusethe SoftwarewithoutaproperlicenseunderJapaneselaw,restrictionsand regulations,orthelawsofthejurisdictioninwhichtheSoftwareisobtained. 8. GoverningLawandGeneralProvisions.ThisAgreementshallbegoverned andconstruedunderbythelawsofJapanwithoutregardtoitsconflictsoflaw rules.ThisAgreementistheentireagreementbetweenthepartieswithrespectto theSoftware,andsupersedesanypurchaseorder,communication,advertisement,or representationconcerningtheSoftware.ThisAgreementshallbebindingupon,and inuretothebenefitof,thepartiesheretoandtheirrespectivesuccessors, assignsandlegalrepresentatives.Ifanyprovisionhereinisfoundvoidor unenforceable,itwillnotaffectthevalidityofthebalanceoftheAgreement, whichshallremainvalidandenforceableaccordingtoitsterms.ThisAgreement mayonlybemodifiedinwritingsignedbyanauthorizedofficerofEPSON. 9. U.S.GovernmentEndUsers.IfyouareacquiringtheSoftwareonbehalfof anyunitoragencyoftheUnitedStatesGovernment,thefollowingprovisions apply.TheGovernmentagrees: (i)iftheSoftwareissuppliedtotheDepartmentofDefense(DoD),the Softwareisclassifiedas"CommercialComputerSoftware"andtheGovernmentis acquiringonly"restrictedrights"intheSoftwareanditsdocumentationasthat termisdefinedinClause252.2277013(c)(1)oftheDFARS;and(ii)ifthe SoftwareissuppliedtoanyunitoragencyoftheUnitedStatesGovernmentother thanDoD,theGovernment'srightsintheSoftwareanditsdocumentationwillbeas definedinClause52.22719(c)(2)oftheFARor,inthecaseofNASA,inClause 1852.22786(d)oftheNASAsupplementtotheFAR.
