25. MATNTEMNCE RESER\G FUND:TheBoardshallestablishandmaintain
a Maintenance neservefunO Oythe assessmeril of and paymentby all unit owners
in equal monthly installmentsof their respectiveproportionateshares of such
reasonable annralamountas the Boardmayestimateas adequateto covereachunit
owner'sobligationsto providefor utilities,insurance, maintenance and repairof the
commonelementsandotherexpenses of administration of the Project,whichshallbe
deemedconclusively to be a commonexpenseof the Project.TheBoardmayinclude
reservesfor conting-enciesin suchassessment, and suchassessment mayfromtime
to time be increasedor reducedin the discretionof the Board. The proportionate
interestof eachunit ownerin saidFundcannotbe withdrawnor separately assigned
but shall be deemedto be transferred with such unit eventhough not expressly
mentionedor describedin the conveyance thereof. In casethe HorizontalProperty
Regimesherebycreatedshallbe termlnated or waived,saidFundsremainingafterfull
paiment ol all commonexpensesof the Association shall be distributedto all unit
ownersin their respectiveproportionate sharesexceptfor the ownersof any units

SectionT. Voting. Each owner of a unit shall be entitledto one (1) vote
equivalentto his percentlgeinterestin the commonelements.Votesmay be cast in
personor by pro{y by the-respective unit ownersas shownin the recordol ownership
of the Association.An executor,administrator, guardianor trusteemay vote in person
or by proxy at any meetingof the Associationtne percentageof vote for any unit
ownedor controtteitOyhimln such capacity,whetheror not the sameshallhave been
transferred to his namein the Association'srecordof ownership,providedhe shallfirst
presentevidencesatisfactoryto the Association'sSecretarythat he owns or controls
such unit in such capacity. The vote by any co-ownersof a unit may be exercisedby
any one of them presentat any meetihgin tne absenceof protestby the other co-
owner(s). In case of such protest,each co-ownershall be entitledto only a shareof
such voie in proportionto his shareof ownershipin such unit.

ARTICLE II
Board of Directon
Section Z. Pouters. The Board shall have all powers necessaryJor the
administration of the affairsof the Associationand may do all such acts and things
allowed,necessary,or providedby law or by the Declarationor these By-Laws'
SectionS. Electionanil Term. Electionof directorsshall be by a cumulativevoting
by secret ballot at each annual meeting and any special meeting called for the
purpose. Directorsshall hold otfice for L period of three (3) years and until their
respectivesuccessorshave been elected, subject to removal as herein provided,
exceptthat at the first annualmeetingone (1) of the directorsshallbe electedfor one
(1) year;one (1) for two (2) years;and one (1) for three(3) yearsso that one (1) of
the directors'terms shall expireannually.

Section 10. Quorum of Board. At all meetingsof the Board,a majorityol the
quorumfor
total numberof directorsestabtishedby theseBy-Lawsshall constitutea
the transactionof business,and the acis of a majorityof the directorspresentat any
rneetingat which a quorum is presentshall be the acts of the Board- lf less than a

quorumshallbe presentat anymeetingof the Board,a maiorityof thosepresentmay
adjournthe meeting from timeto time-.At any suchadiournedmeetingat whicha

Se*tion2. Maintenance of Units. Everyunitownershall,at his own expense,
at all timeswill andsubstantially amendand keephis unit,including
repair,maintain,
without limitationall internalinstallations thereinsuch as water, electricity,gas,
telephone,sewer,sanitation,air conditioning, lights and all other fixturesand
accessories belongingto suchunitandthe interiordecorated or finishedsurfacesof
all walls,floorsand ceilingsof suchunit,and any appurtenant patios,storageand
privacyareas,with all necessary reparationsand amendments whatsoever in good
orderandcondition exceptas otherwise providedby law or the and
Declaration, shall
be liablefor all lossor damagewhatsoever causedby hisfailureto performanysuch
work diligently, and in case of suchfailureafterreasonable noticeto performshall
reimburse to the Association promptlyupondemandall expensesincurredby it in
performing anysuchworkauthorized by theBoardor the Managing Agent. Everyunit
ownerand occupantshall reimbursethe Association promptlyupon demand,all
expenses incurredby it in maintainingthe privacyareaswithinsuchunit as required
herein,aftersuch owneror occupant'sfailureto effectsuch maintenance and in
repairingor replacing any uninsured lossor damageto the commonelementsor any
furniture,furnishingsandequipment thereofcausedby suchowneror occupantor any
personundereitherof themand shallgivepromptnoticeto the ManagingAgentol
any suchlossor damageor otherdefectin the projectwhendiscovered.

Boardandatsoapprovedby the Boardandall ownersol unittherebydirectlyaffected.
(g) No unitownershalldecorateor landscape any entrance,planter
boxes, or privacyarea of his unit exceptin accordancewith standardstherefor
establishedby the Boardor specificplansapprovedin writingby the Board.
(h) All occupantsshallavoidmakingnoisesand
and ampliliersthat may disturbother
radios,televisions
usingmusicaiinstruments,
occupants.
(i) No garments,rugs or other objectsshall be hung from the
windowsor facadesof the Project.

(o) Nothingshallbe allowed,doneor keptin any unitsor common
elements of theprojectwhichshalloverloador impairthefloors,wallsor roofsthereof,
or causeanyincrease in theordinarypremiumratesor thecanceflation or invalidation
of any insurancethereonmaintained by or for the Association.
