10. NON€OMMON ELEMENTS: Certainitemswithinor concerningthe units


are not commonelements,but are the property ol the unit owner. The unit owner
sha1 be responsiblefor and shall maintain,at its expensethe air-conditioning
condenseror unttson the decksor balconiesol eachunit and the contentsof the
unitsas set torth in paragraph6, UMITSOF UNITS,and any horizontalpipes, lines,
wiresand ductsand'othelpipes,lines,wiresand ductswhichare locatedwithinthe
unit and exclusively servethe particularunit in whichit is located.

11. PERCENTAGE OF UNDMDEDINTEREST:EAChUNitShAIIhAVEAN


undividedownerffi interestand obligationof 1/7thor 14.28571% in the common
elementsand limitedcommonelementsappurtenant to each unit for all purposes,
includingvoting.

12. EASEMENTS: In additionto anyexctusive herebyestablished

minorencroachments of any partsof the commonelementsuponany unit or of any
unit upon any other unit or upon any portionof the @mmon elementsdue to
construction s-hallbe permitted, andvalideasements for suchencroachments andthe
maintenance thereolshallexist;

c. shallhavethe right to be exercisedby its Board

e. the entirepropertyaboveis subjectto any and all easementsot
record,and also that Grantof Easementas recorded with the Department ol Land
ManagemefiGovernment of Guam,underlnstrument No. 46419.

13. ALTERATION AhIDTRANSFER OF INTERESIT}: ThECOMMON CIEMENT

vestedin the nssociaibn,consistingof all unit ownersof the Projectin accordance
withthe By-Lawsof the Association-which shallbe fitedwith the Department of Land
Management, Government of Guamas a separateinstrument and madea part of the
docurients. TheseBy-Lawsare herebyincorporated hereinby reference.Operation
of the ProjeCtand maintenance, repair,replacement and restorationof the @mmon
elements,and any additionsand aiterations thereto,shallbe in accordancewith the
provisionsof saii HorizontalPropertyAct, this Declarationand the By-Laws,and
specificallybut withoutlimitationthe Associationshall:

12. OWNER'S OBUGATTON: Eachownerof a unit shallhavethe obligation

water damageor other damagesfrom earthquake,fire, typhoon,storm or other
casualtiesnot coveredby the commonelementinsurance.
19. C0)MMONE)(PENSES:All charges,costs and expenSeswhatsoever
incurredUytne nssociatlonfor or in connection withthe administration of the Project'
includingwithout limitation,the operation,maintenance, repair, replacementand
restorationol the @mmonelementsand limitedcommonelementsandany additions
and alterations thereto,any labor,services,materials, suppliesand'equipment, any
liabilltywhatsoeverfor bCs or damagearisingout of or in connectionwith the
commonelementsor any accident,fire or nuisance thereon,and any premiums-for
hazardand liabilityinsuranceherein requiredwith respectto the Project,shall
constitutecommonexpensesof the Projectfor whichall unitownersshallbe severally

limitsof not less than $300,000.00 for injuryto one person and $1,000,000.00 (if
availableon Guam)for injury to more than one personin any one accidentor
occurrenceand $50,000.00 for propertydamage.Thisinsuranceshallbe without

prejudiceto the right of any unit ownersto maintainadditionalliabilityinsurancefor
their respectiveunit.

n. @NDEMl.lAlfON:In caseat any time or timesthe Projector any palt


thereofshall be takenor condemnedby any authorityhavingthe porer of eminent
domain, or shall be sold to such authorityunder threat of condemnation,all
compensation and damageslor or on a@ountof any fee simpleinterestin the land
shaltbe payable to be usedin suchmanneras determined
to the Association by the
Board,and any compensation lor or on accountol any improvements on the Project
shallbe payable to such bankor trustcompany authorized to do business in Guarn
as the Boardshalldesignateas trusteefor all apartmentunitownersand mortgagees
accordingto the loss or damageto their respectiveunitsand appurtenant common
interestsand shallbe usedpromptlyby the Association to the extentnecessaryfor
restoringor replacingsuch improvements on the remainingland accordingto plans
thereforefirst approvedas hereinprovidedunlesssuchrestoration or replacement is
irnpracticalin the circumstances. Unless such restorationor replacementis
undertakenwithina reasonable time aftersuch condemnation the Associationat its
common expenseshall removeatl remainsof such improvements so taken or
condemnedand restorethe sitethereofto good orderlycondition and even grade.

23. UNINSURED CASUALTY: In caseat anytimeor tirnesanyimprovements


damaged
of the Projectshallbe substantially or destroyedby any casualtynot herein
required to be insured against, whether to rebuild, repair, or restore such
improvements shallbe determinedby affirmative percent(75%lot
voteof seventy-five

restorationof the commonelementsshallbe completeddiligentlyby the Association

24. ALTERATON OF PROJESr: Majorrestorationor replacementon or


appurtenant to the Projectof any building, or constructionor structuralalterationor

by the Association pursuant
to an amendment dulyexecutedby or pursuantto the aftirmative

in equal monthly installmentsof their respectiveproportionateshares of such
reasonable annralamountas the Boardmayestimateas adequateto covereachunit
owner'sobligationsto providefor utilities,insurance, maintenance and repairof the
commonelementsandotherexpenses of administration of the Project,whichshallbe
deemedconclusively to be a commonexpenseof the Project.TheBoardmayinclude
reservesfor conting-enciesin suchassessment, and suchassessment mayfromtime
to time be increasedor reducedin the discretionof the Board. The proportionate
interestof eachunit ownerin saidFundcannotbe withdrawnor separately assigned
but shall be deemedto be transferred with such unit eventhough not expressly
mentionedor describedin the conveyance thereof. In casethe HorizontalProperty
Regimesherebycreatedshallbe termlnated or waived,saidFundsremainingafterfull
paiment ol all commonexpensesof the Association shall be distributedto all unit

Sectionl. Ouatifiution All ownersof units in the projectshallconstitutethe


HOMEOWNERS' ASSOCIATION OF c 6A D[ 16A,hereinaftercalledthe "Association".
The owner ol any unit shall automaticallybecomea memberol the Associationand
shall remaina member until such time his ownershipof such unit ceases for any
reason, at which time his membership shall automaticallycease; PROVIDED,
HOWEVER, that if a leaseby the ownerof a unit statesthat his lesseeshall havethe
voting righisand such leaseis filed with the Boardof Directorsof the Association,the
lesseeoi such unit shall be deemedto be the ownerthereof.

Secrton2. Placeof Meetings. Meetingsof the Associationshall be held at the


project or such other iuitable ptace convenientto the unit owners as may be
designatedby the Board.

SeotionS. Annual Meetings.The first annualmeetingof the Associationshall


be held as soon as practicableafterrecordingthe Declarationand theseBy-Lawsu!9!

at any time upon the call of the Presidentor a petitionsignedby ownersrepresenting
at leastthree (3) of the units and presentedto the Secretary.

SectionS. Notiu of Meetings.The Secretaryshallgive writtenor printed notice


of eachannualand speciil meetingto everyunit owneraccordingto the Association's
recordof ownership,at leastfive (s) Oaysbeforethe dateset for such meeting,stating
whetherit is an annualor specialmeeting,the authorityfor the call thereof,the place,
day and hour of such meeting,and the purposetherefor,in any of the followingwaysl
(a)'by personaldelivery;or (O)by leavingit at his unit in the projector at his usual
ieiiO6nceor placeof business;or (c) by mailingit, postageprepaid,addressedto his
addressshownon the Association's.reCords. lf noticeis givenas statedabove,then
failure of any unit owner to receiveactual notice of any meetingshall in no way
person
invalidatesuch meetingor proceedings.The presenceol any unit owner in
or by proxyat any me6ting'shallbe deemeda waiverof any requirednoticeto such
owner'unlesshe ihall, at ihe openingthereof,objectto the holdingof such meeting
becauseof the failureto give noticein accordancewith the provisionshereof.

Section6. Quorum. The presenceat any meetingin person or by proxy


representingat leastfour (4) units shall be a majorityand such shall be a quorum.
The acts of-a majorityof the unit ownersat any meetingat whicha quorumis present
shall be the act of and be binding upon the Associationexceptas providedherein.

SectionT. Voting. Each owner of a unit shall be entitledto one (1) vote
equivalentto his percentlgeinterestin the commonelements.Votesmay be cast in
personor by pro{y by the-respective unit ownersas shownin the recordol ownership
of the Association.An executor,administrator, guardianor trusteemay vote in person
or by proxy at any meetingof the Associationtne percentageof vote for any unit
ownedor controtteitOyhimln such capacity,whetheror not the sameshallhave been
transferred to his namein the Association'srecordof ownership,providedhe shallfirst
presentevidencesatisfactoryto the Association'sSecretarythat he owns or controls
such unit in such capacity. The vote by any co-ownersof a unit may be exercisedby
any one of them presentat any meetihgin tne absenceof protestby the other co-
owner(s). In case of such protest,each co-ownershall be entitledto only a shareof
such voie in proportionto his shareof ownershipin such unit.

Sectiong. Percentageof Owners. Any specifiedpercentageol owners shall


mean the ownerSOf the unitSto which are appurtenant,such percentagein the
aggregateof commoninterests.

Section9. Proxiesand Pledges.The authoritygiven by a unit ownerto another


personto representhim at AssocLtionmeetingsshall be in writing,signed by such

Board of Directon

Associationshall be governedby a Board composedof three (3) persons,each of
whom shall be the sole owneror co-ownerof recordol a unit. lf a corporationis a
unit owner,any officerof suchcorporationshallbe eligibteto serveas.directorso long
as he remains an oflicer of such corporation. The directorsshall serve without
compensation.

Section Z. Pouters. The Board shall have all powers necessaryJor the
administration of the affairsof the Associationand may do all such acts and things
allowed,necessary,or providedby law or by the Declarationor these By-Laws'
SectionS. Electionanil Term. Electionof directorsshall be by a cumulativevoting
by secret ballot at each annual meeting and any special meeting called for the
purpose. Directorsshall hold otfice for L period of three (3) years and until their
respectivesuccessorshave been elected, subject to removal as herein provided,
exceptthat at the first annualmeetingone (1) of the directorsshallbe electedfor one
(1) year;one (1) for two (2) years;and one (1) for three(3) yearsso that one (1) of

(c) Purchase,maintenanceand replacementof any equipmentand

(d) Provisionat each unit all water,sewer,electricityand such other


utilityservicesand utilitiesas the Boardshall deem necessaryeitherat the expense
of such unit or as a commonexpenseas determinedby the Board;

(e) Employment, superuisionand dismissalof such personnelas may

SectionI. Amendment TheseBy-Lawsmay be amendedin any respectnot


inconsistentwith any provisionsof law or the Declarationby affirmativevote of seventy-
five percent(75%)6t'att unit ownersof the entirecondominiumproject,effectiveonly
upon the recordingof an amendmentto an amendmentto the Declarationsettingforth
such amendmentof these By-Laws.

Se.ction2. IndernnificationThe Associationshall indemnifythe directorsand


againstall expensesreasonablyincurredby or imposed
otficersand its administrators
in connectionwith any action,suit or proceedingto which such director,etc. may be
made a party by reason of being or having been a director or officer of the
Association,etcept in relationto mattersas to whichsuch director,etc shall be finally
adjudgedin suchaction,suit or proceedingto be liablefor negligenceor misconduct,
anb in the absenceof such finat adjudication,indemnification shall be providedonly
in connectionwith such mattersas to which the Associationis advisedby its legal
counselthat the personto be indemnifiedcommittedno such breachof duty. The
foregoingright of indemnification shall not be exclusiveof any other rights to which
such personmay be entitled.

Secrton3. Subsrdination TheseBy-Lawsare subordinateand subject to all

behalfof any or all of the unit owners.

SectionS. Definitions. The term "majorityof unit owners" in these By-Laws


shall meanthe ownersof unitsto whichare appurtenantmore than fifty percent(50%)
of the commoninterest,and "anyspecifiedpercentageof the unit owners"shall rnean
the ownersof unitsto whichare appurtenantsuch percentageof the commoninterest.
